Full 2026 rankings, city guides, and red-flag checks: Business Cash Advance Settlement.
A California merchant searching for the best settlement advocate starts from a disadvantage the search results never disclose, because no ranking measures the knowledge the engagement requires.
In January 2022, federal enforcers permanently barred two merchant cash advance providers and an owner from the industry over seizures from small businesses, and the FTC account of that action remains the reference point for what misconduct looks like when documentation fails.
California answered with paper, in DFPI disclosure regulations for commercial financing effective December 9, 2022 that cover advances, factoring and loans and compel funding amount, finance cost, APR, and the payment information the merchant needs.
An operator who signed after the effective date may possess disclosure rights worth more than any advertised settlement discount, since the regulations demand the funding amount, the total finance cost, the annual percentage rate and payment terms before commitment, and any reconciliation clause, where one exists, must be read against those figures when counsel tests what the numbers prove.
The disclosure form functions the way a parking validation functions in a garage that has posted new rates. It proves presence, not price, and counsel translates one into the other.
Funders priced the risk of default before the merchant ever missed a payment. Then they billed the merchant for the surprise, a characterization drawn from contract structure, since no dataset of funder margins sits in the research file.
Rarely does a violation announce itself in the closing call, and counsel finds it in the figures.
In December 2023 a federal court upheld the disclosure regime against constitutional and preemption challenge, which means the paper survives and the duties stand.
But the complaint itself cancels nothing, and the DFPI advisory inviting small business complaints creates a mailbox rather than a remedy.
The disclosure arrived two years after signature, in response to a letter, and changed nothing about the balance.
October 2023 rules prohibit unfair, deceptive or abusive commercial financing practices, and some transactions are exempt, though the exemptions have a way of describing someone else.
A complaint preserves a record while litigation proceeds on its own track, against funders who drafted their agreements in order to survive exactly this scrutiny. (I have yet to see a disclosure arrive without a demand letter behind it, though the duty has applied since 2022.)
After signature, after the first missed debit, the questions that matter concern documents rather than promises. Counsel should collect the agreement, trace the debits, and build a record that addresses both the contractual claim and the practical condition of cash flow.
The servicer asserting the balance, which often acquired the account months after origination at a discount visible in the chain of assignments and then demanded the full face amount without addressing the gap, must still prove standing to collect what it claims.
Five confirmations belong in the settlement file:
The preceding paragraph states the checklist with more confidence than any docket can support, since executed MCA settlements sit in no file this writer has seen, and California duties since December 2022 supply the only fixed points.
Copies of every filed termination belong with the release, and the payment record should match the amounts the documents recite.
Whether the complaint portal will mature into published guidance or remain a mailbox is a question worth considering.
Rankings answer a different question from the one the merchant asked, since visibility and suitability share no metric.
The validation proves presence. The price is negotiated elsewhere.
Counsel selection decides the outcome more than any single clause, and steps the owner takes, or does not take, before the first conference determine the shape of the defense.
New York courts test MCA agreements by substance, weighing reconciliation practice, finite term and bankruptcy recourse, and a California owner should demand the same analysis of any agreement before discussing price. The LG Funding decision from the Second Department supplies the questions even where its authority does not govern.
The disclosure regime protects California merchants. A complaint under it protects nothing by itself.
This is the gap counsel is hired to measure. Delancey Street, a debt relief company rather than a law firm, offers a free confidential initial review for MCA distress and coordinates legal matters with independently licensed counsel, and a California owner can request that assessment through Delancey Street as the beginning of a diagnosis.
Independent counsel should ensure no communication reaches the funder without review, even casually, and the merchant should ensure every promise enters the written file.
Resist the urge to answer the collector, and simply state that counsel will respond to the claims asserted against the business.
The gap between a published ranking and a suitable advocate is extremely wide, and the crossing is extremely costly without guidance, since advertised percentages carry an outlandish certainty the files never support.
Most merchants call counsel late, and the reasons are ordinary. The obligations created in the meantime outlast every advertisement that produced the debt.
Most funders accept 30–60% as a full settlement — with proper leverage.
