Corporate debt becomes personal debt through signatures, not through status.
The charter never converts a business obligation into a personal one by itself. Owners assume personal exposure one document at a time, usually under time pressure and without a second reading. Seven mistakes below follow New York veil doctrine with federal tax and bankruptcy rules.
In the leading MCA characterization decision, the individual defendants executed a personal guaranty of performance of all representations and warranties and covenants made by the company in the agreement, as the appellate opinion records. The guaranty stands apart from the funding contract, and appellate courts treat it as separate and distinct. Most owners study the funding amount and skim the guaranty that travels with it.
The corporation was a valid shield. The owner paid anyway. The guaranty sits in the file like a second set of teeth, unnoticed until it closes. That signature outlives the entity. Counsel reads and construes the guaranty before any workout discussion begins, since the signature on that page frames questions of capacity, of authority, and whether the signer understood the personal exposure undertaken.
In 1993, the Court of Appeals restated the New York test for disregarding the corporate form (the retrieved opinion is marked uncorrected and subject to revision). Piercing requires complete domination of the corporation with respect to the transaction attacked, plus use of that domination to commit a fraud or wrong against the plaintiff that caused injury, as the controlling opinion holds. Rarely does a court disregard the corporate form on domination alone.
The earlier enterprise decision, now sixty years old, permits incorporation to escape personal liability, within limits, reserving disregard for fraud or equity. Particularized allegations of owners shuttling funds without formality may satisfy the test, while vague assertions fail as conclusory, which is what domination without more buys the owner. The path through the veil is extremely narrow, and routine borrowing never walks it.
Domination standing alone never suffices. Holding assets through a corporation to reduce tax exposure does not satisfy the wrong prong without fraud or injustice toward the plaintiff. The tribunal finding of no fraud stood undisturbed, and the resulting personal assessment was annulled. An owner who treats the charter as permission for deception mistakes the doctrine at both prongs.
The owner signed the guaranty at the same table where the funding was approved. The two signatures felt like one act. An eerie feature of workout files is how often the oldest signature causes the newest problem. Whether that feeling survives the first default notice is a question the file answers before counsel does.
Withheld employment taxes are held in trust, and the responsible person who willfully fails to collect or pay them faces personal assessment in the amount of the unpaid balance. Responsibility follows independent judgment over financial affairs rather than title, and the business need not have ceased operating for assessment to follow, as the trust fund recovery guidance explains. The inquiry is extremely personal, turning on who actually directed the money.
Whether a minority owner with no check authority qualifies as a responsible person is the question that makes this mistake expensive.
An owner who directs scarce cash to MCA debits while payroll deposits lapse trades a contractual dispute for a personal assessment. Delegation removes no responsibility by itself, and paying commercial creditors establishes no tax compliance. The diversion reads as choice, and choice is the element the assessment holds against the owner.
Workout pressure produces paper, and each new page carries its own exposure. Confession of judgment affidavits with consent to jurisdiction clauses and fresh personal assurances of the settlement balance create obligations the original release may not cover. New York procedure demands a signed sworn affidavit stating the authorized judgment with the facts of the debt, as the confession of judgment procedure provides, and a signature supplied as a gesture of good faith satisfies every element. Simply state that no affidavit leaves the office before counsel reads it, and resist the urge to sign the renewal guaranty to buy another month.
Personal financial statements with deeds or mortgages offered as comfort expand the exposure beyond the business release. The officers, who will insist each page was a mere formality, sign instruments a court will read literally when enforcement is sought against the owner personally (and literal reading favors the party that drafted the page). No veil decision in an MCA case was retrieved for this article, and no frequency claim follows. Affidavits procured in order to manufacture consent receive no warmer reception.
Before any asset moves, before any renewal funds, counsel maps both the liens and the signatures. Transfers undertaken with intent to hinder creditors face voidability regardless of when the creditor’s claim arose, and a security interest follows its collateral into the new entity unless freed by authorization. The transfer documents were, if we are being precise, never the source of the exposure. The old obligation travels in the guaranty even where the assets travel clean.
We read the docket, trace the funds, and construct a timeline of the signatures. What the owner documents, or leaves undocumented, decides how the chronology reads. No new charter releases an obligation the owner assumed in a personal capacity, with successor theories adding a second front.
A prior case changes the later options. The chapter of the old filing with the dates of filing and discharge, and whether dismissal followed, determines eligibility for new relief. Recent dismissed cases can limit the stay absent court order. The federal overview of liquidation basics distinguishes eligibility for discharge from the act of filing. A new private settlement cannot revive discharged obligations by assumption.
Counsel ensures no letter admits an old balance and no promise resembles a reaffirmation before the history is mapped. Any text to the collector, even briefly confirming the balance, can complicate the limitations analysis. The file that states its history in full receives the serious reading.
Delancey Street works with businesses carrying MCA balances and other business debt as a settlement company, not a law firm. Independent counsel handles the legal work while advisors review and analyze the liability file, with more information through the Delancey Street site.
A first conversation ensures each signature carries its meaning stated, even where the outlook is extremely uncertain. A first call costs nothing and assumes nothing. That is where diagnosis begins.
Most funders accept 30–60% as a full settlement — with proper leverage.
