Borrowing, negotiation, and court protection perform different work. The business that treats them as interchangeable versions of relief discovers the difference only after funds are committed or a deadline passes.
Often the posture of the dispute improves before any new transaction is considered. Where an agreement provides reconciliation or another adjustment mechanism, the owner should gather and assemble the requirements, the contract, the revenue records, and the prior correspondence before invoking the procedure rather than assume only fresh borrowing can change the payment. Consider a contract whose remedies occupy most of its pages while the owner has never sent the notice those pages describe.
For certain New York MCA agreements, LG Funding v. United Senior Properties of Olathe discusses reconciliation, finite duration, and recourse in bankruptcy when examining whether repayment was absolute. Applicable law and the complete agreement control. Counsel reads the provision first and argues from it second.
Simply document each request and each response. Even a refused adjustment leaves a record that helps counsel or a negotiator understand the dispute and the choices that remain. That rarely survives contact with the operating account unless somebody writes it down.
Consolidation or refinancing helps where the company can sustain debt service but the current timing or price is unsuitable. Begin with current payoff figures rather than balances recalled from earlier statements. The new facility should identify who obtains those figures and who verifies completion, because the monthly figure can fall while the signed obligation grows heavier, and because errors at funding are extremely difficult to unwind after the old accounts close.
A smaller installment usually reflects a longer repayment period. That extension may be acceptable, though the total repayment, the security granted, and the operating cash required should be examined beside it. The lender approval does not establish affordability. Most illustrations of savings assume the creditor has already agreed, an assumption the creditor has done nothing to support. A lopsided schedule that favors the new lender over operating needs will fail at the first shortfall, no matter how neat the printed illustration.
A consolidation loan laid over active daily debits resembles a second roof nailed over a leak. The structure looks improved from the street. The new payment joins the old withdrawals instead of replacing them where no written payoff retired the earlier accounts. Price the combined schedule after funding, not the single new payment in isolation.
Partial refinancing can still be useful. Its value depends on the schedule that survives funding. And the owner should examine what happens if the expected offer never reaches final terms, since a preliminary approval binds no one.
Delancey Street is a debt settlement company whose practice centers on MCA obligations, and its free confidential initial review gives the owner a place to test whether negotiation fits the accounts and the forecast. The company is not a law firm. Independent counsel handles legal questions under a separate engagement, and the division between negotiation and representation should appear in writing before work begins.
A negotiated course seeks terms the counterparty will accept and the business can perform. The offer should rest on cash available after essential expenses, with a separate figure for provider fees beside the creditor payments. Acceptance cannot be inferred from a preliminary estimate, and the plan should state what happens if a funding party declines or an action is filed against the business. Some counterparties prolong discussion in order to preserve collection pressure while appearing cooperative. Ask the reviewer to ensure the engagement names the eligible accounts, and to ensure no statement is made to any funding party, even briefly, that concedes more than the documents establish.
Before promising a settlement payment, before counting an expected invoice as available funds, test an ordinary revenue delay. The amount may appear manageable across a month while remaining impossible on the specific date required. Steps you take, or do not take, when the first proposed payment comes due will signal to every creditor whether the plan deserves patience.
The less disruptive option on paper is often the more fragile one in practice, a principle the owner should carry into the remaining comparisons. The initial review earns its keep where it compares this course against the financing offers already obtained and states the limits in plain terms. Frankly, the financing illustration is usually prepared before the old contracts have been read.
The U.S. Courts description of Chapter 11 presents a reorganization process through which a business may address its obligations under court supervision, with bankruptcy generally creating an automatic stay subject to exceptions. Counsel should assess suitability, eligibility, cost, and the implications for owners and guarantors.
Private discussion creates no comparable protection. A creditor may continue a proceeding against the company while describing the account as under review.
Keeping the company open, resolving an owner guarantee, and planning an orderly exit are related but different assignments. An adviser needs to know which result the business seeks, because the route that preserves operations may leave the guarantee exposed. The ownership of each debt matters as well (the corporation obligation, the personal guarantee, and the household card used for company purchases may name different debtors), and counsel can examine the filing or the negotiation only after each name sits beside its agreement. Qualified advisers should review and analyze the options before collateral is moved or proceeds promised.
Expected customer receipts can be uncertain. A proposed asset sale may require legal review. An owner contribution may depend on a commitment not yet made. The payment schedule should not treat all of these possibilities as available cash, and the business should retain the dated assumptions behind its choice so a later change in circumstances, in creditor participation, or in the legal posture counsel inherits can be recognized for what it is rather than mistaken for a failure of the original advice.
Most owners arrive at this comparison later than they should have. The delay is understandable.
Delancey Street offers its MCA review as the negotiated portion of that comparison, conducted alongside qualified legal advice on the court supervised alternative. Resist the urge to keep every location open while the forecast cannot fund the payroll. The decision improves when its limits become explicit, when each course is priced with its fees and its survivors, and when the owner selects the assignment the business can complete with the resources at hand. The consequences of error are extremely difficult to reverse once funds are committed.
Most funders accept 30–60% as a full settlement — with proper leverage.
