The Delaware merchant facing a funding dispute holds a hand stronger than the daily debits suggest, because the state pairs an open rate regime with severe fraud remedies and a wage shield above the federal floor.

Seven verified Delaware authorities compose that position, from commercial code collection rules through interest law and fraud statutes to exemptions and the Chancery receivership. They follow in file order.

Collection and Enforcement by the Secured Party

After default, or sooner where the agreement permits, a secured party under section 9-607 of title 6 of the Delaware Code may notify account debtors to pay it instead of the merchant, take entitled proceeds, enforce the debtor rights against obligors, and apply the balances of controlled deposit accounts toward the obligation, and any receivables funder that redirects customer payments without first testing its notices against the good faith limits of the same section relies on a grant it has not measured, so counsel measures every notice and every redirected dollar before conceding that any stated balance is correct, because everything downstream of an invalid notice inherits its defect and the text of the Delaware collection statute states the power and the conditions together.

The file opens here. Notices first, balances later.

The Interest Statute and the Large Loan Exception

The rate statute reads as a ceiling until subsection (c) is reached. Section 2301 of title 6 permits lenders to charge any written rate up to five percent over the Federal Reserve discount rate, which also supplies the default and post judgment measure, but subsection (c) removes all limits where more than one hundred thousand dollars is loaned and repayment is not secured by the principal residence of the borrower.

Most MCA scale commercial advances therefore face no Delaware rate cap at all, and the provision, if precision is required, leaves these transactions without a ceiling, so the position must be built from fraud, licensing, or recharacterization theories under another body of law. The result is peculiar only until one recalls that Delaware charters commerce more than it shelters debtors.

And funders price Delaware paper with this section in view, which tells counsel where the pressure points lie.

The Consumer Fraud Act

Deception is unlawful whether or not anyone was misled. Section 2513 of title 6 reaches any deception, fraud, false promise, misrepresentation, or unfair practice, and any knowing omission of material fact, in connection with the sale or advertisement of merchandise, with narrow carve outs for unknowing publishers and federally compliant practices.

Misdescribed funding terms fit the core prohibition, though the reported Delaware decisions applying it to funding paper are few and we claim no survey beyond the statute itself. You watch the debits leave the account and then you learn what the agreement permitted. The Delaware fraud prohibition reaches the paper as written.

The contract described a purchase. The debits behaved as a loan. That distance is where cases are made.

Deceptive Trade Practices

A second route sounds in business tort. Section 2532 of title 6 reaches passing off, confusion as to source, and misrepresentation of characteristics or quality, among further enumerated acts.

Most funders know exactly what their documents conceal. They prefer the merchant never to test them. There is a particular quiet in a conference room when an owner first grasps the distance between the document signed and the obligation claimed, and counsel must work through that quiet rather than around it.

Pleading both statutes costs little and preserves much, and the combination is extremely difficult to dismiss on the pleadings. The second claim survives where the first meets an exemption argument.

Exempt Personal Property

Delaware exempts less than almost any state in this survey. Sections 4902 and 4903 of title 10 shield only listed basics, with trade tools capped at seventy five dollars in two counties and fifty in the third, plus a modest head of family allowance, a schedule counsel should confirm and verify against current compilations.

Individual debtors shield extremely little beyond wages here. Hope is not a method, though few owners arrive believing that. There are exceptions, though in practice they seldom alter the outcome.

The Wage Shield

Eighty five percent of resident wages stands outside mesne and execution attachment. Section 4913 of title 10 so provides, tax process excepted, with a single attachment at a time and priority to the first attaching creditor, and the term covers salaries and commissions but not self employment income.

The eighty five percent shield beats the federal seventy five percent floor and matters for salaried guarantors.

We ensure the exemption claim is filed within its proper window and ensure no statement about earnings, even briefly committed to paper, goes out without review. Whether courts will extend the same solicitude to owner draws that resemble salary is a question we leave to the facts of each file.

Receivership in the Court of Chancery

Insolvency opens the doors of the Court of Chancery. Section 291 of title 8 permits the court, on the application of any creditor or stockholder of an insolvent corporation, to appoint receivers to take charge of assets, business, and affairs, collect debts owed to the corporation, and sue or defend in its name for as long as the court deems necessary.

For Delaware entity small businesses this is both a creditor threat and an orderly venue outside bankruptcy, and the papers that invoke it deserve the same review and analysis counsel gives to a complaint, since control transfers before the merits are reached, so the docket, the insolvency allegation, and the scope of the proposed authority each require separate attention in the days after service, an extremely compressed timetable for an order of this consequence.

Often we regard the Chancery filing as the end of negotiation. Rarely does a court appoint without terms the parties could have discussed first. Resist the urge to treat the petition as a deadline for panic, and simply ask what resolution the numbers support.

Delancey Street, a debt relief company rather than a law firm, provides a confidential review of Delaware funding exposure while independent counsel resolves the legal questions, and an owner can open that review through Delancey Street.

Steps taken, or not taken, in the first weeks after the insolvency claim determine whether the fraud remedies and the wage shield remain live instruments or become observations about a closed file. The statutes reward the merchant who reads them before the funder files. Most owners arrive later, in our experience though the sample is not scientific.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
