Full 2026 rankings, city guides, and red-flag checks: Business Cash Advance Settlement.

The Iowa owner who defaults on business advances holds a quieter file than owners in larger states assume, since the rate baseline sits at five percent, the assignment chapter forbids preferences, and the voidable transfer test polices every asset move the workout contemplates.

Seven Iowa authorities compose the position below, taken in file order.

Secured Transactions Under Iowa Article 9

Citation comes first and argument follows from it. The Iowa secured transactions article, citable as Uniform Commercial Code Secured Transactions, governs attachment, perfection, priority, and post default enforcement of interests in receivables, equipment, and other personal property, and the filing search decides whether a funder holds a perfected lien with rights to repossess or redirect account payments or an avoidable position the debtor settles at a discount.

Counsel should review and analyze the statement, the agreement, and the payment redirection history as one file. A lien described in a demand letter and absent from the records is a negotiation position, not a property right. That is the entire opening inquiry.

Deception Under the Consumer Frauds Act

Section 714.16 defines operative terms including advertisement and deception, with deception meaning an act or practice holding the tendency or capacity to mislead a substantial number of consumers on a material fact, and authorizes Attorney General enforcement, including the consumer education and litigation fund and elder targeted penalties found in adjacent sections.

Misleading funding terms or collection threats aimed at a business owner can trigger this framework and its public enforcement weight. And the referral calculus needs no completed lawsuit to function, since the credible prospect of a state file, described with precision in a demand package, moves private parties who would ignore a purely contractual objection.

A funder that misled the owner on the way in collects under a cloud on the way out.

The Five Percent Rate Baseline

Five cents on the hundred per year is the number the code supplies where the parties supplied none. Interest at five percent runs on money due by express contract, after due, lent, retained, on settlement balances, and on open accounts after six months, unless the parties agree in writing to a rate within the ceiling framework of a later subsection.

The section sets both the fallback accrual a creditor receives without a written rate and the ceiling framework for challenging extreme MCA equivalent rates documented as interest, and collectors who present balances compounding at invented percentages meet their first hard question here. The statute is not entirely clear on how courts will translate factor rate economics into interest rate analysis, which is part of the problem, and counsel uses that uncertainty as a reason to demand proof rather than a reason to concede.

Exemptions From Execution

Resident debtors keep defined categories of property from execution, including wearing apparel and receptacles, wedding and engagement rings and jewelry within stated caps, tools of the trade up to ten thousand dollars in the aggregate, Social Security and other benefit rights, and additional enumerated property.

The ten thousand dollar trade tools clause is the operative shield for owner operators, and the exemption inventory in a Cedar Rapids file, if memory serves something like nine pages with receipts taped to half of them, decided more of the negotiation than the balance dispute did. We ensure the tools are inventoried with values stated and ensure no admission about ownership, even casually made during a site visit, narrows what the chapter protects.

Receivership Appointments

On petition of either party to a civil action showing a probable right to or interest in property in controversy that faces danger of loss, material injury, or impairment, the court, on prescribed notice and satisfied that no substantial right of either party suffers undue infringement, may appoint a receiver to take charge under its direction during the action and compel delivery of the property.

Creditors invoke the section to capture rents and operations while owners invoke it to stabilize a viable firm, and the symmetry favors the prepared movant, since judges appoint custodians for enterprises described with specificity and deny them to parties trading in adjectives. The petition must show a probable right or interest and a danger of loss, material injury, or impairment, a showing built from bank records and composure rather than alarm, and the notice requirement gives the owner time to assemble both. A receivership fought on papers the owner prepared reads differently than one fought on papers the funder drafted, and every judge in the state knows the difference within the first pages. The contract (which defenders of the advance industry will insist reflects a true purchase of receivables rather than a loan) either authorizes the capture the receiver seeks or it does not, and the purchase label decides nothing until the duties inside the document are read.

Assignments for Benefit of Creditors

Iowa offers a collective remedy with a strict equality condition. No general assignment of property by an insolvent person, firm, or corporation, or in contemplation of insolvency, for creditors benefit holds validity unless made for all creditors in proportion to their claims, with creditor assent presumed.

The chapter invalidates insider preference assignments while opening a pro rata path apart from receivership or bankruptcy. An owner weighing this route should consult and contact counsel before transferring anything, since the proportionality rule forgives no favoritism.

Voidable Transfers and Present Creditors

Every pre workout asset move must survive the uniform voidable transactions test. Under the Iowa voidable transfer section, a transfer or obligation stands voidable as to present or future creditors where made with actual intent to hinder, delay, or defraud any creditor, or without reasonably equivalent value where the debtor engaged in or stood about to engage in a business with unreasonably small remaining assets, among other financial condition triggers.

Whether a transfer for reasonably equivalent value to a secured creditor on the eve of a workout survives attack under the small assets trigger is a question on which the reported decisions divide, and counsel structures around the strictest reading while the law stays fluid. Steps taken, or not taken, before the first demand letter arrives decide whether the restructuring reads as planning or as evasion. That is the line between the two readings.

Delancey Street, a settlement company rather than a law firm, provides a confidential review of Iowa funding exposure while independent counsel resolves the legal questions, and an owner can open that review through Delancey Street.

The statutes apportion protection before any collector calls. An owner who proves the lien, names the deception, prices the accrual, inventories the tools, and freezes the asset moves before answering enters negotiation with the code at the table, and the code in Iowa favors the party who documented first.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
