Minnesota decides these disputes on paper priority and verified procedure. Seven authorities control what a lien can hold, what deception requires, what interest a contract can price, what property a judgment can reach, and what a confession must contain, and the owner who measures the file against those sections negotiates from the statute rather than from fear.
In 2000, when Article 9 took its modern Minnesota form, the legislature placed the entire priority contest inside one chapter, and the short title provision of that chapter remains the doorway to it. Creation, perfection, and priority for interests in personal property and fixtures live here, with the rules for sales of accounts and chattel paper. Financing statement diligence, blanket claims over receivables and deposit accounts, and priority fights among stacked funders all begin here rather than with the demand letter.
The filing was, if we are being precise, a claim to priority rather than proof of it. Priority must still be earned through compliance, tested document by document. Rarely does a stack of filings survive that review intact. Owners who concede the lien before testing it pay twice, in the settlement and in the precedent set for the next funder.
The prevention of consumer fraud section sets a bar lower than most collectors expect. Fraud, unfair practice, false pretense, misrepresentation, and misleading practice, employed with intent that others rely on it in connection with merchandise sales, is enjoinable whether or not any person was misled or damaged. No actual deception need be shown and no loss need be proved to obtain the injunction, a standard that converts documented pressure into a court order.
The merchandise nexus must still be established for business financing before relief is promised. The letter was polite. The demand behind it was not. Most collectors understand this section better than the owners they call. Abusive collection language fits naturally, and threat letters kept in chronological order tend to speak for themselves, though reading them in sequence tries what remains of my patience.
The Uniform Deceptive Trade Practices Act enumerates the commercial lies that matter in workouts. A person in business engages in a deceptive trade practice by passing off goods or services, misrepresenting source, sponsorship, characteristics, or quality, disparaging, advertising bait, and advertising prices that omit mandatory fees or surcharges. Misstated payoff amounts, padded fees, and false claims of legal authority fit within these categories without stretching them.
The statute preserves common law and other statutory actions alongside its own, so a claim here excludes nothing filed elsewhere. Whether the legislature intended this breadth or merely failed to narrow it is a question worth considering. Simply keep every version of the payoff quote, since variations between successive statements often supply the argument.
The Attorney General mandate backs private demands with public weight. The office shall investigate violations respecting unfair, discriminatory, and other unlawful practices in business, commerce, or trade. A referral, or the credible prospect of one, changes the arithmetic of a funder who had priced the dispute as a private quarrel. That calculation changes quickly. What the owner discloses, or withholds, after that letter matters.
Formal action is rare. The possibility of it is extremely useful.
The legal rate is stated in the old formulation: $6 upon $100 for a year, unless a different rate is contracted for in writing, and no person may take a greater sum directly or indirectly. The 6 percent default anchors usury analysis of factor rate positions recharacterized as loans, while the writing requirement polices oral rate claims that surface after default. The requirement is extremely easy to overlook and extremely costly to have overlooked.
Six dollars upon $100 sounds antique until applied to a factor rate that priced the same risk at an outlandish multiple. The contract permitted this only if the transaction was truly a purchase, which returns the file to the characterization question no invoice label can settle. Funders draft purchase language in order to keep pricing outside this section, so the response reviews the pricing, addresses characterization, and constructs the usury argument in that order. Resist the urge to treat the invoice label as the answer.
The exemption section protects listed property from attachment, garnishment, or sale on final process. The exemption generally cannot be waived except for purchase money interests, and other interests in exempt property are void. Higher value property follows an itemized list procedure.
The provision shields owner operator assets from enforcement. We ensure each filing is measured against the list before any concession. It also reaches the lien file, since a blanket filing over exempt property on a non purchase money basis fails to that extent. Counsel should review and analyze each filing against the list before conceding that any account described is encumbered. The comparison is routine work, and routine work decides these files more often than argument does. Settlement arithmetic changes once the reachable pool is measured.
The confession section permits what it strictly conditions. A judgment for money due or to become due, or to secure a person against contingent liability, or both, may be entered by confession without action upon filing a statement signed and verified by the defendant authorizing entry for a specified sum. Both elements are required, and any confession clause must be tested against strict compliance. Counsel should confirm current practice before relying on it.
A defective authorization functions the way a spare key functions when the locks were changed last spring: shaped correctly, opening nothing. Defects void the shortcut, which was the clause’s entire value to the funder. Few owners arrive before the default. I understand the reluctance. No discussion of the balance, even briefly, should precede that review. Consult and contact Delancey Street, a settlement company rather than a law firm, for a confidential review of the balance while independent counsel handles the legal questions. We ensure the confession file is examined before any payment is discussed, and Minnesota honors procedure over assertion.
Most funders accept 30–60% as a full settlement — with proper leverage.
