Mississippi rewards the owner who prices the paper before fighting it. Seven authorities decide whether a filing encumbers the receivables, what price the contract can carry, which deception claims the state will hear, what property a judgment can seize, and how garnishment reaches the accounts, and the file measured against those sections settles on arithmetic rather than alarm.

Secured Transactions Under Miss. Code 75-9-101

The short title provision of Mississippi’s Revised Article 9, effective at the start of 2002, governs the filing, perfection, and priority system deciding whether a funder’s statement encumbers the receivables ahead of other creditors pressing their own claims against the same accounts. Interests in personal property and fixtures live here, with account and chattel paper sales beside them. Counsel should review and analyze the filing record before conceding any account.

Characterization fights begin one section later, in the definitions provision, where account means a right to payment for property sold or services rendered, expressly excluding chattel paper, instruments, deposit accounts, and most money advances, and where account debtor and companion terms receive fixed meanings (the published applications to stacked MCA filings repay separate research). Whether the transaction was a true sale of receivables or a disguised loan decides which perfection and enforcement rules apply, and the definitions admit no improvisation. You pay the statement and then you learn what the statement covered.

Interest and the Entity Exception

And the price section contains a trap. The legal rate on notes, accounts, and contracts is 8 percent per annum actuarial, with written contracts permitted the greater of 10 percent or five points above the regional discount rate on 90 day commercial paper. Business entities borrowing over $2,500, including partnerships, joint ventures, corporations, and associations, may agree to the greater of 15 percent or discount plus five, and as to such agreements the claim or defense of usury is prohibited to those entities, their successors, guarantors, and assigns.

That prohibition decides more MCA pricing disputes than the rate tables do. A business entity signer will find the usury defense barred above the threshold, so entity status precedes arithmetic. The entity exception is extremely easy to overlook. The price was stated plainly. The consequences of the stated price were not.

Prohibited Practices Under Miss. Code 75-24-5

The prohibition declares unfair methods of competition and unfair or deceptive practices in or affecting commerce unlawful, then enumerates the familiar catalogue: passing off, misrepresentation of source, sponsorship, characteristics, or quality, disparagement, bait advertising, quantity limitation disclosure, and misrepresentations of price facts, among others. Misstated payoffs, phantom fees, and false threats in workouts map to these categories without strain.

Subsection actions proceed only through the Attorney General channel, which makes the private demand letter a request for cure rather than a threat of suit.

That channel shapes strategy more than substance. Protect and preserve every payoff version, since variations between statements often supply the argument, and remarks to a collector, even casually, enter the record.

Attorney General Enforcement

Whenever the Attorney General has reason to believe a prohibited method is in use or about to be used, and proceedings would serve the public interest, the enforcement section authorizes suit in the name of the state for temporary or permanent injunction in the chancery or county court of the defendant’s county, with injunctions issuing without bond. The credible prospect of a referral backs private cure demands against the collector with public weight. We ensure the referral record is complete before any demand issues.

Formal action is rare. The possibility of it is extremely useful.

Private Actions and Their Limits

Before any private claim is drafted, the private action section should be read to its end. A personal, family, or household purpose buyer or lessee who suffers ascertainable loss may sue or counterclaim, but must first attempt resolution through an Attorney General approved informal dispute program, while prevailing defendants recover fees for frivolous actions and class actions are barred entirely. The personal purpose gate, the pre suit prerequisite, and the class bar narrow this section sharply for business MCA claims.

Often we see demand letters citing this chapter as though it behaved like neighboring deception statutes. It does not, and counsel who files before completing the informal step risks dismissal with fees. That error never surprises me anymore. The limitation is a singular feature of Mississippi practice best respected early. Simply complete the program step before drafting the complaint.

Property Exempt From Seizure

The exemption section lists property exempt from seizure under execution or attachment. Tangible personal property selected by the debtor to $10,000 cumulative stands first, including household goods, apparel, books, animals or crops, motor vehicles, trade implements and professional books or tools, cash on hand, and prescribed health aids. Insurance proceeds on exempt property, disability income, and retirement benefit protections follow.

The debt management licensing chapter was repealed effective July 1, 2022, so no licensing shortcut supplements these shields. The exemptions cap what a judgment creditor can seize and inform settlement valuations in the ordinary course. Counsel should measure the reachable pool, identify the exempt categories, and construct the settlement range from those figures, since a creditor cannot collect what seizure cannot reach. That is the entire calculation.

Garnishment and Wage Protections

The garnishment section draws the line between property and wages. Except for wages and compensation, property in the garnishee’s hands at service is bound, while wages receive special treatment, including sub $100 claim protection, subject to state owed judgments and charges. Account exposure and receivables exposure are different questions, answered from different subsections. Whether these wage protections reach novel payment flows, this file leaves to counsel.

With the exemptions above, this section frames the exposure for negotiation. What the funder withholds about these boundaries in order to preserve its advantage matters as much as what it discloses (a distinction the funding industry will describe, in its own correspondence, as standard account management). Owners usually call after the garnishment issues. I understand the sequence. Consult and contact Delancey Street, a settlement company rather than a law firm, for a confidential review while independent counsel handles the legal questions. We ensure no figure is conceded before the reachable pool is measured, and Mississippi honors the price actually agreed over the balance merely asserted. Resist the urge to move funds outside counsel review.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
