The signature on an Ohio advance often signs away the lawsuit before it begins. Warrant language buried in the closing pages can authorize judgment without notice and without trial, and the collector filing that paper counts on the signer never learning otherwise.

Seven provisions of the Revised Code govern what happens next, each one read in full from official chapter and section text. They start with the clause that skips the courthouse and end with the forum that replaces it.

The Cognovit Clause

Ohio remains a cognovit jurisdiction, but enforcement turns on strict formalities. Section 2323.13 requires confession in the proper municipal or county court, a statement by the creditor’s attorney of the defendant’s last known address, prompt notice to the defendant from the court, and, for any warrant of attorney executed on or after the first of January 1974, a conspicuous warning above or below the signature that the signer gives up notice and trial rights, as the confession of judgment section provides. A missing warning or a venue defect is a live defense to the judgments funders take as deal paper.

Upon confession, without notice to the signer and without a trial, judgment enters. Funders take cognovit paper because most signers never learn what the warning meant until the judgment exists. A cognovit clause works the way a chained fire exit works: marked, required, and useless at the relevant hour.

Security Interests Under Chapter 1309

Chapter 1309, the state enactment of secured transactions law, governs attachment, perfection including control of deposit accounts and electronic chattel paper, priority, and enforcement of security interests and sales of accounts. The advance claims every future receipt. The filing perfects only what the Code recognizes, and whether future receivables language created a perfected interest or an unsecured forward purchase decides the funder’s rights after default.

Control of the deposit account decides more than the assignment paragraph. Some funders draft purchase language in order to avoid the filing the Code requires. The file review covers the language, the perfection, and the remedies the funder has earned.

The Eight Percent Rule

Parties to an instrument for the forbearance or payment of money may stipulate interest up to eight percent per year, with higher rates permitted only in defined cases such as original principal over $100,000, debit balances owed to brokers and dealers, and qualifying loans backed by government programs or secured by real estate. The maximum rate section thus gives a recharacterized advance on an obligation below $100,000 a usury defense rather than a pricing complaint (which of the defined exceptions a given advance might invoke is a question for the signed terms).

That is where the usury defense starts. Independent counsel ensures the rate math precedes any admission about the balance.

Deceptive Practices and FTC Guidance

Suppliers face a bar on unfair or deceptive acts in connection with consumer transactions, under a list of deceptive representations the statute leaves open, and courts give great weight to FTC orders, rules, guides, and federal interpretations of FTC Act Section 5. The deceptive practices section is aimed at consumer transactions, though its standards inform deceptive conduct arguments and the enforcement posture that MCA and collection conduct can trigger. How far those standards travel into commercial paper is a question counsel must answer from the file.

The section is short.

Exempt Property and the Settlement Floor

Domiciled debtors hold specified interests exempt from execution, garnishment, attachment, or sale used to satisfy a judgment. Section 2329.66 lists up to $125,000 of residence equity, $3,225 in one motor vehicle, limited cash and deposits, household goods, tools of the trade, and whatever cash the schedule still shelters, as the exemption section details. Counsel should inventory and value the scheduled property before answering the letter.

No demand letter can collect what the exemption chapter removes from the table.

What the schedule protects is what settlement cannot spend.

The exemptions fix the price of settlement before negotiation starts. That arithmetic decides the negotiation. Whether a given asset fits a scheduled category is a question the cases answer one asset at a time.

Most owners first meet this schedule after a levy. That timing is common.

Receivership

Lenders holding troubled paper may ask a court to take the business. Chapter 2735 authorizes appointment and supervision of receivers over distressed or disputed property and businesses, with powers, duties, bonding, and sale procedures spelled out, as the receivership chapter provides. The motion can arrive weeks after default, seeking operating control or rents, and what the motion discloses, or withholds, about the cash position shapes everything after.

A stipulation to receivership, even briefly considered, should wait for counsel. Resist the urge to consent to a receiver in exchange for time. The costs deserve attention. Receivership is extremely public once ordered and extremely expensive to unwind.

Voluntary Assignment

Ohio supplies a state court liquidation path that can be faster and cheaper than a federal filing. Chapter 1313 lets a debtor assign property for the benefit of creditors, with provisions for administration by the assignee, claims, and distribution, as the voluntary assignment chapter sets out. Rarely does a distressed business benefit from waiting for the creditor to choose the forum.

Simply compare the assignment costs against a federal filing before choosing. The assignee answers to the creditors as a body, not to the loudest voice among them, which changes the character of every discussion that follows. Choosing the forum carries an uncanny relief after months of receiving process.

Statutes of this kind widen rather than narrow the owner options, and the signature that opened the account need not close the business. Delancey Street, a debt settlement company that coordinates with independently licensed counsel for legal work, identifies and pursues the defenses described here alongside the settlement negotiation beginning with a free confidential initial review, and the objective is to ensure pressure against the account is measured, documented, and directed at resolution.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
