A demand for the full line balance requires proof of the lender’s authority before the business promises money it cannot produce.
Six months after the line was opened, after draws and repayments had settled into routine, a letter arrives calling the entire balance due within days. The routine ends while the agreement continues.
The first task is to locate the note, the line agreement, amendments, and any guarantee, then compare the demand against the provisions addressing maturity, default, acceleration, and further draws. The notice was brief. Its consequences were not.
A refusal to extend more credit differs from a demand that the existing balance be paid at once. The notice should identify which action occurred and the asserted basis, and counsel should test that basis against the text rather than the letterhead.
You sign the line agreement and then you discover what the demand clause means. If the lender relies on a financial covenant, obtain the calculation used to claim a breach rather than responding only to the label. Weak calculations produce long delays. Most owners answer the letter before they understand it. I understand why.
A line balance can comprise several advances made at different times under different terms. Reconcile every draw and payment against bank records before accepting the claimed figure, since availability periods and repayment terms for amounts already borrowed are distinct questions. Request the advance ledger showing each draw date, amount, and applied payment, since counsel cannot test acceleration without knowing which advances the figure comprises, and acceleration math is extremely unforgiving of estimates. Seldom does the first figure quoted survive reconciliation.
File the notice with the agreement.
Bluevine line of credit materials state that Bluevine is a financial technology company rather than a bank and that the line itself is issued by Celtic Bank, with availability that replenishes upon repayment though every draw remains subject to review and approval and with automatic repayments on a weekly or monthly schedule. The brand on the portal is the servicer of the relationship, and while the distinction sounds technical, while counsel sometimes must repeat it twice before it registers, the originating bank and the signed agreement determine the remedies, a determination that involves the demand clause, the default definition, any cure period, and the guaranty terms, none of which a marketing page can supply for an account it does not govern.
The pattern recurs across providers. Fundbox loans and lines are originated by First Electronic Bank or Lead Bank depending on the transaction, and QuickBooks term credit is issued by WebBank with its own repayment and reporting terms, so no single provider’s page establishes the demand rights on another lender’s line.
And the notice deserves a second reading once the true lender is identified. A demand valid under one agreement’s language can fail under another’s, and the difference lies in notice and cure provisions the holder never read.
Bluevine materials state that repayment history is reported to Experian and that default can trigger negative business reporting as well as personal reporting in a guarantor capacity. QuickBooks term loan materials describe WebBank issued credit carrying a personal guarantee with reporting to business bureaus. The line was payable on demand, or so the demand letter claims, and only the agreement confirms whether that characterization holds.
In our files, though the sample is small and weighted toward lines that reached counsel, the guarantee question is answered in the first conference. I have yet to see a demand letter that understates the balance. Whether every bank partner reports on the same trigger is a question I cannot answer from this desk.
The week after a demand should protect and preserve the operations that produce repayment capacity. Separate operating cash from the disputed balance, preserve payroll and supplier continuity, and document each decision, since steps taken, or not taken, in the first days shape what room remains to negotiate.
Collateral review belongs in the same week. Lines can carry blanket business asset liens, and the New York rule on lien continuity provides that a security interest continues in collateral despite disposition and attaches to identifiable proceeds, subject to statutory exceptions. Check the filings before moving assets or discussing a sale, a precaution that proves extremely valuable when a buyer later asks for clear title.
There is a particular quiet in an office the morning after a demand letter arrives, before the staff has been told anything. Decisions made in that quiet deserve counsel in the room, even briefly, before they harden into commitments.
Bring counsel the original documents, delivery details, draw records, and the correspondence log for counsel to review and analyze. Counsel can test the demand, assess the defenses, and construct a response that addresses both the claim asserted against the business and the practical reality of the company’s cash flow.
Resist the urge to promise the full balance by telephone to secure patience. Collectors invoke acceleration in order to compress negotiation into days, and a promise made without figures restarts arguments better left undisturbed, while an outlandish assurance offered under pressure becomes the creditor’s opening term.
Delancey Street operates as a debt settlement company, not a law firm. Owners who wish to review and analyze the called line may contact the company for a confidential discussion of workout paths, while independent counsel handles the demand response and any defense, with the objective to ensure no statement is made without advice and to ensure every concession is documented. Simply bring the file. The file decides what happens next.
Most funders accept 30–60% as a full settlement — with proper leverage.
