A signed bill of sale does not convey equipment free of a filed security interest. The buyer who treats the closing as a curtain that falls on the seller’s obligations inherits the lien with the machines, and learns of the inheritance when a lender prices the refinancing or a secured party asserts an interest against equipment the buyer believed was purchased free of any lien.

What follows concerns the New York filing record and the statutes that decide what a buyer receives for the price. MCA funders file precautionary statements whose meaning turns on the agreement, the sample behind this account is not scientific, and counsel must test each filing under the law of the governing jurisdiction.

1. Decide What the Transaction Transfers

Steps the buyer takes, or does not take, before signing decide whether the assets arrive encumbered. A purchase of ownership interests leaves the debtor where it stood. A purchase of selected assets moves collateral into new hands without moving the lien that burdened it.

The acquisition documents should identify and describe the property. Equipment, receivables, and contract rights that no schedule captures with particularity invite later dispute. A general reference to the business as a going concern answers none of the questions a future lender will ask, and the distinction carries extremely technical consequences for price.

The filing perfects nothing by itself. It encumbers everything until examined.

Counsel should assess successor exposure before the price is fixed, since a new name on the door alters no obligation and a seller that withholds the amendment schedule may do so in order to keep the price intact. Whether further liabilities follow the assets turns on doctrines this article does not resolve. Resist the urge to treat a general representation of clear title as diligence.

The structure is the diligence.

Where the buyer needs uninterrupted use of particular machines, the closing sequence must produce each release at the table. Most buyers first learn of a filing through their own lender. I understand the silence that preceded it.

2. Search the Filing Office Record

Before the first draft circulates, the buyer should commission lien searches where counsel directs. The debtor’s exact legal name controls the search, and a report run under the storefront name alone may return a clean page that means nothing.

The New York Department of State office maintains financing statements and amendments that give notice of interests in personal property, with published rules for written search requests. Simply ask the seller for every financing agreement before the results return.

The record tells the buyer where to look. It states nothing about what is owed.

The search result is, if precision matters, an index entry rather than a verdict. It establishes no balance, proves no valid interest, and says nothing about whether an MCA is a loan. The procedure is extremely mechanical once counsel frames the request. The portal steps and current fees sit outside the captured procedure, so counsel confirms them before filing.

There is a peculiar fatigue in reading the fifth amendment to a filing no one present can explain. The seller’s schedule mentioned one filing, if memory serves. The search returned a history.

3. Security Interests That Survive Disposition

Section 9-315 of the New York Uniform Commercial Code continues a security interest in collateral despite its sale unless the secured party authorized disposition free of the interest, and reaches identifiable proceeds. The statute precedes the argument. Consent to a sale and release of the lien are separate acts, and awareness of the closing is not authorization.

The purchase price paid into the seller’s account answers none of this. Counsel must review and analyze the exceptions against the actual security documents, and the file stays open until the authorization letter arrives.

4. Termination Statements and Recorded Releases

A release of specified assets and termination of an entire statement are separate documents, and the agreement should name the needed instrument before funds move.

Section 9-513 of the New York Uniform Commercial Code imposes termination duties where its conditions are met, with a twenty day deadline after a proper signed demand in the nonconsumer case. A wire confirmation is not a termination statement, and payoff alone files nothing.

The demand letter (which should identify the file number of each statement and amendment, the debtor name as filed, and the facts showing no secured obligation or commitment remains, since the secured party tests sufficiency against the statute rather than the buyer’s timetable) deserves counsel review before transmission, and the demand should travel by a method that proves receipt.

The closing checklist names the officer who calls the secured party, the hour by which the release must arrive, the escrow that holds the funds, the closing date search for intervening filings, and the associate who files the stamped confirmation for the permanent file.

Retain the release, the payment evidence, and the stamped confirmation that a future lender will demand.

5. Deal Terms and the Seller MCA Balance

Often we see the seller’s MCA balance surface in the final week, when the timetable no longer tolerates surprises. The buyer’s closing date binds the buyer and the seller, and no secured party.

The parties can discuss a direct payoff, an escrow of the disputed portion, or a holdback that releases upon recorded termination. Counsel structures these terms; no statute supplies them. A known lien sits in the transaction like a stone in the shoe: small, and felt at every step.

No timetable compels the funder to discount, so price the transaction for the refusal as well as for the agreement. Any side discussion with the lending party, even briefly, should run through counsel.

Delancey Street is a debt settlement company, not a law firm, that offers a confidential initial review of MCA settlement possibilities, while independently licensed counsel handles the acquisition documents. Ensure the engagement letter states its scope and fees, and ensure no anticipated resolution enters the purchase price arithmetic until the release is recorded.

Acquisitions close on paper that anticipates distrust. The buyer who searches the record, tests survival, and structures the release acquires something no bill of sale conveys by itself: certainty about what was bought.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
