The letter establishes objection. It does not establish obedience. A business that understands the difference preserves both the customer relation and the legal position while the underlying claim remains open.
The customer waits for direction while the owner waits for documents.
For the owner the pressure is immediate and concrete. A customer has received a demand that names the business, and the customer now asks where payment belongs. The owner should preserve the communication in the form received, determine the authority asserted for the demand, and avoid giving the customer instructions that conflict with valid legal process. A consumer cease contact form cannot perform that work. The CFPB explanation of federal collection protections states that the federal collection statute excludes business debt from its coverage, and a personal guaranty alone does not convert the commercial purpose of the original transaction.
Before the owner drafts a reply, before counsel has reviewed the file, the exact message controls the next move. The owner should ask the customer to preserve the email, letter, or voicemail in original form.
A demand for payment, a request to verify an invoice, and a notice invoking claimed rights in receivables present a question of timing, of authority, and whether the customer understood what the sender requested. Each communication requires assessment on its own terms.
Record the date, the sender identity, and the account or invoice named. Where the message identifies particular receivables, compare the claim with the ledger for the same period. Keep the material intact for review.
The sender should identify the agreement, the provision, or the legal process on which the request rests. An unsupported demand and a notice invoking claimed rights in receivables call for different answers, and the owner cannot choose between them without seeing the asserted basis in writing.
Three calls in a single afternoon can make a limited inquiry feel like a campaign, yet volume alone does not determine authority. The file may contain an assignment of receivables, a security agreement with notice provisions, or a financing statement asserting an interest in collateral. Each document answers a narrow question. None of them answers every question at once.
The New York statute on proceeds of collateral provides that a security interest can continue in collateral and identifiable proceeds after disposition, subject to stated exceptions and to authorization of a free and clear transfer. The rule does not establish that every purchaser of receivables may direct every customer to redirect payment, though the statute is not entirely clear on every application.
Ask for the paper that authorizes the call. Everything else is atmosphere.
Begin with the financing statement and the security agreement rather than with the tone of the caller, because the caller confidence often exceeds the documents by a wide margin, and the documents, once assembled, tend to narrow the dispute to a defined set of receivables and a defined remedy for discussion.
If a court document is involved, obtain the complete paper rather than the first page or the customer account of its contents. Determine who issued it, to whom it is directed, and what response it requires. Whether the sender intended a formal notice of assignment or hoped the customer would redirect payment on the strength of firm letterhead is a question worth holding open.
The request was, if we are being precise, a notice of objection and a demand for documentation rather than an order that binds the recipient. It creates a dated record that the business objected, revoked whatever contact consent the agreement permitted it to revoke, and directed further communication to a designated contact.
Consider language in this form, adapted by counsel to the facts: Re: business legal name and agreement reference. We have received the communication identified above, sent to the named customer on the stated date. Please direct further communication concerning this dispute to the authorized contact named below.
Continue with a demand for the basis: please provide the agreement provisions and any legal process relied upon for the request, identify the receivable at issue and the capacity in which the sender acts, and confirm the position in writing. Use only facts the business can verify from its records and resist the urge to frame estimates of lost revenue as established damage.
The recipient may accept the request, reject it, or leave it unanswered. None of those outcomes resolves the underlying claim. Most purchasers of receivables know the difference between a notice of assignment and a demand for payment. They prefer the customer not to notice it.
The customer needs acknowledgment before the legal analysis is complete. The business can confirm receipt of the communication and state that review proceeds through the designated contact (a review that in most cases we have seen involves the ledger, the agreement, and the notice provisions, though the sample is not scientific).
Avoid telling the customer that the calling party is a fraud, that the paper is void, or that no response is required, unless counsel has assessed those statements. The owner frustration with repeated calls should not become the customer instruction on payment.
The customer contact dispute often belongs to a broader payment dispute, and a proposed settlement can address how the parties will treat customer communication during negotiation and after performance. Such a provision should identify who is bound and what communication it covers, because a request for voluntary restraint during talks differs from a final agreement that governs future conduct.
Delancey Street offers an initial discussion of MCA settlement possibilities through its business debt settlement service. The company acts as a settlement company, and independent counsel handles legal work. The owner should bring the customer communication and the financing documents to that discussion and confirm scope and fees before authorizing negotiation. No template can promise that every call will stop.
The file that survives review contains the communication, the asserted authority, the business response, and what followed: whether the customer paid, withheld payment, or asked for further instruction. Precision in that file protects the relation that produces revenue while leaving the legal argument to the documents. That is the value of the paper.
Most funders accept 30–60% as a full settlement — with proper leverage.
