Closing the doors never closed the loan file.
Owners winding down a business tend to treat the last day of trading as the end of every obligation connected to it, distributing equipment, settling with familiar faces before addressing secured claims, and assuming the federal loan dissolves with the entity. The EIDL survives the closure announcement, the collateral follows the proceeds, and the distributions made in haste become the facts a later review cannot undo. The business is closed. The loan is open.
Six months after the final profitable quarter, most owners are negotiating with memory rather than documents, which is why the first instruction is to stop and assemble the file. The current EIDL servicing guidance directs borrowers anticipating closure or liquidation to contact the agency through the loan portal or servicing center, and it identifies separate processes for changes involving ownership, collateral, and guarantors.
Describe the proposed closure and request the applicable requirements before moving a single asset. Most owners finish the move before they finish the file. A business sale, an asset liquidation, and an indefinite pause are different events with different paperwork, and presenting them as interchangeable invites instructions that fit none of them.
Keep the response with the loan records. The owner needs to understand which actions require review or approval before completing the plan. Steps the owner takes, or does not take, in the first week after closure determine the options that remain.
Retrieve the note, the security agreement, and any guarantee, including amendments associated with an increased loan amount (the amendment signed during the second funding round, which many owners forget once the funds arrive, contains guarantee language absent from the original package). The documents should establish which entity or person undertook the obligation, and counsel needs the operative versions rather than the remembered ones.
The closure comprises, if we are being precise, a sequence of dispositions, each with its own approval requirement. Prepare an inventory of business property and identify any claim against it, including equipment, receivables, and the accounts through which sale proceeds would be collected.
Do not use the absence of a remembered guarantee as a substitute for reviewing borrower liability. A sole proprietor and an owner of a separate entity stand in different positions, and the distinction only grows sharper once distributions begin.
The New York rule on disposition of collateral illustrates why disposition requires care, since a security interest can continue in collateral and identifiable proceeds unless authorization or an applicable exception changes the result. Counsel must examine the law governing the actual assets, because the illustration does not decide the outcome for property in another jurisdiction.
Before transferring a vehicle to an owner, before accepting an offer from a related business, obtain advice about the transaction and any approval required. A buyer familiar to the owner may press for a quick transfer in order to obtain the asset before competing claims surface. A familiar buyer does not eliminate a creditor interest, and the funds should remain traceable while the relevant rights and servicing requirements are examined.
Document and record what the business proposes to sell, the expected buyer, and the basis for the price. In most of the files we have seen, though the sample is not scientific, the transactions that later drew scrutiny were the undocumented ones between related parties rather than the arm’s length sales at disappointing prices. Any promise about proceeds, even casually, can bind the business in ways the later paperwork cannot undo.
Resist the urge to distribute the last available cash because trading has stopped. Whether the pressure behind that urge comes from loyalty to employees or from a creditor calling daily, the distributions still require review against winding up obligations before money leaves the business. Often we see distributions decided by urgency rather than by right.
Delancey Street review of business debt concerns offers a free confidential initial review with focus on MCA obligations that compete for the same dwindling cash. Delancey Street is a debt settlement company, not a law firm, and independent counsel handles legal work including the analysis of creditor rights before final distributions. Ask the provider to ensure its proposed service scope identifies the work accepted and ensure the fee arrangement is understood before funds move, and review and analyze the combined cash position with counsel before promising proceeds whose disposition remains subject to another creditor interest.
Use the servicing request corresponding to the intended transaction, whether release of collateral, assumption, subordination, or another listed action, and submit a complete package with supporting documents. If the plan changes after the request, establish whether the agency needs revised information before the transaction proceeds.
Simply retain the request, attachments, and response in the same file. Do not treat silence as consent.
Whether the agency regards a supplemented submission as a continuation of the earlier request or as a new one is worth asking.
A closure plan should identify obligations satisfied, arrangements still being performed, and issues that remain open. Do not describe the entire debt position as resolved because one asset sale has completed. That overstatement is the most expensive sentence in the file. If the loan continues after closure, establish who will monitor the account, maintain portal access, and receive notices that arrive after operations cease, because a business can close its doors while correspondence and legal process continue.
Keep any settlement, release, or other determination with the agreement to which it relates. An extremely practical delay arises when one participant assumes another obtained approval, so assign responsibility for each request and identify the event that permits the next step. The file should distinguish a request from an approval and a payment from a discharge of liability, and the final administrative work deserves the same attention as the decision to stop trading. An extremely thin file at this stage costs more to reconstruct than it would have cost to maintain.
Most funders accept 30–60% as a full settlement — with proper leverage.
