A commercial debt schedule is rarely one negotiation. Obligations that share an operating account can give different counterparties different rights, which makes the order of relief and the scope of each agreement consequential.

1. Separate Secured Claims From Unsecured Ones

New York UCC section 9-315 and its rule on collateral after disposition generally provides that a security interest continues in collateral despite a sale unless the secured party authorized free and clear disposition. The rule shows why a planned asset sale cannot be treated as free settlement money without further analysis.

Identify the assets each creditor claims and the agreement behind the claim. A financing statement on file deserves review, though the filing alone establishes neither the amount owed nor enforceability. The filing (which may predate the present trouble by years, describe collateral the business has since replaced, and sit in a drawer no one in the current office has opened) still requires examination by counsel under applicable law.

Simply place each collateral question beside the account it shadows. The business must know which assets are spoken for before promising proceeds to another creditor or describing any sale as clean cash.

2. Map Operating Dependencies Before Allocating Cash

The reserve looks divisible until the dependencies surface. A supplier balance may concern goods needed to complete accepted orders. A lease may concern the premises where the work happens. Financing withdrawals can land before the receipts meant to cover them. Customer payments land something like ten days after the forecast date, if memory of similar files serves, and that gap decides more than the balances do.

A replacement vendor may demand payment before delivery, which creates a cash need absent from the payables balance. The owner who settles the largest claim first can discover the victory preserved the debt and surrendered the means of paying it. Whether the remaining suppliers will extend the same patience twice is a question no forecast can settle.

Keep disputed charges apart from the balance the business accepts as due. A disagreement over delivered goods needs different documents than a request for time: purchase orders, delivery records, correspondence stating the defect. The settlement proposal should name the actual matter resolved, so an operational dispute does not hide behind the account total or surface later in a pleading filed against the business.

Review and analyze the schedule with advisers who hold distinct assignments. Choices the owner makes, or postpones making, while the schedule is mapped decide which options survive the month. The person negotiating an MCA may know nothing of a tax notice or a lease dispute, and the owner should not assume the broader file attends to itself. An extremely narrow focus on the largest balance can conceal the smaller expense that stops operations.

3. Consider Delancey Street for the MCA Component

Delancey Street offers an MCA focused debt settlement review and a free confidential initial conversation through Delancey Street, with legal matters coordinated through independently licensed counsel. It is a debt relief company, not a law firm.

Ask which accounts qualify and which remain outside the service. Confirm the fee calculation, the approval path for offers, and responsibility for urgent notices. The service should be judged by its actual scope rather than the breadth of the phrase commercial debt relief. An extremely literal comparison of marketing language with the engagement terms usually ends the confusion.

Use the review to ensure the proposed payment fits the complete operating budget. Rarely does a settlement pause the rest of the schedule, and another creditor may keep collecting in order to preserve its position while MCA discussions continue. A proposed reduction stays uncertain until the relevant counterparty accepts it.

4. Reserve Tax Questions for the Tax Adviser

The IRS guidance on canceled debt and its exclusions explains that canceled balances can constitute taxable income, with exceptions and exclusions subject to requirements. Entity structure and tax classification affect the result. The outcome belongs to the actual business, not to another company with a similar settlement.

Payment ends the creditor dispute. The tax analysis begins where that dispute ended. Weeks after the agreement is signed, the only question left is documentary. Keep tax estimates apart from service fees and creditor payments. Supply the adviser with the proposed release and the supporting records. Some outcomes remain uncertain until every counterparty signs, and the plan should say so. The estimate waits on the records.

5. Close Each Account on Its Own Terms

Assemble and preserve a closing record per counterparty rather than one general statement that the debts were handled. Different agreements demand different payments, acknowledgments, and continuing duties. A completed settlement with one party proves nothing about the consent of another.

And the release should name the guarantor where a guaranty exists, the collateral where a lien was filed, and any proceeding that must be discontinued by stipulation rather than assumption. Counsel should test the language the counterparty will sign against the result the business intends. A general acknowledgment of payment can leave the reserve exposed to a claim everyone assumed was finished.

Where continued supply matters, confirm the terms of new transactions after the old balance resolves. A creditor may settle an account without extending further credit. The operating plan should reflect obtainable terms, including payment before delivery for new goods.

Give the accountant the final documents and mark amounts canceled, paid, or left outstanding. Those categories should agree with the retained records of the negotiator. We should ensure any figure that differs is reconciled while the transaction history stays available, since the reserve that funded three settlements cannot fund a fourth surprise.

Resist the urge to declare a creditor relationship closed because one account resolved, even briefly, before related entities and separate agreements have been checked. The final payment matters, though it is rarely the final administrative act. Delancey review can frame the MCA portion of a wider commercial problem. The larger resolution arrives when obligations can be told apart, funded from one honest reserve, and closed with evidence rather than expectation.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
