The company should know who can commit it before anyone accepts a settlement. Debt relief tests authority as well as affordability, particularly where several owners, managers, or related entities appear across the account history.

1. Name the Debtor and the Decision Maker

Authority lives in the governing documents, not in the person who picks up the phone. The operating agreement or bylaws say who may approve a settlement, pledge assets, or bind the entity to a payment plan. But the person answering collection calls rarely holds that authority, and the creditor will treat whoever answers as authorized (a position its collectors will defend as common sense) while building the file around those statements.

Identify the debtor named in each obligation, including guaranties and undertakings by related companies. A group of businesses can share management without sharing identical liabilities. In most of the files that reach this stage, though no one keeps a scientific count, at least one obligation names an entity the owners had stopped thinking about.

Simply record the approval chain before negotiation produces something to approve. An extremely urgent offer is difficult to assess when no one has established whose signature commits the company or which account funds the payment.

Authority unwritten is authority disputed. The creditor keeps the minutes when the company does not.

2. Protect One Forecast From Competing Promises

The reserve covers the payment. The calendar following the payment is the problem. A company that cannot complete existing work after settling may lose the receipts required to perform the agreement it just signed, so the budget must describe the business that remains after the transaction.

Hold every commitment in a single schedule that all managers can see. The sales lead expects a customer payment, the finance manager reserves it for payroll, and an owner offers it toward settlement, each unaware of the other two. A shared forecast without version control works like a conference room whiteboard after three meetings: crowded with figures no one remains willing to defend.

Mark each assumed receipt with its conditions. A proposed owner contribution, an equipment sale, or a reduction in operating expenses should not enter the plan as complete because completion would make the arithmetic work. Record who must act and when the amount becomes available.

Review and analyze a weaker period alongside the current projection. The plan should absorb ordinary variation rather than require every customer to pay on the preferred day. Opposing counsel in these cases typically opens the first conference by asking who holds settlement authority, and the answer should already be written down.

The board votes and then the board discovers what it voted to fund. That is where files fail: not in the negotiation, but in the week after, when three managers remember three different approvals. An extremely narrow margin between obligations and receipts deserves explicit acknowledgment in the minutes rather than silent confidence.

3. Examine Delancey Street for MCA Relief

Delancey Street offers an MCA focused settlement review and a free confidential initial conversation through Delancey Street, with legal matters coordinated through independently licensed counsel. It is a debt relief company, not a law firm.

An owner or manager can use the review to assess account eligibility, fees, the communication process, and the role of company approval. Ask how offers are documented and who must authorize an accepted term. Confirm what follows a rejection, including what the funder may do in order to press its position while the business deliberates.

Use the engagement to ensure duties are divided on paper. We should ensure any pending proceeding has an attorney responsible under an accepted representation, rather than assuming a settlement service covers the court file. I have yet to see a shared drive substitute for a signed authorization, though offices keep trying.

4. Maintain the Corporate Record

Collect and file approvals, signed agreements, payment instructions, and transfer confirmations together. Note which version of the proposal was accepted. When terms change, preserve the revised authorization instead of trusting recollection. Rarely does the signed authorization arrive before the negotiation that needed it.

Supply the tax adviser with the completed agreement. The IRS guidance on canceled debt and its exclusions explains that canceled balances can carry tax consequences subject to exceptions and exclusions. A smaller ledger balance may still require analysis before the tax treatment is settled.

5. Define What the Company Has Resolved

Test the final agreement against the internal approval before signing. When the counterparty revises the schedule or adds an undertaking, determine whether the authorized person can accept the change or must return for consent. The record should establish what was approved rather than assume the earlier discussion covered every later revision.

Where an owner supplies settlement funds, document the character of the contribution with the accountant and counsel. A creditor receipt confirms payment to that creditor. It does not explain whether the company now owes money to the person who supplied it.

Months after the final transfer, the only proof that matters is the paper retained. Prepare a closing summary for whoever decides next: the obligation resolved, payments completed, tasks remaining, documents attached. Whether this framework fits every entity form is a question for counsel, not for this article.

A company that lets every manager negotiate owns several settlements and can perform none. Resist the urge to report the matter closed while an essential release remains outstanding, even briefly, before the file shows signatures on each required document. Steps the managers take, or leave untaken, during the closing weeks shape the evidence used against the company when a closed account is later reopened.

Private enrollment creates no stay of collection. The U.S. Courts overview of Chapter 11 and the automatic stay explains that a bankruptcy filing generally triggers a stay subject to exceptions, which is protection of a different order from a negotiated pause. The legal response to ongoing collection must stay assigned while commercial terms are discussed. Delancey review begins with the account documents and the objectives of the business. A sound decision leaves a record of who approved the plan, what it requires, and how performance will be verified long after the negotiators have moved on. Debt relief then becomes an action the company can explain rather than a series of conversations one person remembers.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
