The absence of a personal guarantee removes one obligation and leaves the rest of the file intact. An owner facing an EIDL of two hundred thousand dollars or less must identify the borrower, the property securing the loan, and any later document that changed the original arrangement.
In its 2025 audit of delinquent COVID EIDL collection, the SBA inspector general described the security tiers by loan amount, no collateral or personal guaranty through twenty five thousand dollars, a blanket lien on business assets above that line, and a personal guaranty added only above two hundred thousand. The tiers describe origination. They describe nothing about the current balance.
Retrieve the original note with any increase or amendment. A balance paid down below a threshold does not move the loan into a lower tier, and a guarantee never signed is not created by a balance that later rises. Ask counsel to identify the operative documents, since the amount on a dashboard never substitutes for the financing history.
Owners anchor on the current balance, which understates the file in one direction, or on the original approval, which overstates it in the other. The threshold settles the guarantee question. Collateral is a separate inquiry the threshold never addressed. Often we meet the threshold argument before we meet the file, which is, to put the point plainly, the reason counsel reads the instruments rather than the balance.
Keep the application with the signature pages. Supplying personal information during an application is a different factual question from signing a promise to repay the debt of another entity. Ask counsel to name the obligor, produce the instrument, and explain the capacity in which each person signed.
A sole proprietor may have undertaken the obligation as the borrower, a question distinct from whether an owner guaranteed the debt of a separate company. Read the note, name the obligor, and compare that name with the signature block and the capacity in which each person signed.
Before deciding personal liability is absent, before giving a representative an individual promise to pay, obtain advice about the existing obligation. Make no new commitment before the original documents have been examined. For a separate entity, counsel should assess the documents and any asserted basis for a claim against an owner on the actual facts.
Clerks at the servicing center ask for the loan number before the name, a habit formed from files where the name on the phone differed from the obligor on the note. Have the loan number ready with the entity name as it appears on the executed papers. The number shortens every conversation that follows.
A company without a personal guarantee can still hold property subject to the loan. Prepare and maintain an inventory with the security agreement beside it (the count is approximate until the accountant closes the books), rather than treating the remaining assets of the business as available for distribution to owners. The lien does not grade transactions on intent.
SBA guidance for COVID era programs sets separate procedures for collateral release, ownership changes, and other servicing actions, and it directs borrowers anticipating closure to seek guidance from the servicing center. Do not assume closing the entity resolves those requirements, since a decision to stop trading needs a plan for the assets and the obligations that survive it. An extremely thin asset pool still requires the same inventory as a large one.
Describe the property, the intended recipient, and the proposed price before asking for advice. A specific transaction gives counsel more to work with than a general statement that the business has nothing left. If an owner intends to keep equipment, disclose the intention, since low resale value does not establish permission to transfer property without addressing the loan documents. Resist the urge to distribute the last cash balance because no separate guarantee exists.
The word small does strange work when it describes the loan instead of the obligations attached to it.
The file holds no individual promise. The blanket lien holds the business assets all the same.
This is the distinction that matters most for a business with few assets left, since even a modest distribution may require legal review. Creditor rights and winding up duties demand attention independent of the guarantee question.
Where ownership changed after funding, keep the transaction documents with any agency approval. Establish whether the same borrower continues to exist. A transfer of ownership should never be assumed to release an existing obligor or to create a release that was never requested. Any transfer after notice may be tested against the security documents, and buyers in these transactions press for speed in order to close before the lien position is examined.
Keep valuations with records of any completed disposition (including equipment retained by an owner at a stated price, since the file should show what happened to property that once appeared on the books of the business). The record of a transfer needs the same care as the record of a payment. Whether a particular disposition needs agency approval is a question for counsel on the actual papers. These papers stay in my office after other files have left it.
Delancey Street offers a free confidential initial review of business debt concerns, with emphasis on MCA obligations. The company provides debt settlement services and coordinates legal matters with independent counsel. It is not a law firm, and its engagement changes no federal loan.
The owner names the EIDL and the private accounts, the reviewer states the eligible services, and the fee terms are written down first.
Ask the adviser to ensure the private debt proposal accounts for the EIDL obligation that remains. Counsel should ensure any advice about personal liability or asset transfers arrives through the proper engagement. Simply name the outcome sought, since payment assistance, closure guidance, and resolution of a private account require different work.
Steps taken, or not taken, before closure determine what counsel may defend. Keep any written determination in the file even after operations cease, with dates and conditions available for a later inquiry, to the extent the records survived the closure and the change of hands. A charge off, a closure, or a quiet period without collection calls establishes no release on its own.
Delancey Street can examine eligible private obligations while counsel addresses the legal position of the borrower. Read and work through any proposed payment arrangement to completion. Another borrower outcome, however extremely favorable, establishes nothing about this loan. The guarantee threshold answered one question, and the documents answer the rest.
Most funders accept 30–60% as a full settlement — with proper leverage.
