Factoring begins where the idea ends, with invoices a customer has promised to pay. A founder with a plan and no receivables holds something valuable that no factor can purchase, while a business with collectible accounts holds collateral a factor can assess. The OCC framework for receivables financing treats this activity as collateral based commercial lending with its own credit and administrative risk, which is why the diligence runs toward the customer and the invoice rather than toward the vision.

What factoring purchases

In December 2022, California began requiring specified cost disclosures for covered commercial financing transactions including factoring as well as loans, a regime that illustrates what written cost information looks like when a regulator prescribes its form. No private factor operates under that kind of template unless the agreement creates one, so the founder should demand the equivalent detail as a condition of signing. Factoring is not universally a loan, and its character in any single transaction comes from the contract rather than the label.

The factor advances funds against assigned accounts and collects from the customer, retaining reserves and fees defined in the agreement. That arrangement can accelerate cash where customers pay slowly, though it also transfers collection control and customer contact to a party whose methods the founder should examine before the first notice is authorized. The idea supplies the direction. The assigned accounts supply the security.

The receivables behind the idea

Quality decides availability, and quality here means concentration, aging, dispute history, and the willingness of customers to remit payment to the factor. A single customer representing most of the ledger presents a different risk from a spread of established accounts, and stale or disputed invoices present a diligence problem that no advance rate cures. There are limits, though in practice they tend to reveal themselves after the first verification call.

Automotive supply invoices illustrate the point without deciding it. Chargebacks and disputed deliveries should be framed as diligence questions for the specific ledger, not as industry statistics, and the founder should arrive with aging reports, contracts, and correspondence showing which balances customers acknowledge. The factor will verify. The verification goes better where the file anticipates it.

Founders at the idea stage, with no invoices at all, should treat factoring as a later instrument rather than opening capital. A useful question for the present is what sales process will create assignable accounts, and the useful work is building that process before shopping the ledger. That sequencing disappoints, which does not make it wrong.

Contract terms that decide the economics

Recourse, reserves, customer disputes, dilution, and collection control are contract issues, and each one can move the economics more than the headline advance rate. A recourse provision (which, it should be noted, can return unpaid accounts to the founder after a defined period while fees already collected remain where they fell, leaving the business with neither the invoice nor the full advance) deserves the same attention as the rate itself. Reserves reduce the usable proceeds at funding. Dispute and dilution provisions decide who absorbs the shortfall when a customer pays less than face value.

Read the notice and consent provisions with the customer relationship in mind. Some customers pay a new payee without friction, while others treat reassignment as a signal of distress and slow their payments accordingly. What the founder discloses, or withholds, shapes that reaction, so the communication plan belongs in the diligence rather than after it.

Most factors understand their collateral better than the founder expects. They prefer not to explain exactly how until the verification begins.

Cost disclosure and comparison

Compare the factor offer using funding received, finance cost, and payment information stated on the same basis. The California commercial financing disclosure approval covering factoring shows the metrics a careful comparison needs, even where no regulator requires them for the transaction at hand.

Keep the quote, the fee schedule, and the reserve terms together. No general description of factoring costs can substitute for the figures tied to the ledger offered.

New financing beside existing pressure

The founder should separate the decision to factor from the decision to address existing debt. Where MCA withdrawals already strain the account, a new advance against receivables can support those withdrawals without retiring them, adding a collection control cost to a burden that negotiation might have reduced. The receivables deserve a use that improves the position after the first funding, not one that postpones the shortfall.

A Delancey Street review can examine the MCA component on its own terms. The company is a debt settlement company rather than a law firm, offering a free confidential initial review with legal matters handled by independently licensed counsel. Confirm whether the accounts fit its services, and ensure the operating forecast behind any factoring decision is the same forecast brought to the settlement conversation, since two different cash pictures will produce two different answers and only one of them can be true.

Owners rarely shop a ledger on a calm day. The pressure explains the haste, though it does not excuse signing control of customer receipts to an unread agreement. Review and analyze the verification, notice, and default provisions before authorizing contact with customers, and consult and contact independent counsel where guarantees or existing liens complicate the assignment. The idea remains the founder property throughout. The invoices, once assigned, answer to the factor.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
