A broker recommendation arrives dressed as market research. It is a sales presentation with a compensation schedule behind it.
A broker shops a limited panel of funders, earns payment when funding closes, and moves on to the next file. That arrangement does not make the recommendation wrong, though it leaves the recommendation situated, and situated advice deserves more questions than it receives. Seldom does the first proposal reflect the whole market.
Pin down the capacity in which the intermediary acts: broker, independent sales organization, provider representative, or something less defined. Get the legal name of the compensated business and the identity of the funding party in writing.
Introductions do not imply control over underwriting or final terms. Simply request the written financing proposal before making decisions based on a telephone description.
Familiarity with an adviser does not remove the incentives under which the advice is given. The useful question concerns the arrangement, which is to say the incentives and not the adviser, without assuming that compensation by itself proves the recommendation improper.
Compensation should be explained by whoever receives it and whoever funds it, so ask both sides for their account. Establish which events change the amount: offer size, funding amount, renewal, or anything else. One provider description cannot establish the market rate, and no verified standard schedule was available for this article.
Timing matters as much as amount. Payment at funding and payment over time pull in different directions, though neither direction proves anything about advice quality. Treat no presented option as a market survey. Ask which providers entered consideration and which never did, with reasons, and ensure the answer arrives before any signature. A limited panel may still produce a suitable proposal, but its limits should be understood rather than discovered later.
Incomplete final terms may qualify every answer given before funding. Press for what stays unknown and when the compensation figure firms up. An extremely precise figure presented before the underlying offer exists deserves the same scrutiny as a vague refusal to explain the payment at all.
Weigh the business cost under the actual agreement rather than the brochure figures. Third party payment of the intermediary changes nothing about the withdrawals scheduled after funding; the operating calculation carries the full burden regardless. You pay the withdrawals long after you forget the presentation.
Connections that lend a recommendation credibility may need clear disclosure under the FTC guidance on endorsements and material relationships. The guidance addresses endorsements and affiliate content, which is a narrower subject than a broker’s duties in a financing transaction. The distinction matters because disclosure of a relationship is not the same as advice about suitability.
Texas has gone further for covered transactions. The enacted Texas financing disclosure law requires specified broker compensation information for covered sales based financing offers within its scope, alongside cost and payment disclosures, with a one million dollar threshold defining which offers face the full schedule. Coverage, exemptions, and timing require examination, and the statute creates no private right of action, so a missing disclosure is a compliance question for counsel rather than an automatic remedy for the borrower. The Texas rule should not be described as the national standard.
Insist that applicable disclosures arrive with the actual offer rather than stopping at the marketing stage. Marketing language is not the transaction record, and the file should keep them separate. Keep everything received before signing, with dates and sources noted, and ensure the file stays complete enough for any later review.
When a renewal is proposed months after funding, ask the intermediary to state the funds reaching the business and the total new obligation before any discussion of the larger financing amount. Renewals can pay the intermediary again while sending the business extremely little fresh cash once the old balance and charges clear. The two figures side by side answer most renewal questions without further argument.
Determine whether another provider or a smaller transaction was considered. The broker may have reasons concerning eligibility or timing for recommending the particular route. What the broker discloses, or withholds, about that choice colors everything that follows. Every renewal recommended to cover old withdrawals deserves a forecast showing what changes after funding, since the compensation question supplies context while the operating calculation supplies the decision.
Resist the urge to accept the renewal during the same call that presents it. The choices made under time pressure, even briefly, bind the company long after the urgency that produced them has passed. Those choices are difficult to revisit once the funder asserts them against the business.
Put the broker offer into the company cash forecast with existing withdrawals, essential expenses, and weaker receipt periods included. A recommendation can be sincere while the resulting payment remains unsuitable, and sincerity does not alter arithmetic.
An introduction ends at funding. The obligation continues without the introducer.
That asymmetry is worth sitting with before signing. The intermediary role concludes when money moves; the withdrawal schedule it created persists for the full term, administered by parties the broker does not control and against whom the broker promises no remedy.
Where another advance would add a payment rather than resolve the existing problem, a negotiated alternative deserves examination beside the broker proposal, since the intermediary is paid in order to place new money rather than to retire old debt. Delancey Street offers a free confidential initial conversation to review and assess MCA debt. It is a debt settlement company rather than a law firm or a source of new financing, coordinating legal matters with independently licensed counsel, and eligibility review comes first in every case.
Carry and compare the broker proposal alongside the current contracts at that review. The comparison should identify which obligations new financing would retire, what remains outstanding, and whether a negotiated alternative can be funded from available cash. The offer should make sense after the introduction has been forgotten and the first withdrawal arrives, which is the only test a recommendation needs to pass and the one most hurried signings never apply.
Most funders accept 30–60% as a full settlement — with proper leverage.
