The signature page cannot tell the owner where the agreement places the risk of declining revenue. Fifteen minutes can mark the pages that need counsel, and no honest reading ends there. What the owner takes, or fails to take, from a first pass decides whether the later conversation starts with evidence or with surprise.

What Arrives and What Is Owed

In the New York appellate decision on an MCA usury defense, the agreement described a sale of future receivables for $100,990, called the purchase price, against a purchased amount of $129,267.20. The two figures yield a ratio near 1.28, a peculiar arithmetic result from captured figures rather than a contract label, since the opinions do not use the industry term for that spread.

Compare the purchase price with the deposit that reaches the operating account, since fees taken at funding and amounts directed to an earlier balance can reduce usable cash. A later decision described an advance for 25 percent of future revenues until the purchased amount was paid, where the headline percentage says little about timing. Keep every schedule and attachment in the reading packet, and obtain any missing page before relying on an interpretation.

Record and keep the figures beside their contractual labels, and resist the urge to rename the purchase price as profit. A small table of actual amounts exposes more than several pages of promotional language, though the table is a reading aid rather than a legal conclusion.

Who Bears a Revenue Decline

The revenue decline lands on whoever the reconciliation clause favors. The same New York decision weighed three factors that still organize this inquiry, and counsel still reaches for them first. There are clauses that look protective on first reading, though in practice they tend to confirm the funder.

Find the adjustment provision, then read who must request it, what records it demands, and whether adjustment is an obligation or a choice. The New York court confronted language letting the funder adjust at its sole discretion, set beside provisions making the full balance due on a written admission of inability to pay or on bankruptcy, and held that combination stated a triable usury defense. A later majority found two reconciliation provisions with backward and forward effect upon request with proof of earned revenue, and held them not illusory, noting the absence of sole discretion language. One concurrence proposed testing whether reconciliation works in practice, a proposal that remains concurrence reasoning rather than the holding.

Read default beside reconciliation rather than after it. The cited agreement made the full uncollected purchased amount plus all fees due at once upon defined events. The court allowed the defense to remain and denied the funder summary judgment, a procedural ruling rather than a declaration that every advance of this kind is unlawful. The agreement was a purchase. The payments behaved as debt. Counsel should test every absolute repayment promise against the reconciliation language before advising the owner to rely on either.

Rarely does a file tell its story through the agreement alone, so preserve and file any adjustment request with its response. The folder tells the story the agreement starts, and a folder holding only the executed agreement leaves the relevant history incomplete. That is where most readings stop.

Who and What Secure Performance

The owner signature deserves extremely slow attention, since a person who signs for the company can also sign in an individual capacity pages later in the same packet. In the cited decision, two individuals executed a personal guaranty of performance covering the business representations and covenants, and a later court treated the guaranty claim as dependent on the underlying contract claim. Most providers draft the guaranty to survive exactly the defenses the merchant will need. A performance guaranty examined after default works like a smoke alarm tested during the fire: accurate, loud, and useless for prevention.

Collateral and filing authority need the same separation. The federal order against two providers required termination statements for any UCC lien within thirty days, an extremely limited fact that proves nothing about any authorization clause. Demand the security agreement and compare the filed record against the debtor name and collateral shown.

How a Dispute Proceeds and What the Paper Omits

Confession practice has a history the owner should know before signing another paper that repeats it. The cited agreement required delivery of a confession upon bankruptcy, a federal enforcement action against two providers alleged weaponized confessions in order to pursue personal assets and obtain uncontested judgments, and the resulting order barred those providers from the industry, though the allegations were neither admitted nor denied.

Current New York confession procedure requires a sworn affidavit stating the sum with the county of residence, and restricts filing to that county within a defined window. Texas law voids confession provisions in covered commercial sales based financing contracts, though the same chapter creates no private action. Whether either rule reaches a given transaction is a question counsel in that state must answer.

Three further items almost never appear in usable form in the pages owners bring: the text authorizing any lien filing, the clause governing assignment or control of receipts, and the language on notices with any opportunity to cure. No captured opinion supplied those texts. Demand each in writing with the complete agreement, and let counsel test what the signed pages permit on their face. Any assurance about these terms, even casually given, needs the signed text behind it. A public record never substitutes for the underlying agreement.

Bringing the Difficult Pages to Delancey Street and Counsel

Six months after funding, the questions that matter are rarely the ones the sales conversation answered. Bring the agreement with its attachments, the correspondence about adjustments or alleged default, and a record of what was received against what was collected. Most owners arrive with a thinner file than they hoped, and the reasons are understandable.

Delancey Street offers an initial discussion of negotiation options where an MCA burden has grown difficult to sustain, through its debt settlement service. The company acts as a settlement company rather than a law firm, and independent counsel handles legal work on defenses and enforceability.

A useful first conversation identifies the outstanding balance with the payment the business can support, alongside the provisions whose text diverges from experience. Ensure any proposed resolution states the full payment obligation with service fees, identifies the claims that survive, and describes the collateral position after performance.

Simply bring the pages that confuse rather than the story that flatters. The value of a first review lies in recognizing where the words require a decision before the next signature. I keep a copy of the worst agreement I ever read within reach of my desk.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
