A subpoena that arrives by mail still commands answers under oath. The envelope misleads, and the questions bind the recipient all the same.
CPLR 5224, governing enforcement subpoenas, authorizes three instruments, and the response depends on which one arrived. One kind requires attendance for deposition on oral or written questions, and another, the subpoena duces tecum, requires books and papers for examination. The information subpoena arrives with written questions in copy and original and a prepaid addressed return envelope. Seldom does the caption alone reveal which instrument arrived.
Service of an information subpoena may be made by registered or certified mail with return receipt requested. Protect and preserve the envelope and any delivery record, since the response period runs from receipt. A clerk who processes these filings every week will ask for the service papers before discussing anything else. An extremely thin file at this stage becomes an extremely expensive reconstruction later.
A letter requesting a financial update is not a statutory subpoena.
The statute assigns the pen to a particular hand. Where the recipient is an individual, answers are made in writing under oath by the person served. Where the recipient is a corporation, partnership, or sole proprietorship, answers come from an officer, a director, an agent, or any employee who happens to hold the information.
The employee who opened the mail does not become the respondent by opening it. Counsel determines the appropriate respondent for the actual entity and request. What the respondent knows, or does not know, must be stated as it stands. Company information and individual information occupy different positions, and a request directed to one should not be expanded on an assumption about what the creditor must have intended. The line between company knowledge and individual knowledge is less bright in a small business than the rulebook suggests.
You answer what you know and you say so under oath. Each question demands a separate and full answer that refers to the question it addresses. Most recipients answer from memory. Memory is the least reliable exhibit in the file.
Answers return with the original questions within seven days after receipt. The paper is routine. It is also sworn testimony in waiting. The rule supplies no universal list of seven questions that every funder must use, and the requested title of this article should not be read as describing a statutory form. The creditor chooses the questions, while the statute dictates the manner of answer. The oath converts written answers into testimony, the way a kiln converts clay into brick: the shape stays, and the consequences harden.
Simply read the actual questions and identify the records needed to answer them (the bank statements, the processing records, the ledger entries that memory would approximate and that documents would settle), since a response prepared from memory creates errors the account documents would resolve.
Before assuming an extension, before relying on a settlement conversation to postpone the response, the owner should consult and contact counsel on the actual procedural position. Resist the urge to round the figures from memory. An unaccepted request for more time remains, if we are being precise, merely a request. The date on the calendar does not move because the parties are talking.
The recipient who treats the subpoena (which the aggressive collector will insist is routine paperwork) as optional correspondence misunderstands the instrument. Failure to comply is governed by the enforcement procedure the statute designates, on motion in the court that issued the underlying judgment, where the creditor proceeds against the noncompliant recipient.
A further rule covers subpoenas directed to a person other than the judgment debtor. The creditor or the creditor attorney must hold a reasonable belief that the recipient possesses information about the debtor that will assist collection. The subpoena must contain the signed certification stating that belief and invoking Rule 5224 and section 601 of the General Business Law. The rule exists because a creditor unchecked would question strangers in order to pressure the debtor.
A qualifying third party subpoena without the certification is null and void. A recipient disputing a certified subpoena may move to quash in the court that issued the underlying judgment.
A settlement conversation pauses nothing. Only a court order or an accepted written change alters a deadline.
Delancey Street offers a free confidential initial review of MCA and business debt concerns. The company provides debt settlement services and coordinates legal matters with independent counsel. It is not a law firm.
Ask the adviser to ensure the debt discussion accounts for pending disclosure obligations. Counsel should ensure the subpoena response stays inside the legal engagement. An extremely favorable proposal remains incomplete if the sworn answers are left unaddressed. Any discussion of the answers with the collecting party, even casually, should run through counsel.
The statute wants facts under oath within seven days. Everything else is commentary. That is the discipline the paper imposes, and the owner who meets it keeps every later option open.
Most funders accept 30–60% as a full settlement — with proper leverage.
