A Federal Reserve decision changes the cost of funds for banks long before it changes anything for a business carrying an MCA balance.
The factor in the agreement was fixed at funding, and no announcement from Washington rewrites that figure.
The confusion begins with a single word shared by two unrelated prices. The Federal Reserve explanation of open market operations describes policy tools and the federal funds rate, including its character as an overnight rate between depository institutions. Nothing on that page connects the funds rate to the amount an MCA customer must remit.
A fourteen page agreement can place the price term on page eleven, past schedules and authorizations the owner skimmed at signing. In most of the agreements seen in this practice, though no survey supports the proportion, the factor appears once and does not vary.
The two numbers share the word rate and little else.
Months after funding, when the balance shows little movement, the owner starts watching policy news for relief. Policy announcements leave signed obligations where they found them. Steps the owner takes, or does not take, in the first weeks after funding matter more than the headlines that follow. The overlap between the two measures is extremely narrow.
The policy rate answers what banks pay one another overnight. The contract answers what the business must remit.
The Forward Financing description of revenue based financing supplies a useful specimen. It presents upfront capital exchanged for a set amount of future revenue, with payments set as a share of receipts and a total that stays the same even when the payment period grows longer. The same page presents a separate loan product with precomputed interest and a fixed term. The reader agreement controls the reader obligations.
A slower month lowers the remittance without lowering the total, which means the business can receive relief in timing while the obligation stands where it stood, and an owner who mistakes the smaller debit for a smaller debt will misread every statement that follows.
Most MCA marketing knows which confusion the word rate creates. It prefers not to resolve it.
Some agreements contain language drafted in order to preserve the collection position of the funder while presenting the transaction as a purchase. The agreement may also provide a method to request an adjustment when receipts fall. The owner should review and analyze that method before assuming a decline changes a scheduled debit. The request and the response belong in the file.
A hypothetical offer with a factor of 1.30 on $50,000 produces a $65,000 total, and the arithmetic is exact. Fees withheld from the amount received change the economic picture, because the business never held the sum on which the multiplier ran. What looked like a price becomes a question about net funds, and net funds decide whether the obligation was ever affordable.
That calculation alone expresses no annualized cost. The schedule, the payment amounts, and the time during which the business holds the money all shape an annualized comparison. A shorter repayment period can impose extremely heavy pressure on cash flow even where the displayed multiplier looks smaller.
Whether lower policy rates soften future offers is a question the available evidence does not answer.
A renewal that retires an existing balance can leave far less usable cash than the headline funding amount suggests. Put the old payoff, the new charges, and the net deposit on one worksheet. An owner who omits the larger total obligation may celebrate an improvement the full record erases.
The comparison is worth the hour it takes, or close to it.
Early payment needs the same discipline. Ask whether the agreement offers a discount, how it is computed, and whether it applies on the date payment is expected. Obtain a written payoff figure with its validity period before moving funds. Lower receipts slowed the schedule in the illustration above. The price remained fixed.
A later offer may carry different terms, but a change in the policy rate does not prove why the terms differ. Something like half the files reviewed in this practice contain a renewal offer after the second advance, though the count is informal. The financial position of the business and the actual proposal need examination. No story about the central bank replaces evidence supplied with an offer.
Policy commentary accumulates like dust on a ledger no one opens, and it commands a peculiar confidence for writing that changes no payment date.
I have yet to see a factor clause that floats, though agreements continue to be read as if one might appear.
Resist the urge to treat a policy headline as a payment plan. Ask for complete terms rather than a factor quoted in a message. Whether this holds outside New York is a question counsel in that state should answer.
When the present payment burden is unaffordable, waiting for a policy decision leaves the actual problem in place. A contractual adjustment, a negotiated settlement, and replacement financing carry different terms. Each one needs its own documents.
Delancey Street can assess MCA settlement options from the agreement, the payment history, and the funds available. It is a settlement company rather than a law firm, and independent counsel handles legal analysis or defense where those are needed.
Ask the provider to ensure that a proposal separates a reduced total from a slower schedule. Counsel should ensure that any release and guarantee treatment appear in the documents where relevant.
The settlement budget should reflect receipts and essential expenses. A refinancing offer without approval is not money available for a first installment while debits against the account continue.
A useful review covers the terms, identifies the gaps, and constructs a comparison that addresses both the contract language and the realities of cash flow. The ledger decides what the headlines cannot.
Keep the original disclosures, the funding record, the debit history, and later modifications. Record the source and date of any statement that pricing will change. Owners who face suit should consult and contact independent counsel at once.
A first discussion can begin with the current account, without waiting for another announcement.
Most funders accept 30–60% as a full settlement — with proper leverage.
