A confession of judgment signed before suit has no life in Florida. The statute provides that all powers of attorney for confessing judgment, made by any person within or without the state before action brought, shall be absolutely null and void. The pedigree of that sentence reaches to 1828, and the legislature preserved it through every modern revision of chapter 55. A merchant reading MCA papers that contain a confession power void under Florida law should regard the clause as paper without force.
Most funders know exactly what a confession clause purchases. They prefer the purchase to remain unexamined. The clause (which defenders of the industry will describe as a bargained efficiency) transfers the entire courthouse to one side before any dispute exists. For a merchant whose MCA papers contain such a clause signed in order to secure funding, this voidness is extremely consequential, more than any other rule in this article.
How trial courts treat confession language embedded in broader consent provisions is less certain, which is part of why counsel reads the whole instrument. The voidness rule speaks to powers executed before suit, and the cases applying it to modern MCA paper are not uniform in our files, though the sample is not scientific. Would a Florida court sever the clause and enforce the remainder? The answer belongs to counsel, on the full instrument.
The danger does not end with voidness. A judgment entered in New York may arrive in Florida through the Foreign Judgments Act, and the merchant who treats 55.05 as the end of the matter learns the limit of the rule. You sign papers in New York and then you discover what those papers mean in a Florida clerk office. The Act supplies a definition of a foreign judgment entitled to full faith and credit, and leaves limitations periods where it found them. A certified copy recorded with the clerk of the circuit court of any county takes the same effect and the same defenses, with proceedings for reopening, vacatur, or a stay on like security, under the recording rule that gives the judgment the effect of a Florida judgment.
The confession was void where it was signed. The judgment is a separate instrument, and Florida reads it on its own terms.
But the paper that arrives is not the paper that was signed.
Recording requires a service charge equal to the charge for an original action seeking the same relief, and the clerk files, records, and indexes the judgment as a judgment of that court (a description that sounds ministerial until the notice arrives, which, if we are being precise, marks the moment most debtors grasp that domestication has occurred, though the enforcement freeze guards the account).
Florida polices the confession, not the debt. The debt survives under contract law, with every remedy the contract allows, subject to defenses counsel must plead. Miami Dade intake papers divide county and circuit filing by amount in controversy (the inspected figure may be stale, so counsel confirms the current threshold).
At recording, before any lien attaches, the creditor owes the clerk an affidavit. The affidavit names the debtor and creditor, with social security number if known and last known address for each. The requirement is ordinary paperwork with real weight.
The clerk mails notice of the recording by registered mail with return receipt requested and notes the mailing in the docket. The notice states the name and address of the creditor and the creditor attorney in the state. The creditor may also mail notice and record proof of mailing. This cures a failure by the clerk to mail. The statute saves enforcement where the creditor proof is on file. It still commands the clerk to mail.
Most debtors read the notice at a kitchen table, days after the clerk mailed it. I understand the delay. The docket notation of mailing closes the sequence.
No execution or other process for enforcement shall issue until 30 days after the mailing of notice by the clerk. A service charge of up to $42 is due to the clerk, of which $4.50 passes to general revenue. No lien arises until 30 days after the mailing. A contest action filed under the stay provision halts the enforcement clock and the lien.
The 30 days run from the mailing date shown in the docket. Accuracy at recording determines notice in fact. Counsel ensures the address is verified before calendaring a response.
Resist the urge to telephone the creditor, even casually, after notice arrives. Any statement about the debt can narrow the defenses available against enforcement. Simply state that counsel will respond, and end the conversation. We ensure the contest clock is calendared from the recording date, so no admission travels back to the file. The judgment is recorded, and recording starts clocks.
Within 30 days after recording, the debtor may file an action contesting the jurisdiction of the rendering court or the validity of the judgment, and record a lis pendens directed toward the judgment. Upon that filing the court shall stay enforcement and the lien. The remedy is extremely time sensitive, and the filing must be exact. We review and analyze the record, identify any defect in jurisdiction or validity, and construct a response that addresses the statutory procedure and the exposure of accounts.
Domestication follows a peculiar arithmetic: the judgment that could not have been confessed in Florida may still be enforced there, if the rendering court had authority and the clerk procedure holds. I drafted a response of this kind on a Friday in August, and the week that followed turned on the affidavit address. Delancey Street is a settlement company, not a law firm. It offers a free review of MCA debt and stacked obligations, held in confidence, and coordinates with independently licensed counsel for legal matters. Consultation is where this conversation begins. Every recorded judgment is a translation from one courthouse to another, and translations favor the reader who knows both languages.
Most funders accept 30–60% as a full settlement — with proper leverage.
