Illinois answers the confession question with a line drawn between consumers and everyone else.
On one side of that line, confession powers in consumer transactions are void by statute and any judgment entered on them unenforceable. On the other side, commercial confessions remain available under rules that punish sloppy venue and reward debtors who move promptly to open the judgment. The owner who knows which side the paper falls on will know the posture of the case within minutes.
The governing Illinois proviso, recited in Sopris Concrete, LLC v. Meeks, provides that no power to confess judgment may be required or given after late September of 1979 in any instrument used in a consumer transaction, and that any such power is null and void with any judgment entered on it unenforceable. The statute defines the consumer transaction around sale, lease, assignment, and similar consumer purpose transfers, a definition the business owner should read in full in the session law rather than in paraphrase.
For business debt the mirror principle decides the matter. The ban is fenced to consumer instruments, so a genuinely commercial confession falls outside it, though the creditor must prove the paper sits outside the fence rather than assuming it does. Mixed purpose paper, where a business owner signed a nominally commercial instrument for substantially personal ends, is where this boundary dispute concentrates.
The power was void. The judgment entered on it was also unenforceable.
There is a particular quiet in a conference room in February when the creditor finishes reading the confession aloud. The paper that sounded absolute a moment earlier begins to sound conditional.
The same opinion that recites the ban also shows its limit. In Sopris, parties who had disputed a mechanic lien claim negotiated a settlement agreement with a confession of judgment that expressly superseded all prior representations and agreements, acknowledged the work as satisfactory, and compromised the dispute on its own consideration, and the appellate court affirmed the confession judgment while rejecting the argument that the settlement merely related to the earlier consumer transaction.
A freestanding negotiated settlement is analyzed as its own instrument rather than as a continuation of the consumer deal behind it, which means the owner who signs a workout containing confession language has likely signed outside the shelter of the ban. The lesson travels well beyond Illinois: settlement paper creates its own legal world, and its confession clause must be negotiated as if no prior protection follows the signer inside.
The court then remanded solely to fix the contractual attorney fees owed for the appeal, confirming that fee shifting clauses in confession instruments keep running through appellate enforcement. Cost of default therefore includes the appeal the owner is considering.
An Illinois confession action may be filed only in a county where the instrument containing the warrant was executed, where at least one defendant resides, or where a defendant owns property, and unlike ordinary civil judgments a confession entered in the wrong venue is void rather than merely voidable or transferable, which means the defect destroys the judgment instead of relocating it, a distinction of extreme practical consequence because a void judgment supports no garnishment, no lien, and no settlement leverage beyond bluff.
Bottalla v. Serpe reversed a Cook County confession as void where the guaranty and note were executed, meaning signed, mailed, and released from control, in Maricopa County, Arizona, with execution turning on delivery and loss of control rather than on where performance occurred. The opinion rewards one archival habit above all: preserving the envelope, the mailing receipt, and any writing that shows where the hand left the paper.
Owners should test venue before testing anything else (the confession defenders of the funding industry will insist venue is a technicality, though courts treat it as the condition of power itself). A void judgment needs no meritorious defense to fall.
The core authorization permits any person, for a debt bona fide due, to confess judgment personally or through a duly authorized attorney, without process. Three words carry the weight: bona fide, meaning a real debt actually due rather than a placeholder figure inserted for pressure; authorized, meaning the warrant must genuinely empower the confessing attorney; and without process, meaning no summons or prejudgment hearing slows the entry, which is what makes the device fast and constitutionally sensitive at once.
Each word supplies a line of attack that independent counsel can develop. Inflated balances, stale obligations dressed as current debt, and warrants signed by persons without authority to bind the business have all supported challenges, though the sample of published rulings on the authorization prong is not large enough to predict any particular outcome.
A motion to open a confession judgment must be supported by affidavit in the summary judgment manner plus the verified answer the defendant proposes to file, and where motion and affidavit disclose a prima facie defense on the merits to all or part of the claim, the court must set the matter for hearing, accepting the affidavit facts as true without conducting a mini trial. Pure jurisdictional attacks, such as void venue, proceed separately by motion to vacate and require no showing of a meritorious defense, while petitions to vacate under the general two year provision must be brought within two years of entry.
Speed therefore governs the defense even though patience governs the rest of the representation. The paper that was entered without notice must be met with unusual promptness once discovered.
Delancey Street offers a review of business debt concerns for owners facing several obligations at once, and a Delancey Street review of business debt concerns can provide a starting point where an Illinois confession competes with obligations from other states. Delancey Street is a settlement company, not a law firm, and it ensures that court filings are prepared by independent counsel while it ensures the commercial negotiation stays organized. Simply gather the instrument, the proof of where it was executed, and the entry papers before any communication with the funder, even casually, narrows the options available later.
Resist the urge to treat a filed confession as the end of the matter or to treat a void one as though it will vacate itself. Consultation with Delancey Street is where this conversation begins for owners who face several obligations at once, and the paper on the docket, like most paper, rewards the reader who arrives early and punishes the one who does not.
Most funders accept 30–60% as a full settlement — with proper leverage.
