The license stays with the person and the premises named on it, regardless of what the purchase agreement promises.

A liquor store owner planning settlement around a sale should clear the licensing gate before spending the proceeds on paper. The statute gives the transfer decision to the Authority, not to the parties.

License Records and Proposed Transactions

The licensing gate decides whether the sale funds anything, so begin with the license record (which sometimes names an entity the owner stopped using, though the correction varies by case). Review and analyze it with the operating entity and the premises before preparing any sale proposal. Rarely does a purchase agreement mention the Authority.

In New York Alcoholic Beverage Control Law Section 111, the license is confined to the specified person and premises, with transfer subject to the Authority discretion. That provision states no rule for a store licensed in another state. What transfers with the keys? The inventory and the leasehold transfer under the purchase documents, while the license awaits the Authority. The license hangs on the wall like a diploma in a borrowed frame: valid, visible, and specific to a name that is not the buyer.

Describe the proposed transaction to qualified licensing counsel, since a sale of assets, a change in ownership interests, and a relocation, each with its own premises questions, present different issues requiring review. Counsel should read the license, trace the entity, and prepare a summary naming the seller, the buyer, and the approval each step requires. You sell the store and then you discover what the license allowed. Resist the urge to promise the buyer a closing date before counsel has mapped the approvals.

Financing Default and License Status

A missed financing payment is a payment event, not a licensing event. The creditor demand and any licensing notice deserve reading as separate documents.

The MCA dispute concerns payment. The licensing regime governs permission. The distinction between a payment dispute and a permission question is extremely easy to blur. What the owner files, or fails to file, with the Authority stays in the regulatory record.

If the store receives a communication from a regulator, retain the complete notice with its stated basis. A settlement discussion with an MCA provider establishes nothing about the regulatory matter. The license, in short, is a permission, not a possession.

Whether the Authority would treat a prolonged management agreement as a transfer in substance is a question worth considering.

Any assurance to the buyer about timing, even casually, should wait for licensing counsel. A plan involving ownership or premises may require licensing review even where the MCA dispute concerns payment alone. Protect and preserve the renewal notices with the operating records, and the renewal calendar stays on the wall beside the license.

Sale Proceeds and Settlement Budgets

The term sheet promises a price; the closing delivers cash, and the distance between them decides the settlement. An amount held pending approval, paid in installments, or subject to an adjustment cannot be treated as unrestricted funds at the outset. The MCA negotiation proceeds against a clock the creditor controls, while the Authority keeps its own calendar.

The purchase price was, if we are being precise, a schedule of contingent payments rather than a sum. New York rules on collateral after disposition address continuation of a security interest and attachment to identifiable proceeds, subject to exceptions. The statute decides no transfer of the license and frees no asset from claims against it.

Counsel should examine the MCA security documents with any other asserted interests (a financing statement, it should be noted, states no balance and proves no enforceability). A creditor asked to wait for licensing approval prices the delay in order to recover the months it did not agree to finance. Often we see the settlement dated to the closing that licensing has not approved.

Avoid a sanguine promise that approval will occur by a particular date. A purchase price made subject to all required approvals carries its licensing risk in that phrase. The buyer may require financing or another contractual condition before providing funds, so list those conditions beside the regulatory steps. Approval timelines we have seen discussed run to months rather than weeks. I have yet to see a buyer wait out a licensing delay without complaint.

Most closing statements flatter the seller. They are drafted to close, not to inform. Retain the proposed closing statement and revise it when terms change. Two sentences of Section 111 decide whether the sale structure survives first contact with the Authority. That pair governs the closing date.

Operating Budgets for a Store That Continues

A business that intends to remain open needs inventory with operating funds after the settlement payment. A one time reduction provides limited relief if the store cannot replenish stock.

Review supplier obligations apart from the MCA. The distributor expects payment on the usual schedule. The forecast should identify taxes, premises costs, and other commitments that remain due.

And the forecast deserves revision when sales or purchase terms change. The payment plan should remain grounded in the business the owner can operate after the agreement. Supplier obligations belong on their own terms, and I am less certain about their regulatory overlay than this section might suggest.

Coordinated Advice and Closing Documents

Delancey Street can review the MCA obligation through a merchant cash advance settlement review, beginning with a free and confidential discussion. Explain whether the payment proposal depends on continued operations or a sale. The company is a settlement provider, not a law firm.

Independently licensed counsel handles legal questions, and licensing questions belong to the professional responsible for that field. Confirm the engagement scope with fees.

The advisers should ensure both plans use the same closing date. We ensure the settlement conditions reference the transaction rather than assume it. Releases should address the debt, the collateral, and any individual undertaking apart from licensing approval. Any settlement installment due before approval is extremely exposed.

Simply keep the executed settlement with the closing record. A store that spends the sale price before approval resembles a tenant that sublets before reading the lease. Both profit from permission they have not secured. Most owners do not call until the buyer asks about the license. The silence until then is familiar. The store resolution must fit both its financial obligations and the permission under which it operates, and consultation is where this conversation begins, with the license record beside the settlement file.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
