The letters LLC answer fewer questions than the signature pages do. An owner who regards the entity as a settlement of every personal question has mistaken a structure for a release.
Before the first offer is drafted, the obligations require sorting into the piles the law will recognize in practice. The company owes what the company signed. The owner owes what the owner signed. The tax account follows its own assessment.
Often we see the loan agreement first and the guaranty second, though the reading order reverses the risk order. The entity borrows the sum while the owner supplies the promise the funder prices.
The guaranty was enforceable. It was also unread. That combination explains more failed relief efforts than any shortage of cash, because a proposal that resolves the company balance while leaving the personal undertaking intact has settled the quieter of the two claims.
Counsel should review and analyze the guaranty against the proposed release rather than assuming a statement that the account is settled covers every party. If the owner and the entity have different interests, the representation arrangement deserves attention before numbers change hands.
Take a hypothetical machine shop with two advances from separate funders in a single quarter. The owner recalls one set of papers. The file holds three undertakings, the third buried behind forty pages nobody mentioned at funding.
But the release must name the owner to protect the owner. A general reference to the account, even casually understood by both sides to include everyone, can later be read to include only the borrower on the first page. This is where most proposals begin to fail.
Delancey Street offers a free confidential initial review of MCA debt concerns. The company provides debt settlement services and coordinates legal matters with independently licensed counsel; it is not a law firm. Confirm that the accounts qualify and that service is available before treating any engagement as the whole of the plan.
A review of this kind can examine negotiation where advance payments strain the business. Ask whether the resolution addresses the entity, any guarantor, and the specific accounts in the engagement. No negotiator can ensure uniform acceptance, and a funder may preserve its claim in order to protect collection rights.
Steps the owner takes, or does not take, in the first month will shape every later discussion. Preserve each demand letter and forward each new notice the day it arrives. Any assurance given to a funder, even casually, can alter the posture of the later talks, so resist the urge to explain by telephone before counsel reviews the file.
Private settlement creates no automatic stay of its own. Federal court guidance on reorganization describes the Chapter 11 process and its exceptions (a distinction the monthly statement, which reports balances with admirable clarity, does little to emphasize).
The IRS describes trust fund recovery liability as an inquiry into responsibility for collecting and paying over employment taxes, running on a track parallel to ordinary commercial debt. IRS guidance on the trust fund recovery penalty explains that liability turns on conduct and authority rather than title alone, which is why the LLC label never answers the question the revenue officer asks.
Payroll tax arrears and agency notices belong before a qualified tax adviser, working from the actual notices and filed returns. A commercial compromise implies nothing about those accounts. How the decisions apply to any single company is less settled than collectors suggest.
Whether the owner appreciated the distinction at signing is a question the file rarely answers.
Present compliance needs a separate line in the same forecast. Money assigned to the commercial proposal may be the same money present tax deposits require, while funds reserved for the tax matter may leave the remaining obligations uncovered. The forecast exercise begins as arithmetic and ends as an education in what the owner does not know, because the advisers ask for the same figures and receive different ones, and the difference itself becomes the most informative line in the file.
Forecast cash only after operating expenses and every remaining obligation are stated. A viable company may face a schedule that mismatches receipts. Extended timing can relieve the calendar without repairing the underlying shortfall, a confusion the first draft of every forecast encourages since it carries the optimism of a subway timetable: precise, confident, and revised by reality before noon.
Simply set the proposed payment beside the weakest ordinary month rather than the strongest. An accountant can read the records toward an answer, and that answer decides whether relief means new timing or a different question. The records rarely answer it cleanly.
We ensure the proposal includes all material debts. Directing the whole surplus to one creditor can starve a second arrangement already in force. I have yet to see that loyalty acknowledged in a collection file.
Most funders understand the guaranty better than the person who signed it. They prefer the owner to examine it late. The file they build in the meantime is a case against the owner.
The forecast should still balance after funding day disappears from the page.
That sorting is the whole of the relief the owner can grant himself. The remaining work belongs to negotiation, documentation, and records that outlast both.
Preserve every statement, agreement, and payment proof. Identify who receives new notices and ensure the assignment is written rather than assumed.
Closing an account or pausing operations settles nothing by itself, whatever peculiar relief the quiet inbox provides. The obligations require their own releases.
Keep the ledger where the next reviewer can find it.
Prepare a schedule of everything that survives the proposed settlement. Most owners arrive at this schedule later than they hoped, and the delay is understandable. A released advance may improve company cash while a lease, supplier balance, or owner obligation continues.
IRS guidance on canceled debt explains that canceled debt may be taxable income, with exceptions and exclusions that depend on the facts. Entity structure and tax classification decide, so the LLC label alone never determines the result.
We review the terms, identify the deficiencies, and construct a response that addresses both the contractual claims and the practical limits of the company cash position. Protect and preserve the executed release, the payment evidence, and a note naming any condition still in effect, because it is extremely useful to hold a complete account when a later statement arrives inconsistent with the resolution, and extremely difficult to rebuild one from memory.
The ledger that sorted the obligations at the start becomes the file that proves the outcome at the end.
Most funders accept 30–60% as a full settlement — with proper leverage.
