A lower number can be real while the remaining exposure is still unacceptable. The settlement that matters is the one the parties can describe afterward without reopening the negotiation.

Payment affordability decides whether the agreement survives. The written terms decide what it settles. Owners who negotiate the amount first and read the scope second have ordered the work backwards, and the correction costs more than the discount was worth.

Payment Terms the Company Can Perform

A lump sum requires funds on hand when the agreement requires receipt. Installments require a forecast that survives ordinary variation in receipts and expenses, tested against the weakest ordinary month rather than the one in which the owner feels most optimistic.

The agreement should state the consequence of a missed installment. Notice, any opportunity to cure, and the balance or remedies the creditor may assert determine how much risk remains during performance, and how short the fuse runs in practice is less certain than the language suggests. What reads as a concession in the headline figure can function as a forbearance with a short fuse once the default provisions are understood.

An attorney should review and analyze the payment provisions before signature, and the owner should know whom to contact if a payment problem develops. We ensure counsel sees both the offer memorandum and the final draft, since the two documents differ more often than the closing checklist admits. This is where most proposals begin to fail.

In 2019, before several states revised their commercial financing disclosures, agreements arrived as numbers first with conditions attached behind them. The order has not changed. Most originators understand it perfectly. They rely on it.

Parties and Accounts Named in the Document

Before approving an offer, compare the proposed settlement with the original contracts. Confirm the correct legal name of the company with the identifiers of each account, and determine whether the agreement covers every advance or only the ones the collector chose to mention.

Collectors often shorten the company name in correspondence. The final document should be precise enough to avoid later dispute about whose debt was resolved, and the same care applies to the creditor identity, because the party accepting payment must hold authority to compromise the claim and deliver the promised release. Most owners reach this comparison later than they planned; the reasons are usually obvious.

Simply set the draft beside the source contracts. An omitted account usually shows itself within minutes, and that small administrative act prevents the outlandish embarrassment of settling a debt the company never owed while leaving the real one untouched.

There are exceptions, though in practice they tend to confirm the rule.

The Guaranty Inside the Settlement

A personal guaranty does not dissolve because the business holds an LLC charter. Language, governing law, and facts counsel must still examine decide its effect, and the settlement should state plainly whether the guarantor stands released after completion, faces limited restraint during installments, or remains exposed if the company fails to pay.

The guaranty functions the way a smoke detector functions in a building already scheduled for demolition: technically present, dutifully wired, and of no use against the fire already moving through the walls. The comparison flatters nobody involved, which may explain why the document receives so little attention until collection begins.

Resist the urge to rely on a representative oral assurance that everyone is included. A funder may later pursue an individual in order to recover an amount it considers outside the compromise, and the assurance, even casually offered, will not appear among the exhibits.

Ask whether the agreement demands a new individual signature. An owner signing for the company should understand any additional capacity in which a signature is requested, since a smaller company balance should never distract from language creating a separate promise. The document should name the guarantor in the capacity the release is meant to cover, in that capacity, spelled as the guaranty spells it. I have yet to see one improve with age, though they are filed as if no one will ever read them again.

The provision was, if we are being precise, not negotiated at all in four of the files reviewed this spring but inherited from the original advance and carried forward without discussion. The governing law here is less uniform than the forms imply.

Closing Papers and Acknowledgment

If litigation is pending against the company, counsel should address its disposition and ensure the dismissal papers reflect the agreed terms. Keep the transfer confirmations with the signed agreement.

A transfer receipt alone rarely proves every closing duty was performed. Match it against the agreement before filing it away.

Rarely does a scattered file answer a later question. Keep the papers where the next reviewer can find them.

Tax Result and Debts Outside the Release

Place the signed agreement, the original account records, and the payment history before the tax adviser. An initial proposal may differ from the completed transaction in ways that affect the analysis, and the adviser needs the result brought to completion rather than the terms first discussed. The file was complete. It answered none of the later questions.

IRS guidance on canceled debt explains that canceled debt may be taxable income, subject to exceptions and exclusions that depend on the facts. The company tax classification and the circumstances decide; the legal form alone does not. The IRS publication on canceled debts and exclusions carries further detail for the adviser, and the owner should not attempt to apply it alone.

Debts outside the release stay on the company calendar with their amounts intact. Private settlement creates no stay, and federal court guidance on the bankruptcy process describes a different route with its own stay and exceptions.

Delancey Street offers a free confidential initial review of MCA debt concerns, and its debt settlement services can provide a starting point for examining an eligible company account, with availability and scope confirmed first. Legal matters involve independently licensed counsel; the company itself is not a law firm. But no provider can promise that every creditor will accept the same result.

What the document states, or omits, about the guarantor will decide the next dispute. We review the guaranty, test the payment terms, and prepare language that addresses both the company obligation and the owner exposure. Protect and preserve the final agreement with its supporting records, because it is extremely useful to hold a complete file when a later statement arrives inconsistent with the resolution, and extremely difficult to rebuild one from memory. The purpose of settlement is an obligation the parties can describe without reopening the negotiation.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
