The deadline on an MCA arbitration demand comes from the notice and the rules that govern the case. No article supplies it, and the fourteen day figure some owners carry into the first conference is a rumor wearing a number.
Seven decisions structure the response. They begin with paper and end with the calendar, and each one belongs to counsel as much as to the owner.
Gather and preserve the demand with every attachment, envelope and transmission record. Counsel needs the date and method of receipt in order to evaluate notice and to fix the response timetable to the actual notice rather than to memory.
Treating the demand as correspondence is like treating a summons as a survey. The paper does not care how it is categorized, and the proceeding continues whether or not the owner answers it.
Most owners open the demand twice. The second reading is slower.
Section 2 of the Federal Arbitration Act makes covered written arbitration agreements enforceable, subject to generally applicable contract revocation grounds. That proposition is where analysis starts, according to the Federal Arbitration Act section 2, and it does not establish that every disputed clause binds every respondent or reaches every claim.
Only with the executed agreement open can counsel answer the scope question. The provision naming the forum, the language describing covered disputes and the *delegation* language assigning scope disputes all require reading, since an arbitration heading by itself answers none of them.
Counsel should ensure the comparison uses the executed version with amendments. A guarantor needs the document creating the individual undertaking, because the company agreement may not bind the person in every respect. I am less certain about delegation provisions than about formation challenges.
In the first forty eight hours, the only task is preservation and dating. Read the administrator notice together with the rules identified for the case, confirm the response deadline with any separate direction on fees or case administration, record how receipt occurred, determine how an extension must be requested and by whom it must be granted, and assign responsibility for each respondent, because a timetable assembled from a generic article will fail where the actual notice differs from it.
The date the owner opened the email may not be the date the procedure counts. Keep the transmission record with the demand rather than relying on a recollection of when the message arrived.
A demand ignored on principle still produces an award. If more time is needed, counsel should establish whether a request alone extends anything, since a pending request without acceptance is not additional time, and a payment to the administrator does not resolve the underlying debt.
Deadlines the owner meets, or misses, in the first month determine the posture of everything after. Administrative work carries legal consequences, and it should be finished before anyone composes a general explanation of why the advance became unaffordable.
Compare and reconcile the agreement, the funding record and the ledger of payments against the amount demanded. Identify which discrepancy the records support and whether the dispute concerns calculation or obligation, because the response must explain one or the other rather than gesture at both.
Retain reconciliation requests, modifications and settlement communications for counsel. A prior discussion may matter without establishing that the creditor accepted new terms, and an updated accounting may be needed where remittances continued after filing.
I have yet to see a ledger that matched the demand on the first comparison (the sample is small and the files self select, since owners with clean records are not the ones reading this article). Name the missing records without filling their gaps, and let counsel decide what the absence proves.
In LG Funding, LLC v. United Senior Properties of Olathe, LLC, a New York appellate court examined reconciliation, term length and bankruptcy recourse when it considered whether repayment was absolute. The analysis concerns the character of the financing, which is a different question from whether the parties agreed to arbitrate their disputes.
The clause may be valid. The debt may still be negotiable.
An enforceable arbitration clause answers where the dispute will be heard, which is a different question from what is owed.
A general assertion that every advance is a loan substitutes a slogan for the analysis counsel must perform on the actual agreement under the applicable law. Prior court proceedings over the same obligation may also matter, so the owner should mention them at the outset rather than assume each forum starts uninformed.
A negotiation does not extend a deadline the administrator never moved. Delancey Street can review the MCA obligation through its merchant cash advance settlement service, which offers a free confidential initial review, and the owner should put the arbitration timetable on the table at the first call.
The company is a settlement company, not a law firm. Independent counsel handles the arbitration response and the legal representation, and independent counsel ensures the settlement discussion and the filed response do not undermine each other.
Resist the urge to call the administrator with an explanation before counsel has reviewed the file. A partial payment sent to show good faith, even briefly noted in an email, can complicate the response counsel is preparing, so simply confirm every deadline in writing and let no single payment imply an agreement the owner has not read.
Keep the final response with confirmation of submission through the required process. A draft sent to a settlement provider proves nothing about what the administrator received, and later notices must reach the person responsible for the case.
Whether the administrator would have accepted a slower schedule, had counsel asked in the first week, is a question the file will not answer later. If settlement is reached, the written terms should state how the proceeding ends, since transferring funds does not by itself conclude every pending claim.
Return the calendar to the file with the agreement. Every arbitration ends with a number and a signature, and preparation does not change the agreement, though it changes what the agreement costs.
Most funders accept 30–60% as a full settlement — with proper leverage.
