The unfamiliar name on the demand explains itself before it gets paid.

A sale of the obligation, a servicing change, and a lawyer engagement for collection can wear the same envelope. The letter should say which event occurred instead of leaving the owner to infer a transfer from a logo.

The Notice Before the Balance

Set the latest demand beside the original agreement with the prior account statement. The comparison should name the counterparty in each document with whatever explanation the change received. I treat every unfamiliar letterhead as a question, not an answer.

The demand (which the sender will describe as routine transfer correspondence) may assert ownership, servicing rights, or authority to negotiate, and the business should ask which role is claimed with what proof of authority to receive payment. Senders describe their authority in confident terms, and confidence is extremely cheap before discovery.

As received, preserve the envelope, the message, and the attachments; a change in payment instructions needs verification through established contact information, above all where the new notice supplies different banking details.

The Transfer Record Counsel Needs

The original contract opens the review of the claimed chain of ownership. Retain amendments, notices of assignment, and documents the current claimant supplied, since counsel must connect this account to the entity demanding payment. Often we see the buyer letterhead before we see the assignment.

A general description of a portfolio sale may need more before the particular obligation can be identified, and the standard of proof for ownership shifts with the claim and the forum. No procedure promises a single paper that proves everything; what the file holds instead is a stack of partial answers that counsel reads together, and the missing middle of that stack is where most disputes about authority live.

The federal explanation of collection law limits states that the FDCPA covers debts for personal and family purposes, household spending among them, while leaving business debts outside its scope, which removes the consumer validation procedure from the MCA demand.

Before money moves against an unproved demand, the business needs a supported account of what is owed, with counsel assessing the law that governs the actor and the act.

The Old Dispute in the New File

The ledger should carry payments and credits forward rather than restart at the amount printed on the buyer letter. Retain the statements used before the transfer with the notices received after it.

An earlier settlement or modification deserves extremely close attention, since counsel should determine its effect on the obligation now asserted with the conditions the business completed, and a disputed reconciliation needs its request with the response preserved.

Negotiate from the ledger balance, not from guesses about the price the buyer paid.

Take a hypothetical buyer letter showing a balance above the last statement from the originator. The owner should ask for a reconciliation identifying payments and interest with any other adjustments the records show, since a change in ownership should not conceal an increase the records can explain.

Do not assume the account was bought for a particular percentage or that the buyer must accept a similar figure. The price, if unknown, stays unknown; the proposal should rest on the obligation, the funds available, and whatever response the counterparty gives to a documented proposal.

Whether the buyer file contains the full originator history is a question the first document exchange answers. Gaps in that exchange should be named as gaps rather than argued as conclusions.

Litigation Papers as a Separate Event

While ownership documents are awaited, a lawsuit from the buyer needs attention. The request does not extend the time to respond, and a document demand sent outside the lawsuit cannot substitute for the required court response.

The New York default judgment rule permits application to the clerk within one year after default for claims reducible to a sum, upon the requisite proof. That one year window belongs to the plaintiff; the answer date comes from the summons the buyer served.

Counsel should examine the pleading with the asserted basis for recovery (which may invoke an assignment the buyer describes in a paragraph that assumes the conclusion it needs) and test it against the agreement with the payment record.

The named defendants need separate assessment: the company, the guarantor, and any other party named should be assessed from the agreement and the claim rather than treated as one debtor, and an existing judgment needs its own record pulled before any response is drafted. What that response should contain depends on papers beyond this article.

Settlement Review Around the Current Claim

Delancey Street can assess the MCA obligation through its merchant cash advance settlement service, which offers a free and confidential initial review, so simply provide the transfer notices with the original account documents.

The company is a debt settlement provider, not a law firm. Independent counsel handles disputes about ownership and enforcement authority, and counsel will ensure the engagement names the current counterparty rather than assuming the original funder decides.

Discuss and confirm fees and scope before engaging, since no provider can ensure creditor acceptance through negotiation alone, and the owner should know who is reviewing the authority question while talks proceed.

A Release From the Proper Party

The buyer cashed the check. The debt survived.

An agreement with one claimant should not leave uncertainty about another party asserting the same account.

The final calculation must include payments made before and after the claimed transfer. A servicing transition should not leave the same payment uncredited in both systems; judgment, collateral, and collection instructions need treatment through the documents the matter requires.

Resist the urge to pay first and verify later, even briefly; the reversed order favors the party holding the funds. Steps you take, or do not take, before the first transfer decide who must prove what in the dispute that follows.

A buyer that priced the account in order to profit tests every concession against the transfer file. Counsel will ensure the file is complete, then review and analyze the transfer record, reconcile the payments, and assemble a settlement naming the account with the parties released; there is an uncanny relief in paying the proven party.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
