The right depends on the transaction and the remedy being sought. A New York merchant carrying MCA balances should distinguish characterization of the contract, the confession procedure, the scope of any enforcement relief, and the route by which an individual account might change.

Statutes and decisions supply specific inquiries rather than one conclusion covering every advance. The useful review matches each inquiry to the records in front of counsel, beginning with the agreement itself.

1. Characterization Turns on Whether Repayment Was Absolute

In LG Funding v. United Senior Properties, the Second Department examined reconciliation terms, finite duration, and bankruptcy recourse when asking whether repayment was absolute. The Second Department opinion on absolute repayment looked past the purchase label and kept the asserted criminal usury defenses alive while denying summary judgment on factual grounds, which is a narrower result than commentary sometimes suggests.

The same decision dismissed the criminal usury counterclaim, drawing a line between a defense against collection and an affirmative basis for recovery (a distinction owners tend to blur, and funders tend to exploit, when settlement figures are discussed). That line matters because it decides who must prove what and what a victory would yield.

Consider a fourteen page agreement whose reconciliation clause promises adjustment in terms nobody could invoke without records the funder never supplied. The hypothetical is familiar because the structure recurs: language suggesting shared risk beside mechanics ensuring fixed return, a finite term that ends only when the funder is whole, and recourse provisions that survive events a true sale would absorb. Counsel must test each feature against performance, since the label on the first page settles nothing and the payment history often tells a different story than the recitals, which drift from purchase language toward loan substance the longer one reads.

A citation to the case proves nothing about another contract. The ledger for the account at issue, not the caption of a published decision, controls that conversation.

2. Reconciliation Requests Belong in the File

Keep the contract provision, the revenue records, the written request, and the response together. Adjustment language means little until it is read beside evidence of how requests were made and answered.

But an unanswered request is not an accepted modification, and counsel needs the chronology showing what information went out and when. We would ensure the dates sit beside the amounts before anyone characterizes the funder’s silence. A reconciliation right without a working request procedure resembles a fire exit that opens onto a brick wall: present in the diagram, absent in the emergency.

3. Confession Challenges Follow Their Own Statute

CPLR 3218 states the affidavit and filing conditions for judgments by confession, including the county rule tied to residence at execution or filing. The CPLR 3218 affidavit and filing requirements create an inquiry separate from contract characterization: an entity resides where it keeps a place of business, and the entered papers must be measured against that test.

A defect in confession procedure does not necessarily defeat the underlying contract claim. The creditor may pursue ordinary remedies in order to recover a balance it still regards as due, and that possibility belongs in the plan from the start.

Resist the urge to describe the statute as a universal prohibition. Obtain the judgment and affidavit, establish the residence facts, and let the challenge rise or fall on documents rather than summaries.

4. Yellowstone Relief Covers Only Yellowstone Accounts

The Attorney General’s settlement with Yellowstone illustrates why the provider’s legal identity decides everything. The official Yellowstone settlement implementation page describes cancellation of covered Yellowstone obligations and relief concerning specified judgments and liens, while stating that litigation continues against other parties outside the settlement.

The claim deadline of January 9, 2026 has passed, and the implementation materials report payments mailed to qualifying claimants in April 2026. An owner holding an old invitation to claim should check the account against current records instead.

A peculiar hazard of enforcement headlines is that they make the funder’s name look incidental. Here the name is the whole question, and a similar trade name on a collection letter proves nothing about coverage.

5. A Complaint Is Not a Lawyer

The Attorney General accepts complaints without becoming any individual merchant’s counsel. A filing with the office pauses no unrelated proceeding and suspends no deadline.

Forward every notice to counsel. Preserve response dates and keep copies of everything sent and received.

6. Negotiation Addresses the Actual Obligation

Delancey Street offers a free confidential initial review for MCA debt concerns. Its settlement services can examine negotiation while independently licensed counsel addresses the New York issues the file presents. The company is not a law firm; eligibility and availability require confirmation.

No adviser can guarantee that a disputed contract or a regulatory complaint produces a concession. I have yet to see a creditor discount a balance out of respect for paperwork alone, though documented defects change the tone of every discussion.

Protect and preserve accepted terms with closing evidence, distinguishing relief granted by an official order from a proposal still awaiting agreement. A borrower’s rights become usable when tied to the correct facts and the correct procedure, which is less comforting than a broad assurance and more valuable in counsel’s hands. Close the ledger only when the papers show what closed it.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
