Collected sales tax follows the person who was obliged to remit it. Priority among creditors is a separate inquiry, and the owner who confuses the two may pay the wrong obligation first.

The requested title promises more than the law supports. No inspected source ranks state sales tax above every other creditor in every proceeding. What the sources do establish is narrower and more consequential: the state can pursue individuals whom private creditors cannot reach.

Identify What the State Says Is Owed

Begin with the notice, the periods assessed, and the returns associated with those periods. Determine whether the dispute concerns collected tax that was never remitted, taxable sales that were omitted, or an assessment the business believes is incorrect. The notice in a file reviewed last spring ran to six pages, most of them procedural.

A missing return requires attention even where the account cannot support payment, while a disputed calculation requires evidence supporting the objection. Separate the tax from penalties and interest on the statement. A tax professional should reconcile payments and credits before the total is used in any negotiation budget.

The jurisdiction matters. A business selling across state lines should not assume that the procedure applied to one registration resolves notices from another state. Retain the notice with its date and response instructions. An online balance may omit procedural directions contained in the correspondence.

Personal Responsibility Under the Applicable Statute

New York Tax Law Section 1133 provides that persons required to collect the tax are personally liable for tax imposed, collected, or required to be collected, subject to the statutory framework. That rule is a reason to investigate responsibility. It is not a conclusion that every owner owes every assessment, and counsel must apply the definitions to the actual role the person played.

Determining who falls within the relevant category requires the governing text and the underlying records. Titles alone should not substitute for the legal analysis. Preserve evidence of authority over the finances. Signing authority, responsibility for returns, and decisions concerning remittances may all become relevant under the law of the state that issued the assessment.

Officers who handled these assessments before the current forms were introduced tend to keep the remittance records apart from the general ledger, a habit that proves its worth when the state names an individual years later. If the state names a person, advice should be obtained about that individual response as well as the company account, and a proposed payment arrangement for the entity should be examined for its treatment of any individual assessment, since an agreement signed on behalf of the company (which collectors for private lenders will insist also binds the owner where a guarantee exists) does not by its own terms resolve a personal tax claim that was never a party to the discussion.

An owner who left the business needs records establishing the relevant dates and actual responsibilities. A private understanding with the remaining members may not answer the claim of the state. New York provisions should not be copied into advice about other states. The persons covered, the contest procedures, and the remedies available to the taxing authority can differ in scope, procedure, and remedy.

The Creditor That Can Wait the Longest

A creditor can exert immediate operational pressure without holding first priority in any asset or proceeding. The treatment of a tax claim may turn on its type, its timing, any lien, and the forum in which competing rights are determined. The owner who masters this distinction keeps more options than the owner who pays whoever calls loudest.

Ask counsel to identify the particular conflict. Is the question who receives proceeds from an asset sale, whether an account can be reached, or how claims would be treated in a court supervised process. Those are not interchangeable questions, and the answer to one does not supply the answer to the others.

The federal courts overview of reorganization describes a separate legal process for administering claims and the operation of the stay. A business considering that process requires an assessment of its own tax liabilities and creditor rights before any filing decision.

Do not promise a private creditor funds that counsel or the tax professional has identified as necessary to address another legal obligation. Do not assume that calling a payment tax money resolves every competing claim to the account. The payment plan should state the basis for its priorities.

The state does not need to be the loudest voice in the collection chorus. It needs only to be the one that remains when the others have settled or sued.

Current Compliance and Independent Counsel

A request for relief should distinguish the accumulated balance from current filing and payment obligations. Where the business continues to incur new unpaid tax, a proposal may describe a problem that is still growing.

Steps the owner takes, or does not take, toward current compliance will determine whether any arrangement survives its first quarter. Assign responsibility for reviewing the records. Review and document the filings with a tax professional. Resist the urge to divert the current period remittance toward arrears, even briefly, in order to present a lower total to the state.

Delancey Street, a settlement company and not a law firm, offers a free confidential review of business debt where tax balances compete with commercial claims. The objective is to ensure the commercial negotiation respects the exposure the statute creates and to ensure no position is taken without counsel present. Independent counsel and a tax professional handle the liability questions while the company addresses the negotiable balances. The filing deadline for the current period is Friday.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
