A year of silence from the funder proves the funder was silent, and nothing about the account.
The reason behind a particular silence cannot be read off the calendar. The five questions below replace guesses about collection motives with facts the business can establish.
You stop paying and then you wait to see what waiting costs.
Look for a settlement, a release, a payoff confirmation, or another document stating the result. The last conversation with a representative counts as an agreement when the record supports that conclusion; without that support it counts as a conversation usable against the owner.
Before treating the silence as closure, the owner should identify what the creditor agreed to receive and whether the conditions were completed; a temporary pause in collections is not a permanent release.
The payment history belongs beside the document, showing which installments were made with any condition left disputed. Rarely has a quiet year meant a closed file, and the owner should plan for the file that remains.
Obtain the relevant court record with counsel assistance, since a business should not assume no action exists because the owner has not read a summons. Old mail and messages sent to a registered address should be preserved for the service history. The service history should be assessed from the court file rather than from a general statement that the owner saw nothing.
The New York default judgment rule permits a plaintiff to seek default judgment where the defendant failed to appear or proceed, upon the required application and proof. If judgment was entered, the owner needs that judgment with any enforcement documents rather than another denial of the original debt.
Silence resembles none of the doctrines owners wish it resembled.
The company and the guarantor need separate checks, since a proceeding naming one does not establish the status of every possible obligor, and counsel should assess the response available at the stage the docket shows. I do not trust a quiet file until the docket confirms it.
A dated docket entry may tell more than a new demand letter, showing what the court received with what remains pending.
The New York contract limitations rule requires specified contract actions to be commenced within six years, subject to exceptions and further analysis of the claim, the governing law, and accrual.
That rule should not be reduced to a universal date counted from the last payment. Counsel must identify the claim with any circumstances affecting the period; a business outside New York should not assume the same calculation.
Reading several clocks as one resembles setting a courthouse clock by the bakery oven across the street: both keep time, and neither governs the docket.
There are tolling doctrines, though their application is a question for the file.
The one year abandonment rule for default judgments addresses a different clock: a plaintiff failure to take proceedings for entry of judgment within one year after default, subject to sufficient cause and the applicable procedure. It is an extremely narrow rule that does not cancel an MCA one year after remittances stop.
Funding, missed payment, service, default, and the entry of judgment that started its own enforcement timeline are separate events that must not share one date. Write each down with the event it measures, and record the source of each date used. Owners compress all of these dates into the phrase a year ago, and the phrase answers nothing.
An owner should not make a new acknowledgment or payment based on an assumed limitations strategy without advice. The legal effect of a proposed communication needs review before it can be used against the business.
There is a particular temptation in January to treat the prior year as closed, and an unchanged account balance is extremely indifferent to it.
Take a hypothetical transfer: when the sender changes, a new servicer, collector, or claimed assignee should explain its role with its authority over the account. The owner should preserve notices while verifying who asserts control, and the bank ledger needs review for payments or collections the summary omitted. The full story of a transfer is not visible from the notices alone.
Do not assume the debt was sold or written off because an old representative no longer responds. Those are questions requiring evidence; a change in debit description can hide an entry without changing its significance.
Delancey Street can review the MCA obligation through its merchant cash advance settlement service, which offers a free and confidential initial review, and provide the complete chronology with the quiet period included.
Independent counsel handles limitations issues with any court matter, and counsel will ensure the review separates what is known from what remains to be established; discuss and confirm fees and scope first.
Closure arrives as a document, and the owner should decide which document is sought.
The owner should identify the result sought: an accurate balance, a negotiated release, a supported legal response, or confirmation of a resolution performed in full. Each result needs different documents, and a payment plan should state what performance ends the obligation.
The year was quiet. The account was open.
Counsel will ensure prior payments are credited before a new amount is accepted. Simply keep the final release or satisfaction with proof of performance in one place.
Resist the urge to greet the quiet as good news, even briefly, before the record confirms the status. Steps you take, or do not take, during the silent months decide what the next letter finds.
A creditor that preserved its remedies in order to enforce will measure the file by the ledger, not the silence. Independent counsel will ensure the chronology is complete, then review and analyze it and assemble a position the business can plan around; there is a subterranean relief in a file that states what is owed.
Most funders accept 30–60% as a full settlement — with proper leverage.
