A renewal offer can provide cash without reducing the financing problem that made the cash necessary.

A tax preparation office or insurance agency should compare the completed transaction with its seasonal receipts before accepting another MCA tied to the same expected revenue. The new money spends first. The new obligation lasts longest.

Two Revenue Models, Two Forecasts

A tax practice and an insurance agency should not use one generic seasonal forecast. Identify the actual period in which the business earns, bills, and collects its fees or commissions.

For a tax office, distinguish appointments from completed work and collected fees. A full schedule does not establish that every expected receipt is available to support a new payment obligation, and the expense of completing work and maintaining the practice after the principal filing period belongs in the same forecast.

For an insurance agency, retrieve the agreements and statements governing compensation. Determine which amounts are earned, which remain conditional, and which adjustments the actual arrangement permits, rather than assume a universal commission chargeback or payment rule across carriers.

The owner needs the contract and current account record rather than a general description of how agencies are paid. The forecast should identify revenue outside the strongest collection period, since continuing receipts matter only in comparison with the expenses that continue alongside them.

What the Renewal Delivers

Obtain the new offer and the existing account written payoff terms. Determine how much of the proposed funding retires an old balance, pays fees, or reaches the business as available cash, because a headline advance amount does not establish the amount the owner can use.

The comparison should begin with net proceeds and the full new obligation. Identify whether the earlier agreement closes or remains active, and support any broker statement that the renewal replaces the old payment with the documents governing the actual transaction.

Before accepting the offer, before spending proceeds that have not arrived, compare the effective dates. The business needs to know whether any period of overlapping withdrawals remains, and it should read the treatment of early payment and any conditional reduction in the new agreement rather than assume every product handles fees or an accelerated payoff identically.

You sign the renewal and then you discover what the renewal signed. I prepared one such comparison on a Tuesday in January, which may account for its severity: three pages of new undertakings behind a single page of funding figures.

Whether the broker who priced the renewal understood the tax season staffing costs behind the forecast is a question the owner should ask before signing, not after.

Reconciliation Terms and Transaction Substance

The New York appellate court in LG Funding LLC v. United Senior Properties of Olathe LLC considered reconciliation and other features relevant to absolute repayment. That analysis does not establish a universal discount or a right to cancel an advance because business revenue is seasonal.

Read the actual definition of receipts and the procedure for requesting an adjustment. A decline in appointments or prospective renewals may affect a different period from receipts already collected, and the request should address the contractual calculation.

A renewal can contain terms that differ from the earlier document, so identify the debtor, any guarantee, and the collateral description rather than assume only the funding amount changed. Ask counsel to review and analyze acknowledgments or releases in the proposal, since the owner should understand whether the new agreement addresses earlier disputes or adds undertakings requiring attention, and keep accepted amendments with each account because an accommodation under the prior agreement should not be assumed to continue under the next one.

Tax Compliance Alongside the Financing

A tax practice that falls behind on its own obligations faces questions no MCA renewal answers. The IRS guidance on installment agreements and compromise describes payment arrangements for qualifying taxpayers under strict compliance terms, not automatic discounts, and the business should keep its filing and payment duties separate from the private financing negotiation.

Counsel and a qualified tax adviser should address the actual responsibilities before the owner directs scarce seasonal cash toward one creditor. Paying the funder, if we are being precise, does not establish compliance with anything except the funding agreement.

Renewal Decision With Delancey Street

Delancey Street offers a free confidential initial review of MCA concerns. A practice or agency can present the current agreement, proposed renewal, and collection forecast before deciding whether another advance supports the business.

The company provides debt settlement services and coordinates legal matters with independent counsel. It is not a law firm. Contract, professional regulation, and litigation questions require the appropriate legal engagement.

Ask the adviser to ensure that the comparison includes the cost of continued operations. Counsel should ensure that new guarantees, collateral, or disputed account acknowledgments receive review, and the settlement proposal should identify the specific account and the funding source on which performance depends.

Simply state which anticipated receipts remain conditional. The adviser needs an accurate schedule rather than a projection designed to make the creditor preferred amount appear affordable, and an extremely honest forecast, reviewed and revised against the carrier statements, serves the owner better than an optimistic one.

Test the schedule after the stronger collection period. Resist the urge to use last season peak as the baseline for every installment, since the business must examine the full period during which the proposed agreement requires payment, and an extremely useful comparison shows the cash remaining if the expected receipt arrives later or lower than projected.

Identify commitments made to generate the expected receipts, including temporary staffing or outside services under actual agreements. A stronger collection period can require expenses incurred before the revenue arrives, and the forecast should show when those amounts must be paid. A funder that prices renewals against peak months acts in order to bind the slow months to peak terms, and counsel should examine the renewal, measure the trap, and construct an answer that protects and preserves the agency position against that arithmetic. Steps the owner takes, or does not take, before the filing season opens decide the negotiation that follows it.

Rarely does a renewal look as attractive in April as it did in February. Any comment to the broker about expected volume, even briefly, becomes the number the offer is built on. The peculiar rhythm of seasonal work is that the money and the obligation keep different calendars, and the owner should consult and contact counsel before the calendars collide. The renewal signs back.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
