An assignment for the benefit of creditors should be chosen for the liquidation it can accomplish, with its limits understood before the owner surrenders control. The initials sound like a national procedure with predictable results, and they describe nothing of the kind.
Every ABC proceeds under the law of a particular state, before a particular court or none at all, through an assignee whose powers depend on instruments the owner signs. A business comparing an ABC with bankruptcy needs that comparison grounded in the statute that would actually govern.
Ask counsel to name the governing process and the role of the proposed assignee rather than treat the assignment as interchangeable across jurisdictions. Procedures, creditor protections, and operating allowances differ by state in ways that change the economics of the choice.
Florida supplies a documented example. The 2024 text of Florida Statutes Section 727.109 addresses court powers involving claims, priorities, distributions, sales outside the ordinary course, and compromises. Other states require their own analysis, and the sample of one jurisdiction cannot carry conclusions about the rest, a limit I state plainly because the temptation to generalize from a single clear statute is strong.
The owner should understand which assets would enter the proceeding and what cooperation remains required afterward.
Check current procedure and eligibility when the assignment is made.
The federal courts explanation of Chapter 11 describes the automatic stay that generally arises upon filing, subject to exceptions and possible relief. An ABC should not be assumed to supply equivalent protection.
Under the 2024 Florida Section 727.105, restrictions on actions against the assignee and on specified enforcement against estate assets contain important limits, including the preservation of a consensual lienholder enforcement against its collateral and of governmental police or regulatory proceedings (which defenders of the assignment process sometimes describe as complete protection, though the text itself withholds that breadth).
Those distinctions can decide whether a proposed liquidation has enough stability to proceed. Ask which creditors can continue acting and what consent or additional relief the plan requires.
You sign the assignment and then you discover what the assignment means. A funder cooperation with early discussion proves nothing about whether every creditor is bound, so counsel should identify the legal basis for each protection the proposal claims.
The identity and incentives of the assignee deserve more attention than the label on the transaction. Determine who will possess assets, communicate with creditors, authorize expenditure, and report to the court after the assignment takes effect.
In the Florida example, the cited section addresses court authority over proposed sales and compromises, with notice procedures that shape how contemplated action proceeds. The owner nominating the assignee does not make the assignee the owner representative.
Fees and expenses come from the estate. A lower administrative cost than bankruptcy is frequently asserted, and the assertion deserves a budget rather than acceptance.
Where a buyer already waits, often an entity associated with the former owner, ask counsel how its proposal will be evaluated and disclosed. An expectation of acquiring selected assets should not be treated as an entitlement to the intended result.
Identify the assets included, asserted liens, and operating rights the buyer requires. A price agreed in conversation does not establish that every necessary interest can be delivered free of competing claims.
Leases, licenses, and contracts can require separate action outside the assignment proceeding.
The assignee may also examine prior transactions. Florida cited provisions include powers concerning turnover, lien validity, and void or voidable transfers, so the owner should preserve records of earlier dispositions and related party dealings.
Under the 2024 Florida text, conducting the business beyond 45 calendar days requires specified court authorization. That period illustrates one state framework, not a national operating allowance, and a business needing continued trading should identify the cash, staffing, and permissions the proposed process demands.
The forecast should account for who authorizes operating commitments during the proceeding. Optimistic closing dates have stranded more than one assignment in an unauthorized operating period.
Finality is the product being sold. The statute sells something narrower: an orderly disposition with named exceptions.
Resist the urge to describe a continuing business as closed merely because liquidation has begun. Actual operations create practical responsibilities that belong in the professional assessment, and the payroll for those operations accrues regardless of the caption on the file.
Delancey Street offers a free confidential initial review of MCA concerns. A business considering liquidation can use that review to examine whether a negotiated arrangement remains a practical alternative for the advance.
The company provides debt settlement services and coordinates legal matters with independent counsel. It is not a law firm and should not be assumed to serve as an ABC assignee. Assignment and bankruptcy decisions require qualified legal advice.
Ask the adviser to ensure that any settlement proposal reflects the entire creditor picture.
Disposing of company assets does not establish that an owner received a release of a personal guarantee. Identify each individual undertaking and the document needed to resolve it.
The discharge of an assignee from its duties should not be confused with a bankruptcy discharge or a release of the assignor guarantors. Similar words describe different legal events, and the confusion has cost guarantors who stopped monitoring personal exposure once the company file closed.
Ask counsel to review and analyze the position of the business and each individual separately. Counsel should ensure that any release obtained names each individual it protects. A cheaper proceeding that leaves the personal problem intact is not the bargain its fee schedule suggests.
Keep creditor names, addresses, and supporting documents current. The applicable claims and notice procedures require review under the chosen state law.
Retain proof of submissions with copies of resulting orders or accepted agreements. The final accounting should be available after the business stops trading.
Measure each route by asset disposition, creditor treatment, remaining personal obligations, professional cost, and the resources needed to finish. Include what happens if a creditor objects or a buyer fails to perform.
An extremely plain description of an ABC can conceal work the business still must fund. The owner needs a proposal that survives contact with objection, delay, and the costs neither alternative advertises.
Delancey Street review can inform the settlement alternative while counsel evaluates formal proceedings. A sound exit is measured by the obligations it resolves and the records it leaves after the final asset is sold.
Most funders accept 30–60% as a full settlement — with proper leverage.
