An LLC that files Chapter 7 receives administration rather than forgiveness. The distinction disappoints owners who imagined a discharge, and it clarifies everything once it is stated at the outset instead of discovered mid case.
The company can be a debtor. It cannot earn the discharge that individuals receive. What follows traces that rule through the trustee process, the surviving guaranties, and the liens that pass through the case untouched.
The federal courts guide to Chapter 7 separates the right to file from the right to a discharge, and Section 727 reserves the discharge to individual debtors. A partnership or corporation may enter the case. It may not leave it with debts wiped.
That rule redefines the purpose of the filing. The case concerns collection and liquidation of remaining property rather than rehabilitation of the same entity, and counsel should explain what administration accomplishes that a private shutdown would not. The MCA label changes nothing here, since a dispute about purchase versus loan can affect claim treatment without converting the company into an individual debtor.
You sign the contracts as the company and then you learn what the company cannot receive.
The opening question is therefore concrete: which assets and disputes require administration, and which personal exposures stand outside the process. An answer to both can still support filing, though the support rests on order rather than relief. That surprises owners exactly once.
A trustee gathers property of the estate, evaluates what can produce a distribution, and examines the transactions that preceded the petition, which means management must deliver complete records and cooperate without treating the case as a private arrangement with its largest creditor, and the completeness of that delivery shapes the cost and duration of everything that follows.
Asset value and distributable value are different figures. An MCA provider may assert rights in receivables and equipment, and the agreement with its financing statement and payment history frames the claim, or, to use the precise term, frames the opening position from which the claim will be tested, though a filed lien invites legal analysis of validity and priority rather than deference to a collector assertion that everything belongs to the funder.
Earlier transfers draw attention under avoidance provisions, including preference and fraudulent transfer rules where their conditions hold. That exposure does not mean every payment before filing will be recovered, nor should the owner attempt private reversals without advice before the trustee has opened the file.
Provide a complete record of transfers involving owners, affiliates, and unusual asset sales, with dates, consideration, and reasons. In the first meeting of creditors, the trustee tends to ask about insider movement before full review of the schedules. A missing transaction discovered late complicates administration long after the operating account closed. This inquiry dominates the early weeks, though our sample is not scientific.
Secure credentials and record access before employees and vendors depart. Preserve and protect customer ledgers and accounting access, since closing never made those records disposable. Counsel can advise how to hold access without authorizing transfers, and the business should not assume authority to sell equipment or move cash continues unchanged after the petition. The petition freezes that authority by operation of law.
The company filing releases no owner who guaranteed an obligation. The guaranty supports an extremely durable claim against a different obligor, and the individual estate receives no shelter from the company petition.
Collect every page bearing an individual signature. A guaranty often hides inside the financing packet, a peculiar rider on a bargain already struck, and counsel must separate signatures made for the entity from promises made in a personal capacity. I have yet to see a guaranty dispute improve with waiting, though lenders continue to draft them as if no owner will ever read the packet.
The owner then compares personal bankruptcy, negotiated resolution, or defense of the asserted guaranty. Those paths turn on personal income and assets and remaining debts that outlive the operation, at least on the facts we can see from this desk.
A discharge, where one exists, does not extinguish every valid lien. The treatment of property rights requires attention under the applicable process, and an owner should never assume that relief from personal liability permits continued use of encumbered property free of the interest.
The automatic stay restrains collection against the debtor and estate property, subject to exceptions and to relief the court may grant. It should not be described as permanent cancellation of secured rights, since a valid lien demands extremely prompt resolution rather than silence. State wind down formalities add a further layer for counsel with the accountant to resolve. Closing the court case and finishing state obligations are not the same event.
The shell dissolves. The signature remains.
Where operations hold no prospect of revival, the analysis should say so rather than base a proposal on revenue that will not arrive. The ledger in the trustee hands will show what the optimistic forecast concealed.
Delancey Street offers an initial assessment of business creditor negotiations through its debt settlement service. The company acts as a settlement company, and it does not provide bankruptcy representation as a law firm. A bankruptcy attorney should evaluate and guide the filing itself.
A useful comparison weighs available assets with process costs and surviving claims against owners and related entities. Steps taken, or not taken, in the first weeks after closing determine whether value is preserved or scattered, so ensure any negotiated closing names the company and the guarantors released, and ensure settlement funds come from a lawful source reviewed where bankruptcy remains under consideration.
Resist the urge to file for the company and consider the matter finished. An orderly ending asks a clearer question than stopping the calls, and for an LLC the answer runs through administration of what remains with knowledge of what survives against the person who signed.
That knowledge is the actual product of the case.
Most funders accept 30–60% as a full settlement — with proper leverage.
