The release decides what the settlement was worth, and the release names entities rather than intentions. A company formed in Delaware may operate elsewhere under financing documents that point to another jurisdiction, so counsel should assess the actual transaction rather than the address on the formation record. Delancey Street offers an MCA focused review that begins with those documents and the cash behind them.

Authority to settle and the governing documents

In 2019, before the recent wave of state commercial financing rules, many owners already learned that the person negotiating is not always the person authorized to bind the company. Collect the financing agreement, amendments, guarantees, and organizational records relevant to approval. Simply record who can approve the proposal before a time sensitive offer arrives.

An extremely familiar company name on the account does not establish that every affiliate or owner is included in the proposed release, a peculiar comfort where the documents name different parties. List each party and the obligation the counterparty asserts against it. Whether this holds where another jurisdiction governs the agreement is a question I cannot answer from this desk.

The manager (who, it should be noted, may hold authority for ordinary expenses while a debt settlement raises an additional approval question under the company documents, particularly where a subsidiary and not the parent holds the operating cash) should have that process settled in advance. The business should respond through a defined decision maker rather than an improvised exchange among owners.

Include any internal approval required before funds are committed. Establish the process before an offer arrives with a short acceptance period. No authorization, even briefly discussed on a call, binds the company without the required approval. That discipline is invisible until the short fuse offer arrives.

Cash available from the operating business

The payment must come from collected receipts, not from requested patience. Build the proposal from the operating business, including obligations outside the settlement such as supplier accounts, taxes, and other financing. The company needs to remain able to complete work while negotiations proceed.

A Delaware registration does not supply a cash forecast. Use the actual business records, including locations, customer payment patterns, and recurring expenses where they affect affordability. Avoid assuming that substantial revenue means funds are available on the required date. The revenue was substantial. The available cash was thin.

You sign the schedule and then you discover what the schedule requires. Test a weaker payment period before promising an installment, because an extremely tight plan can fail after an ordinary customer delay and leave the company exposed under the default terms. Rarely does a forecast survive first contact with the collection calendar intact.

Review and analyze what happens if the first offer is refused. Acceptance remains a counterparty decision even when the financial information is complete. Most creditors understand delay better than surprise. They prefer not to discover it in the same week as the missed payment. The forecast may include uncertain receipts. Identify them rather than converting expectations into available funds.

Files that arrive complete tend to move, while thin files return with questions. I have yet to see a short fuse offer wait for a missing signature, though such offers continue to arrive with urgent cover notes.

What the company commits, or withholds, decides whether operations continue during negotiation. Keep the approval, the forecast, and the authority record together. The file should answer who decided, with what money, under whose permission.

Delancey Street review for MCA accounts

Delancey Street offers an MCA focused debt settlement review with a free confidential initial conversation. The company is not a law firm, and it describes coordination with independently licensed counsel for legal matters. Service eligibility for the particular company should be confirmed rather than assumed, since the public pages describe categories and whether a particular guarantee falls inside them is a question counsel must answer for that file.

Bring the contracts and the operating forecast. Ask about fees, included accounts, approval of offers, and responsibility for urgent legal notices. An initial review should produce a service description specific enough for the company to evaluate, and we ensure that description separates negotiation work from legal representation. Owners should consult and contact independent counsel where a proceeding requires action.

The file should show authority before it shows arithmetic.

Whether the proposal will persuade any particular creditor is a question no intake conversation can settle. The review can still clarify the amount available, the accounts included, and the work the engagement covers.

Tax review of forgiven balances

The IRS guidance on canceled debt explains that canceled debt can constitute taxable income, with exceptions and exclusions subject to requirements. Entity structure and tax classification can affect the result, so formation in Delaware does not supply the full answer.

Give the tax adviser the proposed terms and the relevant records. Keep the estimate provisional and separate from service fees and creditor payments.

Release terms and the closing record

Nobody signs these releases on a good day. Compare the release with the entity names in the financing documents. A trade name, a subsidiary, and the personal name of the owner may appear in different parts of the record. Counsel should determine which parties require treatment and whether the proposed language achieves the intended result.

If another entity provides settlement funds, retain the documents explaining that contribution. A funding party may apply the payment in order to preserve a balance the owner believed was resolved. The creditor satisfaction of its account does not establish how the payment is treated within the corporate group. The accountant should receive the final transaction record rather than infer the arrangement from a transfer between accounts.

The federal judiciary Chapter 11 guidance explains that a bankruptcy filing generally creates an automatic stay, subject to exceptions. Private negotiation creates no such protection, so existing deadlines must be addressed while commercial terms are discussed. A pending offer does not answer the case against the business. The practice on timing in any particular forum is not entirely clear from published guidance, which is part of why counsel should confirm the deadline rather than infer it.

Resist the urge to mark the account closed upon transfer alone. Retain the executed terms, proof of payment, and confirmations required after performance, and ensure the file names the person responsible for any remaining step. Delancey Street initial review begins the MCA conversation with the company documents and available cash, and a useful resolution leaves a record of authority, performance, and release that a successor can understand without relying on the memory of the person who negotiated it.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
