The legal effect of an MCA turns on the substance of the transaction, including the risk the funding party agreed to accept. Calling an agreement a purchase does not complete the inquiry into whether its terms require repayment in every circumstance.

1. Identify Whether Repayment Is Absolute

In LG Funding v. United Senior Properties, a New York appellate court addressed the significance of absolute repayment in evaluating an alleged loan. The court identified reconciliation, a finite term, and bankruptcy recourse among the relevant considerations. The opinion comes before the argument built on it: no clause, standing alone, decides the character of the transaction.

Begin with the complete agreement rather than the first page. A provision describing purchased receivables may operate alongside obligations that deserve examination of what happens when the expected receipts never materialize, because the funding party that describes variable collections while collecting an apparently fixed obligation has framed the central question of the case without answering it.

The useful question is who bears the relevant commercial risk. That inquiry can be extremely important where the language of risk and the arithmetic of risk point to different parties. A lawyer must apply the governing law to the actual terms. An owner can assemble the agreements, amendments, and performance records needed for that assessment.

2. Examine How Reconciliation Works

Before treating an adjustment clause as protection, or a missed payment as a breach, examine what records must be submitted and what the provision requires the parties to do. A reconciliation mechanism can address differences between estimated and actual receipts. Whether it provides a meaningful allocation of risk depends on the language and the record of performance (the third request answered five weeks after the first).

Simply keep the complete exchange rather than a summary written after the disagreement developed. Preserve requests, responses, and supporting statements. An ordinary documentation requirement differs from a disputed obstacle to relief. A refused request does not, without more, establish that the entire transaction was a loan.

Reconciliation on paper is a procedure. Reconciliation in practice is a correspondence file.

The opposite assumption is also unsafe. A clause printed in the agreement does not answer every question about what the funding party required in practice. Most providers draft the reconciliation clause with care and administer it with discretion. The gap between those two acts is where disputes live.

A product can use sales based collections while being described by its provider as a loan. PayPal Working Capital provides the contrasting example: its published description identifies a business loan with a fixed fee, repayment through PayPal sales, and minimum repayment requirements. A percentage of receipts does not prove a receivables purchase. There are exceptions, though in practice they tend to confirm the rule.

3. Understand Why the Governing Law Matters

Usury rules and the consequences of loan characterization vary by jurisdiction and transaction. The business should not borrow a rule from another state without examining the choice of law provision. Steps the owner takes, or does not take, in the first weeks after service often decide which forum hears the argument.

Corporate status, the amount involved, and other statutory conditions may affect a defense. A high implied financing cost alone does not establish that a court will void the agreement. I have yet to see a classification argument win a case on its own, though it has improved many settlements.

4. Separate Contract Review From Court Procedure

A potentially useful defense can still require a timely response in the proper forum. The name on the contract matters less than the obligations the parties can establish from its terms and performance.

Resist the urge to ignore a demand because an online article describes similar advances as unlawful. That can be an extremely expensive assumption if a deadline passes before the issue is raised. Any communication with the funder, even casually, can alter the posture of the case against the business.

Negotiations do not themselves suspend the proceeding. An agreed extension should be confirmed through the appropriate process. A fixed debit drawn from variable receipts behaves like a tide table applied to a river: authoritative, printed, and wrong about the water.

5. Retain the Financial Records

Keep statements showing disbursement, withdrawals, and fees. Note any adjustment to the payment amount and retain its supporting correspondence. The figures may require reconciliation with the claimant account.

Record the differences without treating every discrepancy as established misconduct. A spreadsheet built from memory invites disputes the statements would have prevented. Whether a variance reflects an accounting error or a contractual dispute is a question counsel answers from the complete file, not from the statement alone.

6. Connect the Legal Review to a Practical Decision

A classification dispute can affect negotiations, but it does not determine whether the business can fund a proposed compromise. The owner still needs to assess available cash, remaining obligations, and the terms of any release. A contract can be enforceable and commercially unsuitable, while a disputed contract can still require an immediate procedural response.
