A defense begins with the contract and the claim, not with the assumption that a North Dakota address keeps every dispute under familiar law.
The owner needs an attorney who can identify the governing procedure and test the evidence behind the balance. Settlement assistance may run beside that work, provided the responsibility for representation stays explicit and no deadline falls between the two.
Keep the summons or complaint with the envelope and delivery details, and do the same for any arbitration demand. Counsel must establish the response requirements from the actual proceeding rather than a general deadline remembered from another dispute.
Identify every named defendant and supply the complete agreement with guarantees and attachments. A demand against the owner may need analysis apart from the claim against the company, and the attorney cannot see that split without the full set of documents.
Simply forward the complete material and obtain confirmation of responsibility.
A settlement representative’s receipt of a document does not retain a lawyer for the case. The owner should know which person makes the next required filing and under what engagement, because that question has a wrong answer and the calendar will find it.
The agreement may contain a chosen law provision, a forum clause, or an arbitration requirement, and counsel should assess those terms before deciding which authority supports a response. Where arbitration has been invoked, Section 2 of the Federal Arbitration Act provides the federal starting point for covered written agreements, subject to defenses that still require examination of the clause and the notice.
In New York LG Funding v. United Senior Properties of Olathe, appellate judges considered whether repayment was absolute through reconciliation, a finite term, and bankruptcy recourse. The New York MCA repayment decision may inform the analysis where the governing law supports it (a proposition the funding industry treats as settled in its favor, though the agreement itself gets a vote), and it becomes no North Dakota rule through similarity of product names.
Compare the reconciliation language with actual requests and revenue records, identifying what the business supplied, how the provider responded, and whether the withdrawal changed. The history can matter as much as the clause, and counsel should review and analyze the claimed balance with charges and credited payments documented rather than replaced by a general complaint about MCA providers.
The attorney should ensure the legal position is supported and ensure deadlines stay protected while the business weighs settlement, since a creditor’s willingness to discuss a proposal does not pause the proceeding. That assessment is extremely useful where it establishes which facts need evidence and which arguments the applicable law allows.
Delancey Street offers a free confidential initial review for MCA distress and coordinates legal matters with independently licensed counsel. It is a debt settlement company, with independent counsel responsible for legal representation.
Confirm service availability with eligible debt and fees for the actual business. What the owner brings to that review, or fails to bring, decides its value. The review can assess a negotiated route beside counsel work, and a separate legal engagement should name the attorney responsible for representation.
Two tracks. One calendar.
Prepare a cash forecast that holds necessary expenses and unchanged obligations beside expected receipts, then ask whether the proposed contribution exists or depends on uncertain collections, and place each installment on a revised calendar the business can meet.
Resist the urge to promise funds needed for payroll to conclude an uncomfortable negotiation. The business must retain the capacity to perform the agreement after signing, and a favorable discount can be extremely difficult to sustain where its timing ignores the receipt cycle, a lesson best learned from the forecast rather than from the default notice that will follow.
Read what the settlement resolves with what follows a missed installment, because guarantees, security rights, and dismissal of proceedings may need attention beyond the payment amount. Releases are drafted in order to end the claims the creditor names, not the ones the owner assumes. For a balance dispute, list each contested charge beside the contract provision and payment record behind it. For reconciliation, identify the request, the supporting receipts, and whatever response the provider gave.
Different issues need different evidence even when they concern the same advance. The file the owner assembles in February, during the empty weeks of February when collections staff have time to pull records, will be the file that decides the motion in June. Whether the tribunal will credit that record is a question no article can answer.
Federal court guidance describes Chapter 11 as a reorganization process in which an automatic stay arises upon filing, subject to exceptions stated in the statute. The courts Chapter 11 guidance frames the comparison where voluntary talks cannot bind every funder. Private negotiation provides no such mechanism.
Counsel should assess whether the business can resolve its position through voluntary arrangements or needs a broader process. That assessment turns on creditors, assets, and the prospects for continued operation, and some of the forecast will remain uncertain however tidy the spreadsheet. Often the decisive fact is capacity rather than liability, though the sample behind that observation is not scientific.
A Delancey Street initial review offers a starting point for the MCA settlement inquiry, with legal advice and representation supplied by licensed counsel under a defined engagement. The file again. The calendar again. The goal is a supported response and an obligation the business understands, reached from a clear record rather than an assumption about what the provider can enforce.
Most funders accept 30–60% as a full settlement — with proper leverage.
