A personal discharge can release the owner from a guaranty while the operating company answers for its own debt. That separation is useful, though the ownership interest and the continuing payment burden of the business must be examined before anyone promises that operations will continue undisturbed.

Most owners apologize for asking whether they may keep the business. The question needs no apology.

The discharge reaches personal liability and stops collection against the debtor. It does not cancel the company obligation, free encumbered collateral, or extend itself to parties who never filed. The sections below map what the filing touches and what it leaves alone.

The Guaranty and the Company Debt

Section 524 describes the effect of a discharge on personal liability and preserves the liability of other entities under its exceptions. Read the signature pages and compare the promises each creates, since a company signature and an individual guaranty often share one packet and create the impression of a single obligation (which the funder will endorse as the correct reading, though the documents bind different parties to different duties). The full text of Section 524 of the Bankruptcy Code states the distinction the packet obscures.

The statute voids judgments to the extent they determine the personal liability of the debtor, and it enjoins collection of discharged debts as a personal liability of the debtor. The order of those protections matters. The company remains obligated under the financing agreement, its receipts remain subject to valid rights the provider holds, and the owner should not instruct the business to stop performing because personal relief is under consideration.

The owner is free of the guaranty. The business still owes the debt. A personal solution and an operating solution must be assessed together, since relief that improves the household position while leaving the company unable to meet its daily obligations has solved the smaller problem first.

The Ownership Interest in the Personal Case

A separate LLC does not become a debtor because its owner files. The membership interest still enters the personal case, with applicable exemptions and the consequences of the chosen chapter to be assessed before filing. Trustees ask for the operating agreement before they ask for anything else.

The interest has no value. No value, that is, the owner can see from inside a business that cannot meet payroll. Customer relationships, equipment, receivables and work in progress can still give the interest a worth the monthly panic conceals, and a valuation prepared for another purpose is a poor answer to the bankruptcy question, in our experience. List and value every asset behind the interest rather than declare the whole holding empty.

Provide the records showing ownership, transfers, distributions and any restrictions on the interest. A single member company raises different questions from an entity with several owners, and December transfers draw the same questions in July. The governing documents belong in the bankruptcy consultation rather than in a drawer of unrelated corporate paperwork.

Distributions that move value out of reach in order to beat the petition invite scrutiny the case does not need. Resist the urge to empty the operating account the week before filing, and discuss any proposed change in compensation or ownership before implementing it. The source of the future household income matters as well, since a repayment plan funded by distributions the company cannot support fails even where the guaranty itself can be addressed.

Choosing Between Chapter 7 and Chapter 13

Sixty to ninety days after the first meeting of creditors, the individual discharge arrives absent objection, granted in above ninety nine percent of individual cases excluding dismissals and conversions, a figure the court site reports rather than a promise. The Chapter 7 guide from the federal courts describes liquidation with its limitations and property consequences, while the Chapter 13 guide describes the individual repayment plan. Neither chapter should be chosen because the guaranty is the loudest debt.

Eight years separate one Chapter 7 discharge from the next, with different intervals governing other chapter sequences, and recent dismissals can curtail the stay in a new case. Income, assets, other obligations and applicable exemptions all enter the choice. A debtor whose obligations run to business debts may present a different means test question from a consumer debtor, though other requirements remain in full force.

A Chapter 13 proposal depends on income capable of supporting the plan across three to five years. Chapter 7 can involve administration of nonexempt interests, including the membership interest itself. Petitions filed in January often carry December transfers that need explanation, and counsel should review the complete schedule before the business commits its forecast to either path.

What the Discharge Leaves Behind

A creditor may assert an applicable exception to discharge, including a fraud theory where the facts support it. The allegation does not decide the result, but the required proceeding and its deadlines need attention from the start. Preserve the application and the financing correspondence.

A valid lien requires treatment apart from personal liability. Counsel explains which property remains subject to an interest after discharge and what the case can address. The arithmetic is melancholy but simple: the signature is released and the collateral stays encumbered.

Coordinating the Company Settlement
