The creditor that collects first is not necessarily the creditor entitled to the collateral. A business carrying an SBA loan beside an MCA filing needs a priority review before assigning sale proceeds or accepting another lender instructions at face value.

The Assets and the Documents Claimed Against Them

Obtain the SBA loan documents and the MCA agreement with their schedules and amendments, and identify the debtor named in each instrument alongside the property described. An operating company can use assets owned by another entity or an individual, which makes the ownership record relevant to the analysis in ways the payment dispute never raised.

Do not assume every filing covers the same property. One arrangement may concern equipment, another receivables, and a third may employ a broad description of business assets whose operative words require examination against the actual security agreement and applicable law. One agreement of this kind ran to thirty pages, most of them schedules, and the schedules controlled the outcome.

The filing, if we are being precise, establishes nothing about the amount owed. It records a claimed position against described collateral. The ledger behind it must still be proved, and counsel should examine perfection as a legal question about required steps rather than reduce it to the date a lender emailed its contract.

Filing History, Perfection, and Agreements Between Creditors

Request the full filing history, including amendments, continuations, and termination records, because a search result may show the original entry without explaining a later change, and counsel needs to know whether the relevant filing remained effective and whether the record identifies the correct debtor and collateral before advising any payment from sale proceeds.

But the filing order alone seldom tells the whole story. Ask whether a subordination, intercreditor, or consent agreement exists, since a later financing transaction may have been permitted on terms affecting priority or enforcement, and the owner should preserve that document rather than treat assumptions about seniority as a legal conclusion. If a broker says the new advance will not affect the SBA loan, request and preserve the basis for that statement in writing. No one reads these instruments calmly on first encounter, and the sample of files behind that observation is not scientific.

A marketing explanation cannot establish the existing lender consent. The relevant written agreement should identify the parties, the collateral, and the action authorized, and a funder that structured its advance in order to obtain de facto control of receivables deserves the same documentary skepticism as any other claimant against the account, even casual assurances included.

The reconciliation clause in these private agreements functions the way a smoke detector functions in a building already condemned: technically present, operationally beside the point once competing perfected claims attach to the same proceeds. Mark every unresolved point for investigation. An incomplete priority map can still organize the review, provided nobody treats its assumptions as the answer.

Ordinary Priority Beside Federal and Insolvency Questions

An SBA connection does not justify skipping the collateral analysis. The SBA commercial loan servicing guidance describes lender and agency roles in servicing, liquidation, and related actions, and the borrower should identify the particular program and current loan status rather than assume every account connected with the agency follows the same procedure.

Federal priority questions can also arise in defined circumstances. The federal statute on priority of government claims addresses specified insolvency and estate situations and expressly distinguishes cases under title 11, so it is not a substitute for a complete analysis of every secured claim. Whether that statute reaches a given operating business is a question counsel answers from the facts of insolvency, not from the existence of a federal guaranty.

Before closing the business, distributing remaining assets, or paying related parties, obtain advice about the rules affecting the proposed action. A plan that appears workable from filing dates alone may omit a different obligation arising from the condition of the debtor or the manner of transfer. Which payments would a trustee later examine first?

Sales and Settlements That Respect the Order of Entitlement

A proposed asset sale should identify the purchase price, expenses, claims to be addressed, and documents required to release the buyer interest from asserted encumbrances. Counsel can then determine what approvals and payment directions the transaction requires, reviewing the instruments, confirming the payees, and documenting every condition of release on which the buyer title depends, and we ensure no proceeds move until those directions are in writing. That is where files of this kind are won or lost. I have yet to see an owner regret bringing the full stack of statements to that meeting.

Do not promise the entire proceeds to one creditor before that review. Resist the urge to satisfy the most persistent collector, since pressure on the telephone does not settle the order of entitlement, and the evidence a creditor later uses against the owner often consists of the owner own hurried statements. Steps taken, or not taken, in the first weeks after competing demands arrive shape the ledger for the remainder of the dispute.

Negotiating the Private Advance Within the Larger Plan
