A creditor accepts less than the claimed balance only when the smaller payment presents itself as the stronger recovery.
Exhaustion does not negotiate. The owner who arrives with accurate records, a stated source of funds, and a candid account of the alternatives gives the other side a reason to prefer settlement over pursuit.
Begin with receipts and the expenses required to keep the business trading. The proposed payment should come from money the business can release without missing payroll, falling behind on taxes, or starving the suppliers on which the next month trading depends.
Distinguish cash collected from receipts expected. Simply state the offered amount, its source, and the condition affecting availability, so the creditor evaluates a documented constraint rather than an unexplained demand for a discount.
The records either support the figure or they do not. A forecast that contradicts the bank statements will be found out, and the finding costs more than the concession it was meant to obtain.

United Senior Properties of Olathe, a New York appellate court assessed whether repayment under an MCA arrangement was absolute through factors including reconciliation, finite term, and recourse in bankruptcy. That analysis comes before the argument it supports: counsel examines the language and the course of dealing before deciding whether any defense belongs in the negotiation.
The counterparty weighs enforceability, collateral, guarantees, and the time required to recover through other routes. Those questions turn on the actual account, not on general assumptions about commercial debt. Counsel should ensure the asserted position is accurate and ensure no procedural deadline passes while the parties talk. A lawsuit continues beside the negotiation unless an agreement or a court process changes that posture.

Record each counteroffer beside the original proposal: amount, dates, consequences of default. Whether the creditor intends the revised figure as a final position or as an opening toward one is a question worth carrying into the next call. The answer changes the budget. Every figure in the file will eventually be used for or against the business that supplied it.
Add provider fees and separate legal expenses to the amount paid to the creditor. The IRS explanation of canceled debt and its exclusions supplies the starting point for the tax review, since a forgiven balance can constitute taxable income subject to exceptions that depend on the taxpayer and the circumstances. In most files of this kind, the tax question arrives after the celebration and reduces it.
Bring the final figures to the tax adviser with the settlement draft attached. The New York appellate treatment of absolute repayment can inform counsel assessment of an MCA where that law applies, but a legal issue should be presented with the contractual facts supporting it, separate from the financial account of what the business can pay. I am less certain about timing than the preceding paragraphs suggest; payment dates slip, receipts arrive late, and the agreement should state what happens then.
Obtain written acceptance and identify the release that follows performance. A bank transfer proves money moved. It does not by itself establish that every related claim has ended, so keep the signed acceptance beside the transfer record until any promised filing appears. The owner approves the result while counsel protects and preserves the record.
