A practice that settles its own debt with client money or client confidences has purchased relief at a price no discount can justify.
Before a funding proposal reaches the table, before a settlement service receives the first ledger, a law firm or accounting practice should determine what it owns, what it may disclose, and which professional rules govern each step of the resolution. The obligations that attach to a professional practice do not pause because the practice itself has become the debtor.
The MCA documents identify the contracting entity and any individual undertaking given alongside it. A practice name, a partner name, and a management company can describe different parties whose obligations require separate examination, and the authority to negotiate or sign a settlement should be traced through the ownership and management documents rather than assumed from whoever handles the account.
Keep guarantees distinct from the business balance. A proposal that releases the practice should not be assumed to resolve an individual undertaking unless the final terms address that result in language counsel has reviewed and approved for that purpose.
Preserve the executed agreements and amendments. A summary prepared for the bookkeeper may omit the provision that matters to the legal review, and the practice should retain the complete file in the condition in which it was signed.
The owner should also determine who advises the practice on the dispute. Often we see owners assume competence in one discipline transfers to another, and a practitioner who advises clients for a living can still require counsel when the practitioner becomes the party against whom collection proceeds. Counsel should review the terms, identify the deficiencies, and construct a response that fits the practical realities of the practice.
A billing ledger may disclose more than an account balance. Client names, matter descriptions, and other entries deserve examination before the entire record passes to a funder or settlement service, and the question deserves attention at the beginning of the engagement rather than after the file has been forwarded.
Virginia Legal Ethics Opinion 1872, reproduced in court hosted materials on professional responsibility and technology, addresses lawyers duties when using outside technology providers. The opinion, approved in 2019, illustrates the need to examine confidentiality protections rather than assume that a vendor relationship supplies them. That Virginia opinion does not establish every current rule in every jurisdiction, and the applicable profession and jurisdiction require their own review.
The efficient response is to resolve the disclosure question before the first upload, not after the creditor has quoted the ledger back to the practice.
Ask the appropriate adviser what information the proposal requires and what may be provided in a different form, because the practice should not assume that redacting one column resolves every confidentiality question. A funder may press for complete ledgers in order to price the pressure it can apply, and any discussion of client matters with the funder, even briefly, deserves counsel review first. Before records move to a shared portal, identify who receives the file and the terms governing access, since convenience does not establish fitness for the duties of the practice. Retain a record of the material provided.
Whether a redacted summary satisfies a funder that insists on complete records is a question worth considering.
A service statement that a consultation remains confidential should not be treated as a conclusion that every communication carries attorney client privilege. Counsel should address the applicable relationship and the purpose of each communication.
If the practice retains separate legal counsel, identify the scope of that engagement and the method for exchanging information. Simply state which adviser receives which record before the first file leaves the office. A settlement company and an attorney do not occupy identical roles merely because they coordinate work, and the owner may need advice before sharing records with multiple advisers whose legal positions differ.
In 2019, before the current wave of MCA enforcement discussion, practices were already confronting the same uncomfortable question this article addresses: whose money funds the settlement. Identify whether the funds belong to the practice and remain available for its obligations. Client trust funds, advance payments, and earned fees are not interchangeable categories, and the applicable rules and agreements determine the treatment of each.
The peculiar danger of a practice debt is that the assets nearest to hand often belong to someone else. For lawyers, questions involving trust accounts and client property require review under the governing professional rules. Accounting practices answer to their own professional and contractual framework, and a law firm answer should not be imported into the CPA context without examination.
Ask counsel to examine a proposed assignment of fees or receivables before offering it to the funder, since the agreement, if we are being precise, may raise issues beyond an ordinary commercial account depending on the nature of the work, the rights transferred, and the duties owed to the client whose matter produced the fee. Resist the urge to treat a temporarily available balance as proof that funds can be devoted to settlement. The practice must establish its entitlement and the conditions attached to the money.
Where an expected fee remains contingent on future work or an unresolved outcome, identify that condition. A settlement schedule should not present the anticipated amount as collected and available, though the temptation to present certainty where only expectation exists is one every debtor understands.
Delancey Street offers a free confidential initial review of MCA concerns. A practice can explain the financing problem while confirming appropriate disclosures and included services.
The company provides debt settlement services and coordinates legal matters with independent counsel. It is not a law firm. Ethics advice and representation require the appropriate attorney engagement, and the practice should ensure that counsel reviews any disclosure or assignment before it leaves the office.
Review fees, creditor communications, and the authority to accept an offer. Steps the practice takes, or does not take, in the first week shape the negotiation that follows. A partner should know whether a proposed term requires approval from other owners, and the adviser should ensure that the proposal uses a funding source the practice has identified as available. The line is extremely narrow between a commercial receivable and client property, and counsel should protect and preserve that boundary before signing. An extremely useful financial summary can explain available cash without including every underlying client narrative, and the practice should determine what supports the proposal and what requires separate treatment. The file drawer holds the answer to most of these questions. Open it before the creditor does.
Most funders accept 30–60% as a full settlement — with proper leverage.
