A viable business with MCA debt can need bankruptcy protection while its sales remain substantial. Subchapter V supplies an eligible company with a path through Chapter 11, although the right to propose a plan establishes neither the funds to finance the case nor the income to perform it.

The seven points below treat cost and eligibility before procedure. That order is deliberate, since owners tend to study confirmation rules first and discover the budget afterward, when the discovery costs more.

The Case Must Be Funded Before It Is Filed

Relief from daily collections is the immediate attraction, and it misleads owners into treating the petition as the rescue rather than the beginning of an expensive administration. Payroll, supplies, occupancy, taxes, and professional costs continue without pause while collection pressure builds against the owner, and a company that lost money before debt payments needs an operational answer beside the legal one, not a ceremonial filing.

Build a cash forecast that separates ordinary expenses from old obligations proposed for treatment in the case, because counsel must review and explain which payments require court approval and which restrictions attach to the use of receipts, and because no dollar in the operating account should be assumed available for discretionary spending until that review is complete, and the forecast that skips this separation will fail at the first hearing where money is discussed.

Obtain a case budget from counsel and fund it on paper before filing. That is where most filings fail unnoticed. A comparison with settlement that omits bankruptcy expense on one side, or settlement fees on the other, distorts the decision beyond repair.

But the forecast deserves a weaker companion beside the expected one. A reduced revenue scenario identifies how much room the plan leaves for interruption, which is information the owner needs before the court asks for it.

Eligibility Turns on Debt Composition

The federal courts account of Chapter 11 and Subchapter V sets eligibility on commercial activity, a statutory debt ceiling, and the share of obligations arising from business activity. Certain real estate enterprises are excluded. The debt ceiling adjusts over time, so older articles quoting a fixed figure should not decide whether the company consults counsel today.

Counsel should calculate eligibility from the obligations that count under the governing rules on the filing date. Disputed claims deserve classification rather than omission, since leaving a large MCA balance off the schedule can move the total across the ceiling in either direction.

The identity of the debtor belongs in the same analysis. A filing for the LLC differs from a filing for the individual behind a sole proprietorship, and the petition must correspond to the assets and obligations that require relief. There are exceptions, though in practice they tend to confirm the rule.

The Trustee Oversees While the Owner Operates

In every Subchapter V case a trustee is appointed to facilitate the plan, investigate financial affairs, appear at major hearings, and oversee payments. The owner remains in possession of the business in the ordinary case.

That division of labor demands records the company can produce on short notice. Assign responsibility for gathering documents and communicating with counsel before filing, since even a small operation loses weeks when the owner assumes the bookkeeper supplied a ledger the bookkeeper assumed counsel already held.

Management should expect questions rather than deference. Most owners find that part harder than the payments. Accurate accounting becomes an operating requirement inside the case.

Only the Debtor Proposes the Plan, Within Strict Limits

Exclusivity of the plan proposal is the signature feature of Subchapter V. It grants less freedom than owners imagine. The proposal must satisfy confirmation requirements on a timetable that leaves little room for assembling history after the petition.

Under the cramdown provisions of Section 1191, a qualifying plan can be confirmed without acceptance by every impaired class where the statutory conditions hold. The provisions address treatment without unfair discrimination, fair and equitable terms, and a commitment of projected disposable income across a three to five year period, with remedies where payments falter. These are legal standards rather than an advertised settlement percentage.

The reconciliation clause in the MCA agreement functions the way a smoke detector functions in a building already condemned: present in form, meaningless in operation once daily debits have replaced any true adjustment practice. Counsel should assess the asserted lien, the collateral value, and the characterization of the transaction before the plan assigns the claim its treatment, since calling the agreement a purchase or a loan does not finish the bankruptcy analysis, though outcomes on similar paper have varied more than the briefs admit.

Prepare the records, the claim analysis, and the projections with counsel before filing. The accelerated procedure, already extremely tight, forgives little, and confirmation of a plan built on unverified assumptions is a delay the cash forecast cannot absorb.

Guaranties Survive the Company Plan

An owner who signed a guaranty should ask what the company filing does for that separate exposure. Protection of the debtor and its property should not be described as an automatic release of any related person, and discharge itself depends on confirmation path and performance rather than the act of filing.

Delancey Street offers a negotiated business debt discussion through its debt settlement service as an alternative to a court case. The company acts as a settlement company, and a bankruptcy attorney should assess and advise on eligibility, filing consequences, and plan requirements.

Ensure each alternative carries its full costs and names the obligations left outside it. Ensure the business can keep performing during the months required to reach either result, since neither a proposed settlement nor an intended filing moves an extremely hard deadline by itself. Resist the urge to treat the petition as a cancellation certificate, because the useful comparison returns to the operating forecast: Subchapter V earns consideration when a viable business needs a structure its existing obligations will not permit.

The ledger will show whether the structure held.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
