The first collection call rewards restraint more than candor, since the owner arrives without the statement, without counsel, and with no obligation to supply either on the spot.
The useful work of the call is limited to three ends: learning who is calling, learning what is claimed, and moving the remainder onto paper where counsel can review and analyze it.
The voice on the line carries the full weight of the alleged obligation. The owner owes it no account of the business in return. Ask for the name of the caller, the company represented, and the relation of that company to the claimed creditor, since an original funder, a broker, a collection representative, and an attorney answer to different principals.
A funding agreement that ran to fourteen pages names its counterparty on page one, though few owners consult that page again after the advance arrives. The objective is to ensure no commitment is made before the documents identify who now holds the account.
Rarely does a caller volunteer the limits of his own authority. Where the caller announces new payment instructions or presses for an immediate transfer, verify the details through an established source rather than the unannounced message, since this precaution is extremely consequential when funds are about to move.
Simply note the date, the name given, and the account discussed. A short written record serves better than any later recollection of an anxious conversation.
But no account of reserves, revenue, or personal assets belongs in this call.
A date proposed to end a difficult call becomes the premise of the next demand. The business should establish its available funds before offering any amount or schedule, since a figure named under pressure will be recited back. There is a peculiar confidence in a balance stated to the dollar over the telephone.
The call is a request for information about the claim, not an occasion for information about the business.
A sum named to soften a threat, an assurance that something will be sent on Friday, a partial figure offered as a gesture of good faith, each of these hardens into an expectation the owner never approved, and the collector will enforce it without mercy when Friday passes and nothing has arrived.
Resist the urge to explain. Any account of assets or transfers, even casually, can alter the posture of the case against the business, and steps the owner takes, or does not take, in the days after the call will shape that posture more than any sentence spoken during it.
The agreement remained enforceable on its terms. Full payment on the demanded schedule would still have emptied the operating account.
Most owners promise something before hanging up. I understand the impulse.
The Consumer Financial Protection Bureau states that the federal Fair Debt Collection Practices Act governs debts taken on for personal, family, or household purposes, which leaves the ordinary business advance outside its scope. An MCA owner should not assume the familiar consumer script governs a commercial dispute.
The statute also leaves collection by the original creditor outside its reach as a general matter. The Federal Trade Commission collection guidance describes validation material and contact limits for covered consumer debts. The identity of the caller therefore matters, and a personal guarantee alone does not convert a business obligation into a consumer debt.
The distinction matters more than it seems to in the moment. Whether any state rule supplies a parallel protection on these facts is a question counsel must answer from the actual messages rather than from a general description of collection law.
The caller structures the exchange in order to extract a commitment before seeing the statement. Most callers know exactly how thin their authority is. They prefer the owner never to ask. A demanded balance has the half life of rumor: it decays the moment it is written down and compared against the statement.
The call itself does not establish whether the caller holds authority to discuss the account. Messages kept now protect and preserve options counsel may need later, with dates and notes on what was discussed.
A proposed payment should identify the claimant, the amount, and the conditions on which acceptance rests. Establish what the payment resolves before funds move, since a partial payment made under pressure may not produce the release the owner assumes.
An extremely short deadline deserves verification, particularly where the instructions differ from those used before. Confirm the destination through an established channel before funds move.
I have yet to see an improvised promise improve the terms of anything.
Counsel cannot build a proposal from a telephone recollection. The current statement, the funds actually available, and the objective the business seeks supply the material, whether that means an adjusted schedule, a settlement, or clarification of a disputed amount, though each new message can introduce a fresh figure the owner must place against the last one.
Have counsel review the terms, identify the deficiencies, and construct a response that addresses the contractual claim and the practical limits of the operating account. Counsel can ensure the final release addresses the guarantor as well as the company, and the owner should approve no counteroffer through a side conversation counsel has not seen.
Delancey Street offers a free confidential initial review of these commercial settlement questions. The company is a debt settlement company and not a law firm, and independently licensed counsel handles legal work and any response a proceeding requires.
Consultation is where this conversation begins, and the meeting is more useful when the statement, the agreement, and the log of every communication arrive with the owner.
The request for written terms deserves repetition at the close, since the pressure of the call fades. Some exchanges remain unpleasant after the file is organized, and organization promises no change in the manner of the caller. The useful answer to a collection call is the one the record supports and the obligations of the company can perform, which becomes the premise of every discussion that follows.
Most funders accept 30–60% as a full settlement — with proper leverage.
