A useful letter creates a record of a specific request, without claiming powers the sender does not possess. That distinction matters when an MCA owner copies language written for consumer debt into a commercial dispute.
The federal explanation of debt collection protections states that the Fair Debt Collection Practices Act does not cover business debt, so a heading that reads validation demand cannot change the purpose of the underlying transaction. The five samples below are starting points for adaptation to the agreement and the circumstances. They should not travel as a package. Where litigation, disputed liability, or a guaranty is involved, counsel should review the proposed communication before delivery.
Sample: “Please state the amount required to satisfy [agreement, date, reference] through [date], with credit for payments received. Please name the authorized recipient, any conditions affecting the figure, and the documents supplied after satisfaction.”
Ask about the guaranty and any financing statement in separate language. A payoff figure answers what the recipient demands. It does not establish that every related obligation or public filing resolves with the same transfer. Where more than one entity has contacted the business, obtain an explanation of who can accept payment and supply the requested release, then verify instructions through a known contact method before transmitting funds. Which of those entities holds the paper the letter answers remains an open question.
The request begins with the procedure of the agreement: name the clause, the receipts period, and the records it requires, substituting no preferred percentage or deadline for the language the parties signed.
In LG Funding, LLC v. United Senior Properties of Olathe, LLC, reconciliation stood among the features the court considered when evaluating repayment risk. The decision supports reading the contract without imposing a universal recalculation process on every funder.
Sample: “Re: [business legal name; agreement date; account reference]. Under section [number] of our agreement, the business requests reconciliation for [period]. Enclosed are [required records] showing receipts of [amount] and remittances of [amount] for that period. Please supply the calculation under the agreement and name any further records required.”
Check what the clause permits before stating the requested treatment. The contract can distinguish a payment adjustment from a refund, and what the owner requests, or leaves unrequested, in the letter determines what the response must address. Our recollection of how funders answer these requests is impressionistic rather than measured.
The stronger offer presents an amount the business can perform and explains what it seeks in return. It names the agreements and the parties, including any individual whose guaranty needs treatment. Correspondence is not harmless because it carries a settlement label.
Sample: “The business proposes payment of [amount] on [date or schedule] to resolve [identified agreements and claims], subject to a definitive written agreement addressing releases, pending litigation, and financing statement action. Please confirm authority to negotiate these terms and supply a proposed agreement for review.”
A filed case needs its own disposition. New York voluntary discontinuance procedure contains requirements with a default rule concerning prejudice, so the settlement should state what the parties intend to file and who will complete that work.
Delancey Street can discuss MCA settlement possibilities from the agreements and financial records of the business, through its debt settlement service, a role distinct from legal representation through independently licensed counsel. Confirm the scope and fees of the engagement before asking anyone to communicate an offer on behalf of the business. Ensure counsel reviews and analyzes any funder draft before acceptance.
Mailed to a funder, a notice establishes nothing about what the bank will block, when a block begins, or how the account agreement treats the instruction. Those questions belong to the bank.
Sample for review: “Re: [agreement and account reference]. The business gives notice concerning the debit authorization identified as [authorization details]. Effective [date, subject to applicable notice requirements], the requested change is [precise instruction]. Please confirm receipt and describe in writing any further process you contend applies.”
Match the instruction to the action the business intends and holds authority to take. A prospective change differs from a claim that a prior debit lacked authorization. The two should never share a paragraph. For the bank, supply the originator details and ask which business account process governs. The Nacha explanation of debit return reasons distinguishes authorization disputes from errors in an otherwise authorized payment and varies the treatment by account and entry category. State the facts behind any disputed entry, and resist the urge to describe an authorized payment as unauthorized, even briefly, because funds are short.
Nine years ago, the clerks in one county still date stamped every paper letter at the window. A sender who kept the stamped copy never argued about receipt. Practice has changed, though the principle holds. Rarely does a bank explain its business process without being asked the exact question. Retain the version sent with attachments and proof of delivery.
In New York, the statute on termination of nonconsumer financing statements requires action within 20 days after receipt of a signed demand when the statutory conditions are met. Twenty days sounds like a promise. The conditions underneath it decide whether the promise belongs to this letter. A partial settlement payment establishes no condition by itself.
Sample for adaptation by counsel: “Re: financing statement [number], filed in [office], naming [debtor] and [secured party]. The undersigned holds authority to act for the debtor and requests the termination statement required by applicable law. The basis is [the satisfied condition with supporting facts]. Enclosed are [supporting records]. Please send or file the statement as required and confirm the action in writing.”
Explain the basis without asserting that every unexpected lien is fraudulent. An outlandish claim of fraud will cost the sender credibility the file cannot spare. An unfamiliar name or date gives reason to investigate rather than proof that authorization never existed. Retain the confirmation with the demand and the response, since records protect and preserve the proof long after the transfer fades from memory. Self filing has limits, and the statute on authorized filings conditions any debtor filed termination on the required showing with the required indication of authority, so counsel should confirm the ground before anyone submits a form.
Precision is the only force a letter possesses.
Most funders accept 30–60% as a full settlement — with proper leverage.
