A reconciliation clause works through the procedure it provides. A letter cannot replace that procedure with one the business would prefer, and the owner needs the agreement before the template.

Lower revenue may explain why the scheduled remittance no longer fits the business. Whether the advance provider must adjust the debit, refund an amount, or provide another form of reconciliation turns on the particular clause and the facts. The word reconciliation alone answers none of those questions.

A sound request places the contractual basis and the supporting records in the same envelope. It also preserves what the recipient does in response, since the handling of the request can matter beyond the immediate calculation.

The Clause Before the Template

Read the reconciliation provision beside the payment authorization, the definitions, and the notice section. A defined term such as receipts may not correspond to every deposit in the bank account, and the difference between contract receipts and bank deposits decides the entire calculation.

Check whether a later modification changed the process. A reduced payment agreed by message or in another document may need to be read with the original agreement, and counsel should receive the complete sequence rather than the page containing the most favorable phrase. In 2019, before the recent wave of state level financing regulation, many of these clauses were shorter and less detailed than current versions, so the age of the agreement affects what the letter can invoke.

Identify who receives the request and which records the agreement requires. If the provision specifies a period or method, address it in the submission. Where several advances coexist, determine which agreement is involved.

Receipts and Remittances for the Same Period

The calculation needs a defined period. Compare the receipts relevant under the contract with the remittances taken during that period, and explain how each figure was assembled so the recipient can follow the arithmetic without asking for the method.

Bank statements may contain transfers or owner contributions requiring separate treatment under the agreement definitions. A worksheet can identify dates and figures without stating a legal conclusion.

Use the supporting documents the clause calls for, which depending on its language may include account statements, processor reports, or other business records. Do not present a preferred document package as a requirement imposed on every advance, and where information is missing, state what remains outstanding rather than presenting an estimate as a final accounting.

The provider calculation deserves the same transparency. Request the period used, the contractual measure, and the credits included.

A Template That Invokes the Clause

Consider language in this form, adapted to the agreement: Re: business legal name, agreement date, and reference number. Under the identified section of the agreement, the business requests reconciliation for the stated period. Attached records show relevant receipts and remittances as described in the enclosed worksheet.

Continue: please evaluate this request under the agreement and provide the resulting calculation. The requested adjustment is described as the remedy supported by the clause. If additional records are required, please identify them with the contractual basis for the request, and please provide the response to the authorized contact using the applicable notice method.

The proposed remedy should match the provision, which was, if we are being precise, drafted to address a defined commercial circumstance rather than every cash shortfall the business may face. A clause that speaks of prospective adjustment of debits does not support a demand for refund of amounts collected months earlier, and the letter should request the remedy the text supports rather than the relief the cash position requires. Do not demand a refund where the clause addresses prospective adjustment alone without first obtaining legal review, and do not assume that an adjustment request changes the next debit before the recipient confirms the result or counsel assesses the obligation.

A forceful sentence cannot repair missing evidence. The stronger submission explains the numbers.

Add the date and the sender capacity, and retain a copy of the worksheet with every attachment. The template promises no fixed response period.

What the Case Law Establishes

In the appellate decision on reconciliation as a characterization factor, the court considered reconciliation among the features relevant to whether repayment was absolute, beside duration and bankruptcy recourse. The agreement there authorized debits of a stated percentage of daily revenue within a weekly cap until a stated purchased amount was collected.

The decision does not establish that every advance is unlawful or that every reconciliation request must be granted. Preserve the request with the response, including any explanation for refusal.

The Payment Decision Beside the Request

A request for reconciliation is not itself a bank instruction. If the business considers stopping debits, review the authorization and default provisions before taking that separate step, since the contract consequences of an interrupted debit survive whatever the reconciliation letter achieves.

The Nacha discussion of debit return reasons distinguishes errors in authorized entries from absent authorization and explains relevant account and entry categories. An unaffordable payment should not be described to the bank as unauthorized where authorization was in fact given, and the cash forecast should stay current while the request is pending so the owner knows what the existing remittance permits the business to pay.

The business also needs a plan if the recipient rejects the proposed calculation. That may involve further documentation, a negotiated modification, or legal review. There is no universal sequence obliging the provider to accept one of those alternatives, and the owner should know the cost of each before choosing. That choice belongs to the business, not to the template.
