A stopped debit can preserve cash for a day while leaving the business with the same disputed obligation and a new question about default. The decision deserves more than a letter copied from a consumer banking website.
An MCA owner considering revocation should separate three matters: the authorization given to the funder, the process of the bank for the business account, and the consequences under the financing agreement. A communication directed at one settles nothing about the others. The samples below supply a structure for discussing a proposed instruction with counsel and the bank. The distinction is extremely easy to overlook and extremely costly to miss. Ask counsel to review and analyze the authorization before selecting the instruction, and decide what remains authorized, or stays authorized through silence, after the letters go out.
An unaffordable authorized debit differs from a debit by an unknown originator, and an incorrect amount presents another issue. The owner should describe what happened before deciding what remedy to request. Each description leads to a different counterparty with a different procedure.
Pull the authorization with the relevant account entry and compare the originator information, the amount, and the date with the agreement. If a modification changed the payment schedule, include it in the review. If revenue declined, examine the reconciliation procedure of the contract before reaching for revocation.
In LG Funding, LLC v. United Senior Properties of Olathe, LLC, reconciliation formed part of the analysis of repayment risk. That case supplies a reason to read the actual clause. It supplies no basis for assuming every payment must stop whenever sales decline.
Through the process that governs the account, the bank needs the instruction. A letter mailed to the funder does not prove that a stop instruction reached the bank or became effective.
Consumer protections do not cross into the business account. The federal definition of account under the electronic transfer statute limits the term to accounts of a personal, family, or household character, so a business revokes through notice to the funder under the agreement with a separate order to its own bank under that bank’s business account agreement. There is a singular cruelty in a system where the fastest actor holds the fewest rights. Our sense of how banks handle these orders comes from scattered files rather than from a survey anyone has published. Provide the transaction identifiers and ask what the institution requires. Confirm the scope of the instruction, any expiration, the treatment of entries already in process, and the fees.
The Nacha explanation of debit return reasons distinguishes a missing authorization from an error in an otherwise authorized entry, varying the treatment by account and entry category. The bank should select the applicable process from accurate facts. Do not tell the institution that an authorized debit was never authorized because the agreement is disputed. A dispute about the obligation and a dispute about permission to debit require different descriptions, and a false unauthorized claim risks the banking relationship.
Name the business with the particular authorization in the notice, without exposing an entire account number in ordinary email. Use the notice method of the agreement, and ensure counsel confirms the effective date before the notice leaves the office. No officer should discuss the revocation with the funder, even casually, before counsel approves the language.
Sample notice for adaptation: “To [funder or authorized servicer]: Re: [business legal name], agreement dated [date], reference [number]. The business withdraws authorization for future debits under [identified authorization], effective [date consistent with applicable requirements]. Please confirm receipt and advise in writing of any further procedure you contend applies.”
The sample requires a deliberate decision about revocation before use. If the owner seeks an adjustment rather than withdrawing authorization, change the instruction to say that. A document should not announce, if we are being exact, a more extensive action than the business intends.
A stopped payment is a pause in the mechanics. The obligation continues in the contract.
Sample banking request: “The undersigned holds authority to act for [business] concerning the account ending [digits]. Please advise the required business account procedure for stopping future debits from [originator name and identifier] under [identified authorization].”
Ask how the bank treats a debit already submitted and whether an additional written form is required. Complete the process of the institution rather than assuming the sample replaces it. Monitor later entries and report problems with accurate transaction details. The sample took ten minutes to adapt. The procedure it invokes can take weeks.
Revocation can be premature where the owner has not read the default provisions or determined whether the agreement supplies a process for adjusting remittances, and the same holds where a proposed settlement assumes payments continue.
Most MCA agreements define missed or blocked debits as default, in order to accelerate the confrontation the owner hoped to postpone. Which communication goes out first, and by what date, matters more than the wording of any single letter. Unassigned work has a way of remaining unfinished. Whether the funder treats the first blocked debit as a breach or as an invitation to negotiate is a question the agreement answers only in hindsight.
