The letter arrives on different letterhead and the borrower treats it as a verdict. A transfer to special assets or a workout group changes who administers the loan, and administration is not the same as acceleration, foreclosure, or any other remedy the agreement permits.
What matters in the first week is narrower than most owners expect. The documents define the alleged breach, the notice defines what response is due, and the authority of the new contact defines what any conversation can accomplish.
Identify the new officer and request written confirmation of the issues under review. The department name should not substitute for a description of the asserted default or the action being proposed.
A change in account management can accompany concerns about payment, financial performance, or compliance with reporting duties. The borrower needs the actual concern rather than a sequence borrowed from another institution, and six months after the last covenant certificate was filed without comment is an awkward moment to reconstruct what the bank believes it was promised.
Preserve the prior relationship correspondence, including accommodations the bank previously accepted. A new contact should receive the documents on which the business relies instead of a summary that omits their conditions.
Ask who approves modifications. Discussion with a workout officer can inform negotiation without establishing that the institution has accepted any proposal the borrower describes.
The OCC handbook on accounts receivable and inventory financing describes monitoring of receivables, borrowing bases, and collateral in troubled credits. Its discussion explains why records become central in a strained collateral relationship; it does not impose a mandatory sequence on every bank loan.
Determine which reports the credit agreement requires and which have been delivered. An unanswered reporting request can need attention even while the borrower disputes the balance the bank asserts.
An aging schedule should distinguish disputed invoices from amounts merely slow. The bank should not receive a statement that presents every receivable as equivalent cash, because the distinction between sales booked and accounts collectible is where credibility is won or lost.
And the forecast that follows must survive contact with the borrowing base calculation where the facility uses one. Eligibility rules and reserves can explain a gap between the business ledger and the amount the lending party recognizes, and the explanation belongs in the cover note rather than emerging under questioning.
Where the facility uses a borrowing base, reconcile the certificate with the underlying reports before delivery. Ineligible accounts, concentration limits, and reserves each reduce availability, and each deserves its own line rather than a net adjustment.
The OCC material discusses closer collateral monitoring and field audits in higher risk relationships. A request for supporting records therefore deserves a substantive response, without assuming that any particular examination schedule applies to this borrower.
Keep explanations consistent across the financial statement, the management forecast, and correspondence. A correction should identify the earlier error and the supporting record rather than disappearing into a revised total.
A proposed forbearance should identify which action the lending party agrees to postpone and the conditions attached to that undertaking. The borrower should know whether the arrangement alters payment terms or leaves the underlying default asserted while collections pause.
Have counsel examine acknowledgments, releases, and any additional security the document requires. A period of accommodation can carry obligations that extend well beyond the next payment date, including waivers the owner will not recover.
Read the reporting duties and the events that permit the bank to end the arrangement. An agreement of this kind can demand more than money, and the owner needs a workable method of tracking each undertaking the company signs.
Three forbearance drafts in a single quarter, each described as standard, taught at least one borrower that standard is a word officers use the way a dentist uses routine. Resist the urge to treat the paper as routine because the officer describes it that way; counsel should review and analyze the actual language and explain the decisions it requires.
Delancey Street offers a free confidential initial review of MCA concerns. Where advances sit beside a bank facility, the business can present those obligations while confirming the settlement company scope and eligibility for assistance.
The company provides debt settlement services and coordinates legal matters with independent counsel. It is not a law firm. Advice on bank covenants, collateral rights, and representation requires the appropriate attorney engagement.
Ask the adviser to ensure that proposed MCA payments reflect commitments already made to the bank. Counsel should ensure that any new borrowing or settlement security receives the review the existing documents require.
The bank can hold an interest in collateral also described in an MCA agreement. That overlap requires examination of the grants, perfection, and applicable priority rules rather than deference to the creditor with the larger balance.
Retain the written notices and any legal papers in one file. Record the response each requires instead of applying a single general deadline to the account.
Simply forward new correspondence to the professional assigned to review it. Keep confirmation of accepted changes where they exist.
Continued lending, repayment over time, or an agreed disposition of collateral each remain possible, depending on the agreement and the circumstances of the business. The borrower should evaluate the actual proposal without assuming a universal special assets timetable that no published source supports.
Discuss guarantees and remaining obligations with counsel before signing anything described as final. A collateral sale or a last installment should not be assumed to supply a release beyond the terms obtained.
Most workout officers know exactly how much discretion they hold. They prefer not to state it in the first meeting. An extremely careful borrower therefore asks what approval a proposal needs, and ensures no commitment is announced until that approval is documented.
Most funders accept 30–60% as a full settlement — with proper leverage.
