A frozen operating account rarely surprises anyone except the owner. The lending party watched the missed debits accumulate across weeks, and selected its moment in order to make the restraint impossible to ignore.
Owners call the event sudden because the preparation happened elsewhere. A freeze of a business account in most cases requires a judgment or a court order, which means the morning without payroll was preceded by a paper record the company could have read. The eight signs below live in that record.
CPLR 5222 permits a restraining notice issued by the clerk or by the creditor attorney as an officer of the court, and disobedience is punishable as contempt. The entry of judgment is the development an owner cannot afford to learn about late.
Where the restrained account belongs to a natural person, the bank must also receive an exemption notice with two exemption claim forms, and failure to serve those papers voids the restraint under CPLR 5222-A. Business accounts stand on different footing. Exceptions exist, though the files that reach counsel seldom turn on them.
Counsel tests the judgment itself. Service defects, affidavit gaps, and county filing errors have undone restraints that looked unassailable at the teller window, and the exemption notice procedure of CPLR 5222-A supplies the checklist for that review.
A confession of judgment clause allows entry of judgment without a full lawsuit, and many MCA agreements contain one beside the ACH authorization. Under CPLR 3218 the filing requires a signed sworn affidavit stating the debt facts, with county restrictions tied to residence when the affidavit was executed or filed.
Texas debtors hold a narrower protection, since Finance Code section 398.055 declares a confession provision in a covered contract void and unenforceable, though the same chapter creates no private right of action and remedies run through counsel and regulatory channels. The affidavit deserves review and analysis the week it is discovered, not the week funds stop moving. Dates, residence statements, and authorization language either support the filing or they do not.
A written set of questions with a prepaid return envelope looks administrative, which is why owners set it aside. Under CPLR 5224 the recipient answers under oath and returns the answers with the original questions within seven days after receipt, and third party subpoenas require a signed certification of reasonable belief.
The subpoena maps the accounts before the restraint selects among them. Treat its arrival as confirmation that enforcement has located the banking relationship.
When automatic withdrawals start bouncing, the bank assigns each failure a code that describes the failure without explaining its contractual meaning. R01 reflects insufficient funds and R09 reflects uncollected funds, while R10 and R11 entries concern authorization defects that carry different consequences for business accounts than for consumer ones.
The ledger showed three returns in eleven days. Nobody at the company read them as correspondence, though the funder certainly did.
Repeated returns tell the lending party the account is fragile (bank records alone cannot prove coordination) while telling the owner nothing unless someone interprets the pattern. The Nacha guidance on unauthorized return reasons distinguishes consumer timelines from the far shorter nonconsumer windows, so a business owner who assumes sixty days to dispute a debit has misread the applicable regime. That misreading is extremely common and extremely expensive. Never instruct a bank to mischaracterize an authorized debit as unauthorized in order to manufacture time.
Not every freeze waits for judgment. A creditor may seek a preliminary injunction restraining bank funds while the litigation proceeds, and a Nassau County trial court granted that relief in December 2022 after the required CPLR 6301 showing. The decision captioned Proventure Capital Funding LLC restrained identified funds pending litigation.
This is the sign owners miss most often, because motion papers look like ordinary lawsuit correspondence until the return date passes. Opposition requires evidence assembled before the hearing. A funder that obtained interim restraint has already convinced a judge that the funds may disappear. The papers deserve the same urgency as a restraint already in place.
Whether equivalent relief is available on other facts is a question for counsel in the filing jurisdiction. The sample of published orders is small, not a survey of funder behavior.
A UCC filing does not freeze anything by itself. It marks the collateral so that later enforcement, including a sheriff levy on debts owed to the debtor under CPLR 5232, knows where to look. Seldom does the filing itself restrain anything, though priority among competing claims turns on perfection order rather than the size of any balance.
Calls and letters multiply in the weeks before restraint. Those protections belong to consumer collection under federal law, and business MCA debts sit outside them. A demand letter can be entirely proper. The balance it states can still be wrong.
Most collectors know the exemption forms will never be read. They count on it. Preserve every communication, resist the urge to explain the shortfall by telephone, and route all contact through counsel, even briefly. Simply state that counsel will respond in writing. The file that results, complete and dated, is what allows an attorney to protect and preserve the defenses that remain.
Six months after signing, one owner watched declined transfers clear by afternoon and filed the incident as a bank error. A restraint that is lifted within days still proves the creditor knows the account location and regards the balance as collectible through enforcement. That answers the only question the rehearsal posed.
The appropriate response to that rehearsal is a coordinated one. Delancey Street is a debt relief company, not a law firm, and it offers an initial review at no charge for businesses confronting MCA pressure, while independently licensed counsel handles the court filings and deadlines the settlement discussion cannot pause. We ensure the negotiation and the legal defense proceed from the same dated account schedule. The objective is to ensure no payment is sent without a signed release that addresses the judgment, the restraint, and the guarantee together.
Most funders accept 30–60% as a full settlement — with proper leverage.
