A buyer cannot pour under a license the buyer does not hold. For a bar or nightclub owner carrying MCA debt, the financing dispute and the authority to sell alcohol require separate examination before any sale funded settlement is promised.

The advance funder collects from accounts and receivables. The licensing authority decides who may operate the premises. Those powers intersect only where the owner sells, closes or transfers the business, and a settlement plan that treats the license as an ordinary asset will fail at the authority that must approve the transfer.

1. License Holder and Licensed Premises

New York Alcoholic Beverage Control Law section 111 confines a license to the specified person and premises, transferable to another person or location only in the discretion of the authority. The license is available only to the person named in it, and only for the premises stated.

That is a New York rule, and an owner elsewhere needs advice concerning the jurisdiction that issued the license rather than a conclusion drawn from the location of the MCA funder. There are exceptions in practice, though they tend to confirm the rule, since discretionary approval is not a procedure the owner controls.

Compare the licensed entity with the borrower named in the financing documents. Also identify the entity on the lease and any individual who signed a guarantee, because similar trading names can conceal different legal parties.

Keep the current license and relevant agency correspondence with the transaction papers. A photograph of the sign above the entrance is no substitute for identifying the person authorized to operate.

2. MCA Demands and Licensing Notices Are Different Papers

Six months after the advance was funded, the owner may hold two envelopes that look equally urgent. A demand for payment establishes what the funder asserts; it does not, by itself, establish any action by the licensing authority, and a notice from the authority establishes its own deadlines under its own statute.

Give counsel both sets of papers with the underlying records for each. The response to the funder follows the advance agreement, while the response to the authority follows the licensing law and its regulations.

Resist the urge to answer the louder envelope first, even casually. The quieter one may carry the shorter fuse.

The funder threatened the account. The authority governed the door.

3. Sale of the Business With MCA Liens on Record

A sale intended to fund settlement must account for liens that follow the assets into the buyer hands. New York law on sale of collateral subject to a security interest provides that a security interest generally continues in collateral despite disposition unless the secured party authorized a transfer free of the interest, and it attaches to identifiable proceeds subject to statutory exceptions.

The consequence for a bar sale is practical rather than theoretical. Equipment, inventory and receivables identified as collateral do not arrive unencumbered merely because the purchase agreement says they do, and the buyer lender will discover the filing before the authority approves anything.

Ask counsel to review and analyze the security agreements, the filed statements and the purchase terms together. The license transfer application, the lien payoff or authorization and the MCA settlement should proceed as one coordinated sequence, though the sequence was, if we are being precise, three separate transactions wearing the appearance of one.

Whether the authority would approve a transfer while MCA litigation names the licensed entity is a question worth considering. The application still needs the buyer fingerprints.

4. Closure Without Abandoning the License Position

Closing the doors stops the losses. It does not by itself surrender the license, release the debt or terminate the guarantee, and each of those dispositions requires its own filing, notice or agreement.

An owner who walks away without attending to the license may leave an asset to expire that a buyer would have paid to acquire through proper channels. An owner who sells the fixtures without addressing the filings may deliver goods the buyer cannot finance.

Obtain advice on the order of operations before promising equipment or receipts to fund a settlement. The license file, the lien file and the advance file close on different schedules.

5. Settlement Review While the License Clock Runs
