Litigation against a funding company begins with a remedy, not with a grievance.
Before the first filing, before counsel has reviewed the payment ledger, the owner should regard the cost of the contract as one fact among several that decide whether a courtroom improves the position of the business (the precise order varies by dispute). An expensive agreement can still be enforceable, and an enforceable agreement can still have been collected in a manner the law does not permit.
In January 2022 the Federal Trade Commission announced a settlement that permanently barred RAM Capital Funding and its owner from the merchant cash advance and debt collection industries after charges involving deceptive and illegal seizures from small businesses and others. The January 2022 FTC order barring two MCA providers from the industry shows that conduct in this market can attract severe consequences without establishing a private claim against every provider.
The order barred those providers from the industry. It decided nothing about your contract.
Describe what happened in the particular transaction before naming it. Identify the representation, the withdrawal, the refusal to reconcile, or the communication that crossed from pressure into deception, then connect each event with the document or message that supports the account. Counsel can assess the available theory under the governing law only after the facts arrive in that order. This is where most owners overestimate their position, often with sincere conviction and incomplete paper.
In LG Funding v. United Senior Properties of Olathe, a New York appellate court examined reconciliation, finite duration, and bankruptcy recourse when considering whether repayment under an MCA was absolute in substance. The decision supplies a framework for relevant New York disputes, not a universal declaration that funded advances are loans, and counsel must determine which law governs before borrowing its language for another company in another state (a step owners resist, even briefly, when the quoted passage seems to decide the matter on its own).
The full appellate opinion on MCA repayment characterization rewards a complete reading because its disposition refuses the shortcut most summaries prefer, since the court preserved criminal usury defenses and denied the funder summary judgment while dismissing the criminal usury counterclaim, which means quoting only the favorable portion misstates what the court allowed and what it took off the table in the same breath.
Most funders in this market know exactly what their contracts accomplish. They prefer that owners discover the mechanics late.
Before deciding that filing suit will retire the balance, before assuming a disputed reconciliation clause cancels the entire obligation, ask what relief the proposed claim could support. Damages, contractual defenses, and whether a judgment could be collected at all are different objectives with different proof. Often we see owners collapse every concern into a single allegation of fraud, which feels clarifying and which surrenders the narrower arguments that might have survived contact with the governing statute.
Consider a hypothetical restaurant owner who stopped paying after two debits overdrew payroll. The example is invented to illustrate the sequence, not drawn from any client matter: the missed reconciliation request matters, the overdraft matters, and the contract language matters more than either, because a court will read the obligation the parties created rather than the hardship it produced. The answer may remain uncertain while records are reviewed, and that uncertainty is not a defect in the advice when it identifies the missing facts with precision (though the sample behind any early impression is not scientific).
A lawsuit is a purchase. Price it before you authorize it.
Whether the funder expected litigation or merely priced for it is a question worth holding open.
An argument that limits collection does not always create a separate right to damages. Counsel should identify the cause of action supporting the relief sought and explain whether it stands independently, travels as a counterclaim, or operates only as a defense when the funding company sues first.
Ask what evidence would establish the alleged loss and connect it to the challenged conduct. The total paid under an expensive agreement is not necessarily the measure of recoverable damages. The business needs an estimate of the work, the expense, the time, and the possible exposure involved before treating the courtroom as the natural next step, and I have yet to see a rushed filing improve a bargaining position, though urgency keeps producing them.
The law here is less settled than some commentary suggests. The agreement ran to nineteen pages in one dispute we reviewed, most of them devoted to remedies rather than to funding, and that allocation of attention tells its own story about where the drafter expected the contest to occur. Steps taken, or not taken, in the first weeks after default shape the evidence a court will eventually see.
The agreement may contain forum, governing law, or dispute resolution provisions that direct the route. Counsel must assess the language and the applicable law rather than assuming the location of the business decides the venue. If a collection suit already exists, the owner should consult and contact counsel at once, since deadlines in a pending case do not pause while alternatives are considered.
Resist the urge to answer a complaint with a letter explaining the hardship. Simply state that representation is being arranged and ensure no statement is made without counsel present.
A claim can be arguable without making litigation commercially sensible. The business should weigh filing fees, discovery burdens, management attention, and the funding company counterclaims that frequently accompany an owner suit, then compare that total with the likely recovery discounted by the probability of collecting it.
Delancey Street MCA service description offers owners a commercial comparison point for that decision. Delancey Street is a debt relief company, not a law firm, and it provides a free confidential initial review of MCA obligations while independently licensed counsel handles legal questions. We ensure the assessment distinguishes service charges from creditor payments, and the objective is to ensure no commitment is made before the owner sees both figures beside the forecasted cost of suit.
There is a particular quiet in an office after counsel explains that winning and collecting are separate proceedings. A first conversation costs nothing and decides nothing; it is where the comparison between settlement and suit properly begins.
Claims that survive scrutiny share three traits: documented conduct, a theory the governing law recognizes, and a remedy worth more than the pursuit. Everything else is correspondence.
Most funders accept 30–60% as a full settlement — with proper leverage.
