No MCA company can freeze a business bank account by declaring a default.

Restraint of funds comes from a court, from a judgment already entered, or from an agreement the bank itself signed. The contract between funder and merchant, standing alone, moves no money and locks no door. Everything else in this field follows from that distinction.

The Short Answer

A funding agreement may describe remedies in severe terms. The description is not the remedy. Acceleration clauses, confessions, and security language create claims the funder must still convert into orders before a bank will honor them, and banks answer to courts and to their own deposit agreements rather than to demand letters.

Owners should resist the urge to treat a threat of restraint as restraint itself. Verification of what has actually been filed, entered, or served decides the next move.

Restraint by Court Order

In December of 2022 a Nassau County court granted an unopposed motion for a preliminary injunction restraining funds in specified Wells Fargo accounts up to thirty six thousand eight hundred seventy five dollars pending resolution of the action, as shown in the Proventure order restraining bank funds. The restraint issued, if precision matters, under CPLR section 6301 after a judicial finding, not upon the funder’s say so.

That sequence is the point. Contract language alone did not supply the freeze. The court evaluated the required showing and issued an order, and the bank then had something to obey. Most MCA collectors know exactly what they are purchasing when they buy a defaulted file. They prefer not to examine what they must still prove in order to touch the account.

An injunction of this kind is interim relief. It preserves funds while the case proceeds. It decides nothing about the merits of the underlying claim.

Confession of Judgment and Enforcement

A signed confession of judgment changes the posture because entry produces a judgment, and a judgment unlocks enforcement devices that a mere contract never provides. New York procedure requires a sworn affidavit stating the sum and the facts of the debt, with strict county of residence limits on where the paper may be filed, as set out in the confession of judgment procedure.

The affidavit requirement is where many confessions fail, drifting as they do between boilerplate recitals and the specific facts of the debt, and counsel defending these matters reads the affidavit first because a defective affidavit can undermine everything entered upon it, including restraint and execution that followed, which means the owner who assumes the judgment is unassailable has skipped the only page that might have helped.

Out of state businesses should have counsel check dates, residence, and affidavit validity before conceding that any judgment was entered in compliance with the statute.

ACH Debits and Return Codes

An automatic debit is not a freeze. It is a withdrawal, governed by the deposit agreement and bank process, and a returned debit proves only that the transfer failed. Industry coding distinguishes insufficient funds from uncollected funds and consumer authorization returns from business returns on different windows, per the return reason guidance for debit entries.

Stopping a debit does not cancel the underlying obligation. The contract claim survives the failed transfer in full.

Deposit Account Control Agreements

Some funders obtain a signed record in which the merchant, the secured party, and the bank agree the bank will follow the secured party’s instructions about disposition of funds without further consent from the merchant. But the bank assumes no duty it did not expressly accept in that record. Control of this kind is a creature of agreement, and the agreement must be read.

Owners facing unexpected sweeps should obtain the control record itself rather than debating the funder’s characterization of it.

The Texas Auto Debit Rule

Effective September of 2025, Texas law provides that a provider of covered commercial sales based financing may not establish automatic debiting of a recipient account unless it holds a validly perfected first priority interest in the recipient’s receivables, under the enacted Texas commercial financing law. The same chapter voids confession provisions in covered contracts while creating no private right of action.

Coverage, timing, and remedies require counsel. The provision is narrow.

What the Owner Should Verify

You learn what the paper means after the money stops moving. The verification sequence is short: whether any action has been filed, whether any judgment has been entered and on what affidavit, whether any court order names the account, and whether any control record binds the bank.
